For a Hong Kong-listed company, a higher annual cap for a continuing connected transaction is permission to transact up to a larger monetary ceiling under an agreement. It is not proof that the company will use the full amount, that the business is growing, or that the transactions will be profitable. Investors should test the cap calculation, the connected counterparty, pricing controls, approval route and subsequent monitoring before drawing a conclusion.
The checklist below is based on Hong Kong Listing Rules for Main Board issuers. GEM issuers and other markets have different rule chapters and exemptions, so confirm the applicable framework for the company you are analysing.
Start with the five numbers that explain the increase
Put the old cap, the proposed cap and actual transaction totals in one schedule. Include every year disclosed by the issuer, together with any utilization percentage. This prevents a large headline increase from being assessed without context.

A cap can rise because transaction volume is expected to grow, prices have changed, a business unit has been added, or the agreement now covers more products or services. It can also be raised simply because management wants additional contingency. Those explanations have different risk profiles. Compare the percentage increase in the cap with the percentage change in the underlying driver rather than treating the cap percentage as a growth forecast.

Read the calculation basis and challenge every assumption
Under Main Board Rule 14A.53, an annual cap is expressed in monetary terms. The basis should refer to previous transactions and published group information; where there is no transaction history, reasonable assumptions are used. The announcement or circular should explain how the amount was derived.
Build an assumption checklist
- Volume: units, orders, customers, production capacity or service hours expected during the year.
- Price: contractual rates, expected price changes, inflation or commodity inputs.
- Timing: the number of months covered and whether a new project starts part-way through the period.
- Scope: products, services, subsidiaries and territories included in the agreement.
- Currency: exchange-rate assumptions and the currency in which the cap is reported.
- Business mix: any shift toward higher-value items that could increase the monetary total even if volumes are flat.
Translate each assumption into a number. If management says demand will increase, identify the stated demand measure and the evidence in the issuer’s published business information. If the document provides only a broad narrative, note that the forecast is less testable. Where a circular is not required, HKEX announcement requirements still call for the cap calculation basis, assumptions and previous transaction amounts.
Use sensitivity questions, not a single-point forecast
Ask what happens if volume is lower, prices are higher, a project is delayed or an exchange rate moves against the group. The purpose is not to create an alternative valuation, but to see whether a small change in a key input would make the proposed ceiling unnecessary or insufficient. A cap that depends on one unquantified assumption deserves closer scrutiny than one supported by several disclosed operating metrics.

Identify the connected person and the economic relationship
Find the exact party named in the announcement and the relationship that makes it a connected person. Record each party’s interest and principal business activities. A connected counterparty may be a controlling shareholder, director, associate or another person covered by the relevant Listing Rule definition; the precise category affects exemptions and approval requirements.

Map operational dependence
Determine whether the counterparty is also a major customer, supplier, lender, landlord, distributor, service provider or joint-venture partner. A transaction can be routine in form yet important because the issuer depends on that relationship. Check whether alternative suppliers or customers are available and whether the connected party receives terms that could not be obtained from an independent party.
Separate legal status from commercial importance
Connected status is a regulatory classification, not a finding of misconduct. Conversely, a relationship that appears commercially significant should not be dismissed merely because the transaction is described as ordinary and usual. Read the ownership chart, director interests and business descriptions together with the transaction schedule.
Examine what the agreement actually permits
A cap applies only to transactions within the relevant written agreement. Read the agreement summary rather than relying on the headline amount.

Check the transaction scope
- What goods, services, fees, loans, leases or other dealings are covered?
- Which subsidiaries or business units may transact?
- When does the agreement start and expire?
- Can the parties add products, territories or entities without a new approval?
- Are there minimum commitments, volume bands or termination rights?
A broader agreement can explain a higher cap even when existing activity has not changed. It also increases the range of transactions investors must monitor.

Check payment and pricing controls
Identify the payment-calculation basis and the stated pricing policy. The issuer may say that prices will be based on market quotations, comparable independent transactions, cost-plus formulas, published tariffs or negotiated rates. Note who obtains quotations, how often prices are reviewed and what happens when no external benchmark exists.
Look for mechanisms that keep each transaction within both the agreement and the annual cap: order-level approvals, system limits, finance monitoring, periodic reconciliation and escalation to the board. A policy is more credible when the document names the responsible department and the evidence it must retain.
Determine whether shareholders must approve the cap
Do not assume that every increase requires a vote or that the absence of a vote means there is no disclosure. HKEX provides exemptions for specified low-materiality and other rule-defined circumstances, and the outcome depends on the facts.

Where the continuing connected transaction requires shareholder approval, the issuer should provide a circular explaining the cap, previous transaction amounts, assumptions, agreement terms and the reasons the independent board committee and independent financial adviser support or oppose the proposal. Interested shareholders must abstain where the rules require it. Check the notice, voting results and the identities of shareholders excluded from the poll.

When an announcement may be enough
Some transactions qualify for an exemption or fall below a relevant threshold. Even then, the announcement should disclose the connected parties, relationship, interests, transaction scope, pricing basis and cap calculation information required by the applicable rule. Verify the precise exemption instead of inferring it from a short filing.
Understand what Rule 14A.54 means after approval
Main Board Rule 14A.54 requires renewed compliance with announcement and shareholder-approval requirements before the existing cap is exceeded, the agreement is renewed, or its terms are materially changed. A company cannot treat an approved ceiling as permanent permission for a different arrangement.
For each proposed change, ask whether it is merely a higher amount or also a new term, counterparty, product, pricing method or duration. A material change may require a fresh process even if the revised monetary cap remains below an earlier forecast. Investors should read the issuer’s explanation of why the existing arrangement no longer fits.

Rule 14A.55 provides for annual review by independent non-executive directors, and the rules also require annual auditor reporting under specified provisions. The latest annual report should contain these statements for continuing connected transactions.

What the INED review can tell you
Look for confirmation that the transactions were entered into in the ordinary and usual course, on normal commercial terms or better where applicable, and in accordance with the agreement and pricing policy. Note any qualification, disagreement or limitation in the directors’ statement.
What the auditor review can and cannot tell you
Auditors perform the procedures required by the Listing Rules, such as checking whether transaction amounts, pricing and cap compliance align with the stated criteria. This is a review of completed conduct against rule requirements. It does not independently validate management’s forecast before a proposed cap increase, guarantee arm’s-length economics or eliminate conflicts of interest.
Compare the next year’s actuals with the new ceiling
After approval, calculate utilization using the same definition and currency as the issuer. Reconcile interim announcements, annual reports and any later cap revision. A pattern of transactions close to the ceiling may indicate that the forecast was accurate, that the buffer was deliberately narrow, or that management is managing activity to the limit; the documents should explain which.

- A second upward revision soon after the first increase.
- Actual amounts repeatedly near the cap without a clear operating explanation.
- Cap growth substantially exceeding the growth of the business input said to drive it.
- New products, subsidiaries or counterparties appearing without a clear agreement change.
- Pricing controls described in general terms with no monitoring or escalation detail.
- Missing quantitative assumptions or unexplained differences between announcement and annual-report figures.
- Qualified, adverse or delayed INED or auditor comments.
These are prompts for document review, not proof of wrongdoing. An increase can be justified by a major contract, acquisition or temporary price shock; the issuer should identify that event and show how it affects the calculation.
How the September 2026 HKEX proposal fits into the analysis
On 21 September 2026, HKEX announced a consultation proposal to allow annual caps for certain revenue-nature continuing connected transactions in the ordinary and usual course of business to be expressed as a percentage of revenue or another audited financial item. The consultation was scheduled to close on 30 November 2026.
That announcement described a proposal, not an operative change to the rule cited above. Until HKEX publishes a final rule and effective date, investors should assess a cap under the applicable current requirements, including the monetary-cap framework in Main Board Rule 14A.53. The proposal’s stated aim was flexibility and certainty while retaining timely disclosure and board accountability. HKEX Head of Listing Katherine Ng said: “This reform seeks to give issuers greater flexibility and certainty in their corporate transactions, increasing efficiency in terms of costs and time while upholding investor protection through timely, meaningful disclosure and strong board accountability.”
A practical document-review workflow
- Collect the record: obtain the cap announcement, circular if any, agreement summary, historical transaction totals, approval resolution and subsequent annual-report review.
- Create the comparison table: enter prior caps, actual amounts, utilization, proposed cap and each stated driver.
- Trace every assumption: mark the page where volume, price, timing, currency and scope inputs are quantified.
- Map the relationship: identify the connected person, ownership or management link, interests and operational dependency.
- Read the controls: record pricing benchmarks, quotation procedures, approval limits, monitoring frequency and escalation.
- Check the process: determine whether an exemption applies, whether independent shareholders voted, who abstained and what advisers recommended.
- Follow the outcome: compare later actuals with the approved cap and investigate any renewed increase, material amendment or review qualification.
This workflow produces an evidence-based view without treating the cap itself as a prediction. It also keeps Hong Kong Listing Rule compliance separate from the broader investment question of whether the connected relationship creates value or concentration risk.
