Henkel completed its acquisition of specialty-coatings company Stahl on October 1, 2026, and says Stahl is now fully part of the company. For customers, the confirmed change is ownership and Henkel’s stated plan to combine Stahl’s coatings capabilities with its adhesives expertise. The public announcements do not specify whether customer contracts, prices, ordering, supply, service, or products will change.
Who owns Stahl now?
Henkel announced on February 4, 2026, that it had agreed to acquire Stahl, subject to customary closing conditions, including regulatory approvals. On October 1, Henkel said it had completed the acquisition after fulfilling the closing conditions and that Stahl was fully part of Henkel as of that date. Henkel’s closing announcement confirms the current ownership change.
The agreed purchase price announced by Henkel was €2.1 billion. In its February 4 announcement, Stahl described the transaction value as an enterprise value of €2.1 billion; these are the respective companies’ descriptions of the same announced figure, not a separate post-closing valuation. Henkel’s agreement announcement and Stahl’s announcement provide the terms as presented at the time.
What does Stahl make?
Henkel describes Stahl as a global supplier of high-performance specialty coatings for flexible materials. Its portfolio includes leather-finishing coatings, performance coatings, and coatings for high-performance paper packaging and graphics. These are industrial materials intended for applications across sectors, rather than a consumer leather-care product line.

Henkel’s October closing announcement identifies the markets as mobility, fashion and lifestyle, luxury, and packaging. Its February agreement announcement used a somewhat different list—automotive, fashion and lifestyle, and packaging—so the sector wording reflects the date and context of each release rather than a claim that the lists are identical.
Why did Henkel buy Stahl?
Henkel says the acquisition expands its Adhesive Technologies business into the adjacent specialty-coatings category. The company points to complementary portfolios, overlapping customer groups, Stahl’s research and development capabilities and customization, and the possibility of a broader solutions platform.

Those are Henkel’s strategic aims, not proof that customers already have a combined product, faster innovation, or measurable sustainability improvements. In the closing announcement, Henkel CEO Carsten Knobel said the deal would broaden the company’s technology portfolio and create growth opportunities. Mark Dorn, the Henkel executive responsible for Adhesive Technologies, described the intended combination as a more comprehensive solutions platform to help customers innovate faster and advance sustainability ambitions. These statements describe the company’s objectives; the announcement does not quantify customer outcomes.

The closing announcement establishes that Stahl is part of Henkel, but it does not set out customer-level operational changes. It does not specify changes to contracts, pricing, supply commitments, ordering channels, product availability or discontinuations, technical support, or an integration timetable. Customers should not treat the acquisition announcement alone as confirmation that any of these will remain unchanged—or that they will change.

Before the deal closed, Stahl said, “For employees, customers, and partners, it remains business as usual during the transition period.” That statement was made in the February 4 announcement and was explicitly limited to the transition period; it is not a post-October 1 guarantee of unchanged terms or service.

- Does the acquisition affect the customer’s current contract, pricing, renewal, or purchasing entity?
- Are ordering channels, delivery arrangements, or regional points of contact changing?
- Will the relevant product remain available, and is any product transition planned?
- Will technical support, application testing, or customization contacts change?
- For a proposed combined solution, does it meet the required application, substrate, and coating-performance specifications?
- Are regional availability and any sustainability claims documented for the specific product and application?
Henkel’s October announcement reported around 1,800 employees globally and €725 million in adjusted sales for fiscal year 2025. Henkel’s February agreement announcement had given approximately 1,700 employees. These are figures reported in releases at different points in 2026; the announcements do not reconcile the employee-count difference.
