A sale transfers an agreed business, assets, or shares to a buyer in exchange for consideration. A spin-off separates a subsidiary or business line into an independent company and distributes shares of that new company to the parent’s shareholders. Ownership, employees, contracts, debt, intellectual property, taxes, and reporting obligations then follow the transaction documents—not the label alone.
The practical result varies by legal structure and country. The sections below explain what normally changes for shareholders, employees, customers, suppliers, creditors, and the parent company, and where a reader must rely on the definitive merger agreement, separation agreement, information statement, purchase agreement, and local professional advice.
Sale and spin-off: the essential difference
In a sale, a seller transfers specified assets, shares, or an entire business to a buyer. The buyer provides the agreed consideration, which may be cash, stock, assumed debt, a note, or a combination. The seller’s shareholders usually do not receive that consideration directly; the company receives it and handles the proceeds under its corporate approvals and capital-allocation plans.

In a spin-off, the parent distributes shares of a subsidiary or newly separated company to the parent’s shareholders, commonly in proportion to their holdings. There is no outside buyer paying the parent for the distributed shares. The separated company becomes independently owned and must develop its own governance, reporting, financing, and operations, although transition or commercial agreements with the former parent may continue.

| Who receives the economic consideration? | The selling company receives the negotiated consideration from the buyer. | Eligible parent shareholders receive shares in the separated company, usually pro rata. |
| What changes hands? | The purchase agreement defines the assets, shares, contracts, employees, and liabilities transferred or retained. | The separation plan assigns the subsidiary’s assets, liabilities, people, and contracts to an independent company. |
| Is there a buyer? | Yes, a third-party or affiliated buyer purchases the specified business. | Not necessarily; ownership is redistributed from the parent to its shareholders. |
| What determines tax? | Asset-versus-stock structure, purchase-price allocation, assumed liabilities, jurisdiction, and each party’s facts. | Whether statutory requirements are met, the form of the distribution, jurisdiction, and each holder’s circumstances. |
| How does independence arise? | The buyer integrates the acquired operation or runs it separately under the deal terms. | The separated company establishes stand-alone capabilities, sometimes using temporary shared services. |
What happens in a business sale?
Asset purchase
An asset purchase identifies the property being sold: factories, equipment, inventory, customer relationships, intellectual property, data, licenses, and selected contracts. The agreement also states which liabilities the buyer assumes and which remain with the seller. Because individual assets can have different tax bases and useful lives, the parties generally allocate the purchase price among them for tax and accounting purposes. Some contracts, permits, or leases cannot move without the other party’s consent.
Stock or subsidiary sale
In a stock sale, the buyer acquires the shares of the legal entity that owns the business. The entity normally keeps its contracts, employees, permits, and liabilities, subject to change-of-control provisions and negotiated exclusions. A buyer may prefer this structure for continuity, while a seller may prefer an asset sale for selective risk transfer. The actual allocation is controlled by the purchase agreement and applicable law.
What the seller does with the proceeds
After closing, the parent may repay debt, invest in remaining operations, buy back shares, pay a dividend, or retain cash. A board decision, debt covenant, shareholder approval, or regulatory condition can affect that choice. Unless the transaction is structured as a liquidation or a special distribution, an ordinary sale does not automatically put cash in each shareholder’s account.

What happens in a spin-off?
Preparing the separated company
The parent first defines the business to be separated and transfers or licenses the required assets, people, intellectual property, contracts, data, and liabilities. It creates a board and management team, establishes financing and treasury arrangements, separates accounting records, and prepares independent financial statements. Public-company spin-offs may also require a registration statement or other securities filings.

Declaring and distributing shares
The parent sets a record date identifying eligible holders and a distribution date when shares are delivered. The information statement normally explains the distribution ratio, treatment of fractional shares, whether a shareholder vote is required, and how the shares will trade. Book-entry delivery is common, so a holder may see the new position in a brokerage account without submitting an order.
The BorgWarner distribution of PHINIA illustrates how specific these terms are: its information statement said eligible holders would receive one PHINIA share for every five BorgWarner shares held on the record date, through a book-entry distribution, with no payment or shareholder action required. That ratio and procedure are an example, not a general rule. Another spin-off can use a different ratio, cash in lieu of fractional shares, or additional eligibility conditions.
Operating after separation
Independence does not mean every connection ends on day one. A separation agreement or transition-services agreement may let the new company temporarily use the parent’s information technology, payroll, procurement, real estate, legal support, manufacturing capacity, or distribution network. Those services usually have defined prices, service levels, termination dates, and migration responsibilities. The new company must ultimately replace them or negotiate longer-term commercial arrangements.
Do shareholders get shares in a spin-off?
Usually, eligible shareholders receive shares automatically according to the information statement, often in proportion to their parent-company holdings on the record date. The statement is the controlling source for eligibility and mechanics. Check it for:

- how shares are credited and when trading begins;
- whether a vote, election, or tax form is required; and
- restrictions applying to insiders, employees, or holders in particular countries.
A spin-off can change the market price of both securities because the parent no longer contains the separated business and the new company starts trading independently. The combined equity value can rise or fall; PHINIA’s information statement expressly warned that the post-transaction combined value could be below BorgWarner’s pre-spin value. That warning is a transaction-specific possibility, not a forecast or a general return statistic.
What happens to employees?
Employment outcomes depend on the transaction documents, employment contracts, collective-bargaining rules, and local law. A worker may transfer to the buyer or separated company, stay with the parent, move during a later transition, or lose a role if duplicated functions are removed. A sale does not by itself guarantee continued employment, and a spin-off does not by itself terminate employment.
Items employers must allocate
- Compensation: salary, bonus targets, commissions, payroll withholding, and sales-credit rules.
- Benefits: health coverage, retirement plans, paid leave, disability coverage, and welfare benefits.
- Equity awards: treatment of parent options, restricted stock, performance awards, vesting, and replacement grants.
- Records and data: personnel files, service dates, payroll history, privacy consents, and access rights.
- Communications: who becomes the employer, when the change occurs, and where employees obtain support.
For certain U.S. pension, profit-sharing, and deferred-compensation plan spin-offs or transfers of plan assets or liabilities, the IRS instructions for Form 5310-A describe notice requirements, who must file, and exceptions. That form is not a universal filing for every transaction; plan sponsors must apply the instructions to the actual transfer.

The parties build a schedule of what moves, what stays, and what is temporarily shared. Facilities and equipment may be transferred, leased back, or shared. Intellectual property can be assigned outright or licensed. Customer and supplier contracts may require consent, notice, or a novation to the new legal entity. Data transfers must follow privacy, cybersecurity, export-control, and sector-specific rules.

Liability allocation is equally important. The buyer or separated company may assume warranty claims, employee obligations, environmental liabilities, debt, litigation, or product recalls, while the parent retains other risks. Indemnities, escrow accounts, insurance, and purchase-price adjustments address claims that cannot be cleanly assigned. A customer can therefore continue dealing with the same product team while its legal counterparty, invoice address, credit assessment, or support process changes.
Shared systems are a common source of disruption. Finance, human resources, identity management, enterprise resource planning, manufacturing scheduling, sales operations, and regulatory reporting may all have been hosted centrally. The separation plan should specify data migration, parallel operation, testing, access controls, fallback procedures, and the date on which each service ends.
Flex’s 2026 filing about a contemplated separation identifies possible costs, production interruption, required consents, disputes, and employee-retention challenges. Those are risks in that planned transaction, not guaranteed outcomes for every sale or spin-off.
Is a corporate spin-off tax-free?
No. The word “spin-off” does not guarantee tax-free treatment. In the United States, a distribution may qualify for nonrecognition only if detailed statutory and factual conditions are met. PHINIA’s 2023 information statement said its distribution was expected to be tax-free for U.S. federal income-tax purposes, subject to conditions; it also noted that cash paid instead of fractional shares could be taxable. Another transaction can produce taxable income to the parent, shareholders, or both.

Asset transfers and assumed liabilities create separate issues. IRS Publication 544 explains that, in certain property-for-stock exchanges, assumed liabilities can be treated as money when they exceed basis, or when there is no good business reason for assuming them or tax avoidance is the main purpose, subject to the publication’s detailed rules. The result depends on the legal structure, transaction documents, tax basis, jurisdiction, and the taxpayer’s facts.
Shareholders should retain the information statement, allocation notices, and brokerage records. The tax basis assigned between parent and distributed-company shares, the treatment of fractional-share cash, and reporting in countries outside the United States may require advice from a qualified tax professional.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What reporting and regulatory filings are required?
Public-company obligations depend on significance and structure. SEC Division of Corporation Finance staff guidance in the Financial Reporting Manual, Topic 2, uses investment, assets, and income tests; if any test exceeds 10%, the business is considered significant under that guidance. The manual states in section 2120.1: “Form 8-K, reporting the disposition is required to be filed within four business days if either an asset disposition or a business disposition exceeds 10% significance.” The cited section identifies updates through June 30, 2013, so current SEC rules and interpretations should be confirmed before relying on the threshold.
A significant disposition can also require pro forma financial information showing the continuing company as if the transaction had occurred. A spin-off may require registration of the new company’s securities and financial statements for the separated business. SEC Staff Accounting Bulletin Topic 5, section 7, says it is “Not ordinarily” appropriate to treat an ordinary spin-off as a change in reporting entity and rewrite historical statements as though the parent never owned the subsidiary; periodic reports generally reflect the disposition under ASC Topic 360. These are U.S.-specific staff materials, not universal rules for private companies or non-U.S. issuers.
How a transaction typically unfolds
- Strategic decision: The board defines the rationale, perimeter, expected consideration or ownership, and desired closing conditions.
- Due diligence: Teams inventory assets, liabilities, contracts, employees, intellectual property, permits, data, tax attributes, and litigation.
- Definitive documents: The parties negotiate a purchase agreement or separation and distribution agreements, including representations, covenants, indemnities, and transition services.
- Approvals and filings: Boards, shareholders, lenders, regulators, tax authorities, customers, or counterparties provide approvals or notices where required.
- Separation execution: Systems, bank accounts, payroll, benefits, reporting, branding, facilities, and supply arrangements are tested and migrated.
- Closing or distribution: Consideration is paid in a sale, or shares are credited on the distribution date in a spin-off.
- Post-closing transition: The parties resolve true-ups, indemnity claims, stranded costs, employee matters, and expiration or renewal of shared services.
Practical checks for each affected group
Shareholders and investors
- Read the information statement or merger document rather than relying on a headline ratio.
- Record the record date, distribution date, trading symbols, fractional-share method, and basis information.
- Check whether your broker supports the new security and whether a foreign account creates local reporting duties.
- Separate market-price movements caused by the distribution from the underlying performance of either company.
Employees
- Confirm the legal employer, effective date, pay-cycle changes, benefits enrollment, and treatment of equity awards.
- Ask where payroll, retirement-plan, privacy, and human-resources records will be maintained.
- Review any new confidentiality, invention-assignment, non-solicitation, or workplace-policy documents before signing.
Customers and suppliers
- Verify the contracting entity, tax-identification number, purchase-order process, remittance address, and support contacts.
- Check whether consent is needed for assignment and whether service levels, warranties, or credit terms change.
- Plan for temporary disruptions while systems, warehouses, or manufacturing sites are separated.
Creditors and counterparties
- Review change-of-control, assignment, covenant, termination, and consent provisions.
- Identify which entity will owe payment, provide guarantees, hold collateral, or carry insurance after closing.
- Obtain updated financial information where the counterparty’s credit profile changes.
Common failure points and how to respond
- Unexpected contract blockage: Locate consent and anti-assignment clauses early; obtain a novation or approved workaround before the transfer date.
- Payroll or benefits errors: Run parallel payroll and eligibility testing, reconcile opening balances, and provide a staffed employee help channel.
- Data or system outage: Maintain tested backups, staged cutovers, least-privilege access, and a rollback plan.
- Unclear liability ownership: Use a signed liability matrix and escalation process; do not assume that operational control determines legal responsibility.
- Tax surprise: Model asset bases, assumed liabilities, withholding, fractional-share cash, and cross-border effects before signing.
- Reporting deadline missed: Assign an accountable disclosure team and verify current SEC, exchange, and local filing requirements.
The definitive transaction documents control the answer for any particular company. A sale can leave the parent with cash but also retained liabilities and stranded costs; a spin-off can give shareholders direct ownership of a new public company but requires that company to build independent capabilities. The right interpretation therefore starts with the legal structure, then follows each asset, person, contract, liability, tax condition, and filing obligation to its documented destination.
