EU Inc. should make it easier to form and finance companies without making it harder to verify what those companies claim, who benefits from them, or whether their controls work. The SEC’s accounts of Theranos and FTX point to two distinct risks: overstated product and business performance, and concealed related-party privileges and customer-fund diversion. They offer lessons for the proposal—not proof that any particular safeguard would have prevented either case.

EU Inc. is a proposal, not a service companies can use today

The European Commission presented EU Inc. on 18 March 2026 as an optional, harmonised corporate legal regime alongside national company forms. Its stated aim is to simplify digital company procedures across the lifecycle, support financing and share transfers, and streamline closure. The Commission’s public summary describes registration within 48 hours for a maximum of €100, no minimum share capital, and safeguards against fraud and abuse. These are proposed features, not enacted rights or currently available services.

The Commission says the EU has 27 national legal systems and more than 60 company legal forms. EU Inc. is intended to offer a shared framework across that landscape; national employment and social laws would still apply. The Commission called on the European Parliament and Council to agree on the proposal by the end of 2026. Its stated aims do not establish the final legislative text or show how the regime would work in practice.

What the SEC’s Theranos and FTX cases illustrate

Theranos: distinguish demonstrated capability from the pitch

In a 14 March 2018 enforcement release, the U.S. Securities and Exchange Commission said Theranos and its executives raised more than $700 million from investors while allegedly exaggerating or making false statements about the company’s technology, business, and financial performance. The SEC said investors were led to believe that a portable analyzer could perform comprehensive testing from finger-prick samples; according to the release, the proprietary device could complete only a small number of tests, while most patient testing used modified or standard commercial analyzers. The SEC also described alleged false claims about Defense Department deployment and revenue.

The regulatory account concerns allegations; it should not be recast as a finding that a particular EU Inc. rule would have prevented the alleged conduct. The design lesson is narrower: when a company’s value depends on technical performance, disclosures and investor diligence should make it possible to tell what has been demonstrated from what remains a plan. SEC Chair Gary Gensler put the point this way in the Theranos release: “Innovators who seek to revolutionize and disrupt an industry must tell investors the truth about what their technology can do today, not just what they hope it might do someday.”

FTX: make related-party benefits and control overrides visible

In a 13 December 2022 release, the SEC said its complaint alleged that FTX raised more than $1.8 billion from equity investors while concealing the diversion of customer funds to Alameda, special platform treatment for Alameda—including a virtually unlimited customer-funded line of credit—and FTX’s material exposure to Alameda’s illiquid assets. The SEC said investors had been told FTX was safe and used sophisticated risk measures. A later SEC release described consent judgments resolving litigation against former executives without the defendants denying the allegations.

These are allegations described by the SEC, not a measured account of fraud across U.S. startups. They highlight why a company’s own assurance that it has strong controls is not enough if insiders can override those controls or receive special treatment. Investors need meaningful visibility into connected-party dealings and conflicts, and controls must apply to insiders as well as ordinary users.

How EU Inc. can combine speed with verifiable safeguards

The cases do not establish a single governance mechanism that would have stopped the alleged conduct. They do suggest practical questions for legislators and investors to ask as the proposal is negotiated and implemented. These are criteria for evaluating the framework, not features the Commission has already specified.

1. Faster formation should still support reliable checks

A 48-hour registration target and a €100 maximum registration cost could reduce friction if adopted as proposed. The relevant test is not speed alone: the process also needs dependable identity and filing checks. Policymakers should consider how to reduce repetitive procedural burdens without treating rapid digital registration as evidence that a company’s claims, owners, or activities have been independently validated.

2. Easier financing should not obscure ownership or conflicts

Smoother financing and share transfers can help companies raise capital. The corresponding test is whether investors can obtain reliable information about ownership, connected parties, conflicts of interest, and transactions that may benefit insiders. FTX shows why ordinary risk disclosures and a company’s assurances about safety may not be meaningful if important related-party arrangements remain concealed, as the SEC alleged.

3. Digital operation should leave an auditable record

Digital procedures can make company administration more accessible, but digital convenience is not itself oversight. The framework should be judged on whether corporate information and key decisions remain sufficiently reliable and auditable for investors and relevant authorities to scrutinise. For technology claims, that includes distinguishing current, independently validated performance from development plans and identifying when third-party systems do the work.

4. Easier closure or restarting should not erase accountability

A streamlined company lifecycle can make failure less costly and allow legitimate entrepreneurs to try again. Its test is whether procedures for closure or restarting preserve appropriate accountability for misconduct. The proposal’s stated goal of streamlined closure does not, by itself, answer how that balance will be achieved; the final rules and their implementation will matter.

What to watch as the proposal develops

When comparing the proposal with later amendments or the final law, look for answers to four questions: Are formation speed and cost paired with credible identity and filing checks? Can investors see ownership, related-party dealings, and conflicts? Do digital processes produce dependable information that can be scrutinised? Does easier closure preserve accountability for misconduct? The Commission’s proposal materials establish its aims and public timetable, but do not establish the eventual law’s real-world effect on fraud.

The core lesson is that competitiveness and investor protection need not be competing goals. EU Inc. can reduce needless procedural friction while keeping company claims, conflicts, and control accountability verifiable. That is the standard by which its promised speed should be judged.
