A company fundraise can mean either borrowing money or issuing new equity. Borrowing normally leaves your percentage ownership unchanged but creates interest, repayment and covenant obligations. Issuing shares brings in cash in exchange for a claim on future profits and voting rights, so your percentage stake can fall unless you buy enough of the new issue.
That percentage change is dilution, but it is not the same as an automatic fall in the value of each share. The result depends on the amount raised, issue price, security rights, use of proceeds, post-transaction share count, and the law and documents governing the offer.
Start by identifying what the company is actually raising
“Fundraise” is a financing description, not a single transaction type. HM Revenue & Customs explains that a company can raise capital by borrowing, which must ultimately be repaid with interest, or by issuing shares for cash. Only the second route directly changes the number of ownership units in the company.
Recommended Free Tools
| Funding route | What the company receives | Immediate effect on an existing ordinary shareholder | Main obligations or risks to examine |
|---|---|---|---|
| Debt | Cash under a loan, note or other borrowing arrangement | No new shares are issued, so your percentage ownership is not immediately reduced | Interest, principal repayment, financial covenants, security over assets and possible default consequences |
| New equity | Cash in exchange for newly issued shares or another ownership security | Your percentage and potentially your voting influence fall if you do not acquire a proportional amount | Issue price, class rights, number of new securities, use of proceeds and any rights to participate |
| Convertible or warrant-linked financing | Cash through debt or preferred securities with a right to obtain shares later | May be unchanged initially but can be diluted when conversion or exercise occurs | Conversion price, triggers, caps, discounts, warrant coverage and the fully diluted share count |
A loan can therefore avoid immediate ownership dilution while increasing the company’s fixed financial commitments. An equity issue removes a repayment obligation on the new capital but gives new investors an economic and, depending on the class, voting interest. A hybrid instrument can have both sets of consequences at different dates.

How issuing more shares changes your percentage
Your ownership percentage is calculated against the company’s total shares in issue. If the company creates additional shares and you do not buy a proportional number, the denominator grows while your share count stays the same.
A simple numerical example
Assume a company has 1,000,000 ordinary shares and you own 10,000. Before the raise, your holding is 1% of the company. If the company issues 250,000 new ordinary shares and you do nothing, the total becomes 1,250,000. Your 10,000 shares then represent 0.8%:
10,000 ÷ 1,250,000 = 0.8%
If the offer lets you subscribe for 2,500 shares (the same 1-for-4 proportion as your existing holding) and you take up that allocation, you own 12,500 of 1,250,000 shares and remain at 1%. The cash required, subscription deadline and eligibility rules come from the offer documents; a right to subscribe is not a requirement to do so.
Use the right denominator
Announcements may quote an “issued share capital” figure that excludes options, warrants or shares issuable on conversion. For a realistic ownership estimate, ask for both the current issued shares and the post-transaction fully diluted count. If the new securities can convert into ordinary shares, the headline dilution may understate the eventual percentage change.
Percentage dilution is different from investment-value dilution
An SEC-filed offering document distinguishes control dilution from value dilution. Control dilution is the reduction in the percentage of the company, and potentially the voting influence, represented by your shares. Value effects depend on what the company raises, the price paid, the assets or growth created with the money, and the rights attached to the new securities.

For example, an investor’s percentage can decline from 1% to 0.8% while the company’s total value rises enough that the investor’s shares are worth more in money terms. The reverse is also possible: a company may issue shares at an unattractive price, spend the proceeds unsuccessfully, or add senior claims that weaken the position of existing holders. A lower percentage therefore does not prove that each share lost value, and a larger company valuation does not guarantee that an individual holding improved.
Questions that separate the two effects
- What was the company’s value immediately before the raise, and at what price are the new securities issued?
- How many new securities are issued relative to the pre-raise and fully diluted totals?
- Do the new securities have superior dividends, liquidation preference, voting rights or conversion rights?
- Will the proceeds fund operations, expansion, acquisitions, debt repayment or a balance-sheet shortfall?
- What assumptions must be met before the spending is expected to create value?
Rights issues can let existing holders preserve their percentage
In a rights issue, shares are offered to existing shareholders in proportion to their holdings, usually at a discount to the prevailing market price. HMRC’s Stamp Taxes on Shares Manual, section STSM072020, describes the principle this way: “This ‘rights issue’ gives shareholders the right, but no obligation, to subscribe for further shares.”

That opportunity is not automatic protection. To maintain your percentage, you generally must:
- Read the offer notice to confirm the record date, entitlement ratio, subscription price and deadline.
- Check whether the offer is renounceable or transferable, meaning the right can be sold if you do not want to invest.
- Provide the required instructions and payment through the channel specified by the company or registrar.
- Verify whether a minimum application, investor qualification or currency requirement applies.
If you decline, miss the deadline or cannot satisfy the terms, your percentage can be diluted. Some offers provide a mechanism for unsubscribed shares to be sold or placed with other investors; the treatment of that value depends on the documents and local rules.
Pre-emption rights depend on jurisdiction, entity and transaction terms
Pre-emption is the principle that existing shareholders receive the first opportunity to subscribe for certain new shares, usually in proportion to their holdings. It is not a universal entitlement for every fundraise or every security class.

United Kingdom illustration
HMRC’s government tax manual, published on 7 March 2016 and updated on 2 September 2026, describes a UK rights-issue approach in which new shares are offered first to existing shareholders proportionally. The manual is a tax reference, not a complete statement of every company-law exception. The company’s articles, shareholder resolutions, listing rules and the particular offer must be checked.
Irish illustration
An SEC-hosted proxy statement dated 2 January 2026 describes Irish statutory pre-emption rights for certain cash issues. It also explains that those rights may be disapplied or opted out of with shareholder approval. That is an example of jurisdictional variation, not a rule that applies to companies everywhere.
Before assuming you can participate, identify the company’s incorporation country, the governing law, the class of security being issued and whether shareholders have approved a waiver. A prospectus, circular, offer letter and the company’s constitutional documents may each contain a different piece of the answer. This is general information, not individualized legal advice.
Terms that can materially change the outcome
Issue price and discount
A low subscription or placement price can transfer economic value to incoming investors if the new capital does not compensate for the discount. Compare the price with the relevant market price, the company’s stated valuation and any preferential rights. A discount alone does not determine whether a transaction is favorable, because the cash raised and the company’s prospects matter too.
Security class and seniority
“New shares” may not have the same rights as your existing shares. Preferred or special classes can receive priority dividends, liquidation proceeds or enhanced voting rights. Read the rights schedule rather than relying on the word “share” in a headline.

Convertibles, options and warrants
A note or preferred security may convert into ordinary shares later, while warrants or options give someone the right to buy shares at a stated price. Examine the conversion ratio, exercise price, expiry, anti-dilution adjustments and events that trigger conversion. Calculate ownership both immediately after closing and after all in-the-money instruments are exercised or converted.
Use of proceeds
Management should state whether the money will support day-to-day operations, product development, expansion, an acquisition, debt repayment or general corporate purposes. The stated use helps you judge the investment case, but it is not a guarantee. Track whether subsequent filings show the money being used as described.
Shareholder approvals and waivers
The transaction may require approval to issue shares, create a new class, disapply pre-emption rights or increase an authorized capital limit. A vote can change your practical ability to participate even when a general pre-emption principle exists.
A practical method for assessing a specific fundraise
- Obtain the primary documents. Collect the announcement, prospectus or offering circular, subscription form, shareholder circular, articles and any filing describing the capital structure.
- Confirm the instrument. Determine whether the transaction is debt, ordinary equity, preferred equity, a convertible, a warrant issue or a combination.
- Write down the share counts. Record existing issued shares, new securities, reserved options and the post-raise fully diluted total. Do not mix a basic count with a fully diluted count.
- Calculate your unadjusted percentage. Divide your current shares by the post-raise total if you do not participate.
- Calculate the participation case. Apply the entitlement ratio, subscription price and any oversubscription rules to see whether taking up the offer preserves your percentage and what cash is required.
- Check eligibility and deadlines. Confirm the record date, settlement arrangements, residency restrictions, minimum applications and the exact time zone for the closing deadline.
- Read the rights schedule. Compare voting, dividend, conversion and liquidation terms for the new securities with those of your existing class.
- Assess the balance sheet. For debt, examine interest, maturity, security and covenants. For equity, consider whether the raise is sufficient for the stated plan and whether further raises appear likely.
- Test the use of proceeds. Identify the operational milestone or balance-sheet objective the money is intended to fund, then distinguish management’s forecast from a guaranteed outcome.
- Check approvals and waivers. Find any resolution that disapplies pre-emption rights or authorizes a larger issuance than the headline transaction.
Common situations and what they mean
You own ordinary shares and ignore a discounted rights issue
Your share count stays constant while the total rises, so your percentage falls. Whether the holding’s monetary value falls depends on the subscription price, the company’s value after the raise and the treatment of any saleable rights.

You take up your full entitlement
Your percentage can remain broadly constant if the issue is genuinely pro rata and no other securities alter the denominator. You still commit additional cash and accept the company-specific investment risk.

The company places shares privately with new investors
A private placement can dilute holders who are not invited or cannot participate. The placement price, investor rights and any shareholder authorization are especially important because a general pre-emption expectation may have been waived.
The company raises debt instead
Your percentage is not immediately diluted, but the company must service and repay the borrowing. Interest expense and restrictive covenants can reduce flexibility; failure to comply can have consequences for all shareholders.
A convertible is issued
There may be no immediate change in ordinary shares, yet conversion can create substantial future dilution. Use the instrument’s maximum conversion terms to model the fully diluted outcome rather than relying on the closing share count.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesPitfalls that lead to wrong conclusions
- “Any fundraise dilutes me.” Debt does not issue shares, and a pro rata subscription can preserve your percentage.
- “Dilution means I lost the same percentage of value.” Ownership percentage and per-share value are separate questions.
- “A rights issue means I will automatically receive shares.” It is a right to subscribe, not an obligation or an automatic allocation without payment and timely instructions.
- “Pre-emption works the same everywhere.” Rights differ by country, company type, security class, constitutional documents and shareholder approvals.
- “The headline share count is the final count.” Options, warrants and convertibles can expand the fully diluted total later.
- “A stated use of proceeds guarantees growth.” It describes management’s plan, not the outcome.
What you need before making a company-specific judgment
No reliable conclusion about one shareholder’s outcome can be reached without the company, jurisdiction, share class, current and post-raise capitalization, offer price, instrument terms, use of proceeds and any approvals or waivers. Those details determine whether you can participate, how much cash participation requires and whether the transaction changes control, economic priority or only the company’s financing obligations.
