A defense contractor employee’s service on a Pentagon advisory committee does not, by itself, bar the employee from serving or the employer from competing for contracts. The first question is the person’s formal appointment status: a Special Government Employee (SGE) is subject to federal employee ethics rules, while a representative member is not a Government employee for those rules. Separately, the employer’s work may raise an organizational conflict of interest under federal acquisition rules. Each issue depends on the specific appointment, interests, matters, contract work, and procurement.
Start with the person’s formal appointment
The label “adviser” does not establish someone’s legal status. Federal advisory committee members are often appointed as SGEs, but some are selected to represent an interest group. The actual appointment and designation—not the person’s employer or the committee’s informal terminology—determine which federal employee ethics rules apply. Confirm the status with the appointing office or Designated Federal Officer (DFO). The Office of Government Ethics (OGE) explains the distinction in its guidance on federal advisory committees.

Representative status is not a general exemption from other obligations, and neither category determines the employer’s acquisition risk. OGE’s August 18, 2005 guidance also describes the status distinction; appointment-specific advice should come from the responsible agency office.

Under 18 U.S.C. § 208, a federal employee—including an SGE—may not participate personally and substantially in an official capacity in a particular matter that, to the employee’s knowledge, has a direct and predictable effect on the financial interest of the employee or a person or organization whose interests are imputed to the employee. DoD’s Standards of Conduct Office explains the rule in its current conflicts-of-interest guidance and in SGE advisory committee training revised in January 2024.

Imputed interests can include those of a spouse, minor children, general partners, certain organizations where the employee serves in specified roles or as an employee, and a person or organization with whom the employee is negotiating or has an arrangement for prospective employment. Depending on the facts and statutory treatment, a contractor employee’s company employment, equity, board or officer position, and discussions about future employment may therefore matter.
The restriction is matter-specific. Employment by a defense contractor does not automatically disqualify someone from every advisory role or require recusal from every committee topic. The question is whether the person may participate in a particular matter given the relevant financial interests and applicable rules. Disclose relevant interests through the required process and obtain ethics advice before participating in a matter that could affect them. The agency may identify recusal or another authorized resolution; do not treat an informal assumption as clearance.

Financial disclosure and other ethics rules
DoD’s January 2024 SGE training says most SGEs must file a Confidential Financial Disclosure Report (OGE Form 450), or in some cases a DoD alternate form. The appointing office should confirm which form applies and when it is due; do not assume every advisory member files the same report.

Their application depends on the person’s status and circumstances. Before accepting post-service work or communicating with the Government on a matter connected to the service, seek advice from the agency ethics official.

The employer’s organizational conflict is a separate question
An individual’s restriction under § 208 is not the same legal issue as an organizational conflict of interest (OCI) involving the contractor. FAR Subpart 9.5 addresses organizational and consultant conflicts, including circumstances in which a contractor’s work may impair objectivity, give it unequal access to information, or create an unfair competitive advantage. DoD’s DFARS Subpart 209.5 adds DoD-specific requirements and describes mitigation and other resolution approaches.
A contractor employee’s advisory service can be a relevant fact in an OCI review, but the reviewed FAR and DFARS provisions do not establish a blanket rule that the appointment automatically disqualifies the employer from contracts. The contracting officer’s assessment depends on the procurement and contract facts, including the company’s work and access to information. FAR guidance provides for restraints appropriate to significant potential conflicts, which may include limits on eligibility for future contracts or subcontracts; applicable resolution can vary by circumstances.

Keep the two reviews distinct
- Individual ethics review: Does the member’s appointment trigger federal employee ethics rules, and can the member participate in the specific matter given relevant financial interests?
- Company acquisition review: Does the contractor’s work, role, or information access create an OCI for a particular procurement or contract, and what resolution is available or required?
An agency ethics official or DFO can advise on the appointment and individual ethics process. For company acquisition exposure, involve company counsel and the contracting officer. One review does not substitute for the other.

How to assess an advisory role and overlapping contract work
- Confirm the appointment category. Ask the appointing office or DFO whether the person is an SGE, a representative member, or in another category. Review the appointment documentation rather than relying on a job title.
- Establish the individual disclosure and participation rules. For an SGE, ask the agency ethics official which financial disclosure form and filing deadline apply, what interests must be reported, and which matters require recusal or another authorized resolution.
- Map relevant interests to committee matters. Identify employer relationships and financial interests that could be affected, including prospective-employment discussions. Ask for advice before participating in a matter that may implicate them.
- Review the company’s acquisition exposure separately. Before accepting work that overlaps with advisory duties, have company counsel and the contracting officer assess the specific contract or procurement, the contractor’s role, its access to information, and any objectivity or competitive-advantage concern under FAR and DFARS.
- Document the resolution. Keep a record of agency-approved recusal, mitigation, or other resolution. Do not rely on an informal assumption that the issue has been cleared.
- Check post-service restrictions before acting. Consult the agency ethics official about applicable restrictions on representational activity and post-government communications, including the statutes identified in DoD’s SGE training.
Why there is no universal yes-or-no answer
The outcome turns on the member’s formal status, the particular matter and financial interests, the contractor’s work and information access, and the procurement context. The relevant authorities establish separate individual-ethics and organizational-conflict frameworks; they do not support a universal conclusion that every contractor employee may serve without restriction or that every advisory appointment bars the employer from contracts. Get appointment-specific advice from the agency ethics official or DFO, and contract-specific advice from the contracting officer and company counsel.
