Investing in Ether (ETH), Ethereum’s native asset, can result in a substantial loss or even the loss of your entire investment. The main risks are sharp price swings, uncertainty about Ethereum’s adoption and development, technical or cyber incidents, custody failures, regulatory changes, and—in the case of staking—lock-ups, slashing, fees, and reliance on providers. Buying a spot Ether exchange-traded product (ETP) changes how you hold exposure; it does not remove the risk that Ether falls in value.

Can you lose all your money investing in Ether?

Yes. Ether has no claim on a company’s earnings or government backing in the issuer disclosure discussed here. Its value depends significantly on expectations about the Ethereum network, transactions, and Ether’s use. The U.S. Securities and Exchange Commission’s Office of Investor Education and Advocacy wrote in its September 9, 2024 investor bulletin that “Investors should understand that bitcoin and ether are highly speculative investments.”

In its annual report for the year ended December 31, 2024, Invesco Galaxy Ethereum ETF warned that “The value of the Trust’s investments in ether could decline rapidly, including to zero.” That is a risk disclosure about the trust’s holdings, not a forecast. Neither source establishes a probability of loss, a future price, or an expected return.

What could make Ether’s value fall?

Volatility and speculation

Ether’s market price can move sharply, and speculative expectations can amplify both gains and losses. A large decline may leave an investor with much less than the amount invested; the cited issuer disclosure also identifies the possibility of a decline to zero.

Adoption, development, and competition

The Ethereum network’s future use and development are uncertain. Invesco’s 2024 annual report says that adoption could slow, stop, or reverse, which could adversely affect Ether’s price. It also describes risks around scaling, upgrades, software changes, and forks. Because Ethereum is an open-source decentralized project without a controlling issuer or software-development administrator, contributors may leave or lack the resources or agreement needed to address technical issues. These are risks identified in that filing, not claims that a specific upgrade has failed.

Competition from other networks is another consideration: demand and expectations may change if users or applications choose alternatives. The cited materials do not establish a current ranking of competing networks or predict which will succeed.

How can technical and cyber incidents cause losses?

Risks can arise at several distinct layers. A flaw in Ethereum-related code could be exploited or interfere with functionality. Separately, exchanges, trading venues, custodians, and transfer services can be attacked. The SEC Crypto Task Force’s April 17, 2025 Digital Economy Initiative memorandum also lists risks including forks, malicious exploitation of code flaws, and accidental transfers to incorrect addresses.

  • Network and software: code flaws, disruptive changes, or forks may affect use or expectations.
  • Transactions: sending ETH to the wrong address may be difficult or impossible to reverse.
  • Service providers: an exchange, custodian, or transfer service may be compromised or become unavailable.

These are not interchangeable risks: a secure wallet does not prevent a fall in Ether’s market price, and strong network security does not guarantee that an exchange or custodian is safe. A hardware wallet changes some custody exposure but cannot make a mistaken transaction reversible.

What are the trade-offs between self-custody and third-party custody?

A crypto wallet does not contain Ether itself; it stores private keys that authorize transactions. The SEC Office of Investor Education and Assistance’s December 12, 2025 custody bulletin warns: “If you lose your private key, you permanently lose access to the crypto assets in your wallet.” This applies to access through self-custody: the holder is responsible for protecting keys and recovery information.

Choice Who controls access? Main risks and trade-offs
Self-custody with a hot wallet You control the private keys; the wallet is connected to the internet. You must protect keys and recovery information, while internet connectivity brings cyber exposure.
Self-custody with a cold wallet You control the private keys, typically using a physical device not connected to the internet. Cold wallets are generally more secure from cyberthreats than hot wallets, according to the SEC, but the device can be lost, damaged, or stolen; key and backup protection remain your responsibility.
Third-party custody A provider controls access to the keys. You rely on the provider’s security and continued operation. A hack, shutdown, or bankruptcy can result in loss of access.

Each choice shifts responsibilities and failure points; none removes the risk of Ether losing value.

What regulatory risks should investors consider?

Rules may change in ways that affect Ether’s use, network operation, trading venues, or investment arrangements. Invesco’s 2024 annual report warns that acquiring, holding, selling, or using Ether could become difficult or illegal in one or more countries, potentially affecting its price. The SEC materials cited here are U.S. sources; they do not establish the legal status of Ether, exchanges, staking services, or ETPs in every jurisdiction. Investors should check the rules that apply where they live and trade.

What additional risks come with staking ETH?

Staking involves participating in proof-of-stake validation, directly or through an arrangement with a provider. Depending on the protocol and service, it can introduce operational, liquidity, and intermediary risks beyond holding ETH without staking.

  • Lock-up and liquidity: protocol terms may restrict access to staked assets. With liquid staking, redemption of a receipt token may still be subject to an unbonding period.
  • Slashing: protocol rules may penalize conduct such as validating invalid blocks or double-signing, reducing staked assets. The SEC Division of Corporation Finance’s May 29, 2025 statement describes these protocol risks.
  • Provider and receipt-token dependence: liquid-staking arrangements can involve a provider controlling deposited assets and issuing receipt tokens. The value, operation, and redemption of the receipt token depend on the arrangement.
  • Fees and uncertain rewards: provider fees can reduce rewards. The cited SEC statements do not establish that staking is profitable or risk-free.

The SEC Division of Corporation Finance’s May 29 and August 5, 2025 statements describe particular staking and liquid-staking activities and express the Division’s views in those circumstances. They are not a universal legal determination for every staking product, provider, token, or investor arrangement.

Is a spot Ether ETP safer than buying ETH directly?

A spot Ether ETP can provide price exposure without requiring you to transact personally on a crypto platform or manage wallet keys. It also introduces product-level risks and does not protect against a decline in Ether’s value. The SEC’s September 9, 2024 bulletin describes spot Ether ETPs as exchange-traded commodity trusts holding Ether, rather than ETFs registered under the Investment Company Act of 1940.

Consideration Direct ETH ownership Spot Ether ETP
Custody You manage private keys yourself or rely on a separate custodian. The product uses its own trust and custody arrangements; you hold shares rather than managing the underlying Ether keys.
Exposure Your asset is Ether, whose market price can fall sharply. Your shares are intended to provide Ether exposure, but their market price can differ from Ether’s price and the product’s net asset value (NAV).
Costs Trading and network costs may apply, depending on how you transact. Sponsor fees and other product expenses can reduce value; the cited sources do not provide a current fee comparison among products.
Other risks Wallet, key, platform, and transaction risks depend on how you hold and use ETH. Underlying-market fraud or manipulation, share-price tracking differences, and product-specific custody and disclosure risks remain. The SEC bulletin notes that these trusts are not subject to Investment Company Act requirements such as those applying to registered investment companies for valuation and custody.

Neither structure is categorically safer for every investor. The relevant trade-off is whether you prefer direct control and its responsibilities or share-based exposure with the ETP’s fees, custody arrangements, and potential tracking differences.

How can you assess the risks before investing?

  • Decide whether you can afford a substantial loss, including the possibility of losing the full amount invested.
  • Separate your view of Ethereum’s network adoption and technical development from assumptions about ETH’s future market price.
  • Choose how you will hold ETH and understand who controls the keys, how access can be recovered, and what could happen if a provider fails.
  • If considering staking, check lock-up and unbonding terms, slashing exposure, fees, and which party controls the assets.
  • If considering an ETP, read its disclosure for sponsor expenses, custody, share-price tracking, and the possibility of trading above or below NAV.
  • Check the applicable rules in your jurisdiction; the U.S. regulatory materials cited here are not a country-by-country legal guide.
