A document management system (DMS) is software or an organized system for capturing, storing, organizing, finding, tracking, and controlling documents as they move through work. It gives people a shared way to locate and manage documents, often with search, metadata, access controls, version history, and workflow tools. The exact features vary; no single feature list is universal.
What does a document management system do?
A DMS supports documents from intake through active use and, where appropriate, retention or disposal. It can be a software platform, an organized system, or a combination of processes and technology. Microsoft describes a DMS as a centralized, searchable, secure solution for organizing, tracking, and updating documents; IBM emphasizes capturing, tracking, and storing electronic documents such as PDFs, word-processing files, and digital images of paper content.
In practice, its work can be understood in four stages:

Scanning is one option, not a requirement when documents are already digital or enter through another method. Microsoft’s overview of document management describes scanning as a capture route.
- Organize and describe: Store documents centrally and classify them with folders, metadata, or other indexing so people can identify what a document is and where it belongs.
- Find, share, and revise: Search and retrieve documents, manage who can access them, collaborate, and keep track of revisions. Version control helps distinguish current work from earlier versions.
- Govern the lifecycle: Route documents through review or approval and apply retention or disposal processes when the organization needs them. Those governance capabilities depend on the system and how it is configured.
These stages summarize common functions, not a promise that every DMS performs all of them. Microsoft’s feature overview and IBM’s description identify overlapping capabilities such as storage, retrieval, access controls, search, and tracking, while the specific offering depends on the system.

What are the features of a DMS?
When evaluating what a DMS can do, treat features as capabilities to check against your work rather than a universal checklist.
- Search and indexing: Can people find the documents they need using terms or metadata appropriate to your document types?
- Metadata and organization: Can documents be described and grouped in ways that match how your organization works?
- Permissions and security: Can access be controlled for the people and groups who need it?
- Version history: Can users identify and manage revisions without confusing older copies with current work?
- Audit trails: Does the system record relevant activity when accountability or tracking matters?
- Workflow and collaboration: Can documents move through review, approval, or collaborative work as needed?
- Retention and disposition: If some documents must become formal records, can the system support the required governance process?
Microsoft and IBM describe common DMS features and benefits, but neither description makes every capability mandatory for every system. Confirm the actual functions and configuration rather than inferring them from the label “DMS.”

How is document management different from records management?
Document management covers working documents and their lifecycle, including creation, review, publication, and eventual retention or disposal. Microsoft Learn describes document management as controlling that lifecycle. Records management applies more specific controls to material designated as records, particularly when it is regulatory, legal, or business-critical.

NARA’s 1999 Bulletin 99-04 A defines an electronic recordkeeping system in terms of collecting, organizing, and categorizing records to support preservation, retrieval, use, and disposition. It notes that recordkeeping functionality can be part of an electronic document management system or a distinct system. That bulletin is historical guidance, not a current standalone compliance checklist.

Start with the documents and lifecycle requirements the organization actually has, then assess whether a system can support them. NARA’s Universal Electronic Records Management Requirements describe high-level business needs and are intended as a starting point for agencies to tailor, not a one-size-fits-all specification.

- Findability: Identify how people search for each document type and what indexing or metadata would make retrieval practical.
- Control: Determine who should access documents, whether activity needs to be auditable, and how revisions should be handled.
- Process fit: Map review, approval, and collaboration steps that the system would need to support.
- Governance: Establish whether documents become formal records and what retention, access restrictions, and disposition processes apply.
- Deployment fit: Compare the required capabilities with what the system actually offers and how it can be configured for the organization.
A DMS label by itself does not establish that a system meets legal or regulatory obligations. Requirements depend on the organization, its content, and applicable rules; NARA’s guidance supports tailoring requirements to those needs.
