Western Digital completed the separation of its hard-drive and Flash businesses on February 21, 2025. Western Digital kept its HDD business, while Sandisk Corporation became the independent company for the Flash business. WDC shareholders received Sandisk shares in a spin-off, and Sandisk began trading on Nasdaq as SNDK on February 24, 2025.
What happened to Western Digital and SanDisk?
Western Digital split its HDD and Flash businesses into two public companies. The separation was completed on February 21, 2025: Western Digital continued with its existing hard-disk-drive business, and Sandisk Corporation held the Flash business. Western Digital’s filing describes Sandisk as formerly a wholly owned subsidiary.
This was a spin-off through a pro rata distribution of shares, not a sale of the Flash business to an outside buyer. The companies became independent, although Western Digital retained a 19.9% stake in Sandisk immediately after the distribution.
How the spin-off worked for WDC shareholders
Western Digital distributed 80.1% of Sandisk’s outstanding shares to Western Digital shareholders of record on February 12, 2025. Eligible holders received one-third of a Sandisk share for each Western Digital share they held on that record date. The distribution was completed on February 21, 2025.

The distribution ratio describes the shares allocated, not a cash payment or a guarantee of any particular market value. Sandisk began independent trading on Nasdaq under ticker SNDK on February 24, three days after the separation date.
Which business belongs to each company now?

Sandisk’s filing groups its markets into Datacenter, Edge, and Consumer. That range reflects the scope of the Flash business; it does not mean every product, contract, employee, asset, or liability moved in a simple one-for-one transfer. The companies’ filings describe separation arrangements under which some assets and liabilities were retained by Western Digital while others transferred to Sandisk.

Why did Western Digital pursue the split?
When it announced the plan on October 30, 2023, Western Digital said separating the businesses could let each pursue product development and growth opportunities suited to its market, operate with a separate capital structure, and make its own capital-allocation decisions in pursuit of long-term shareholder value. Those were the company’s stated reasons for the transaction; they are not, by themselves, evidence that the separation produced those outcomes.

- October 30, 2023: Western Digital announced that its board had authorized management to pursue separating the Flash business into an independent public company.
- January 31, 2025: The SEC declared Sandisk’s Form 10 registration statement effective, according to the filing record summarized in Sandisk’s annual report.
- February 12, 2025: Record date for determining which Western Digital shareholders were eligible for the distribution.
- February 21, 2025: Separation and distribution completed; Western Digital distributed 80.1% of Sandisk’s outstanding shares.
- February 24, 2025: Sandisk began independent trading on Nasdaq under SNDK.
What does “SanDisk reemerges” mean?
In this corporate context, “reemerges” refers to Sandisk returning as the name of an independent public company after the Flash business was separated from Western Digital. It does not mean the February 2025 transaction was a sale of the business or that Western Digital disappeared: Western Digital remained the HDD-focused company, while Sandisk became the separately traded Flash company.
