Paying for a VTuber model does not automatically give you every commercial right or the copyright in every component. Your usable rights depend on the written commission terms, the assets included, and any separate software or material licenses. Before you stream, sell merchandise, accept sponsorships, transfer the model, or publish a rigged file, identify what is licensed, what you own, what credit is required, and which activities need additional permission.
What a VTuber model license actually controls
A modern VTuber package can contain an original illustration, layered source art, a rig, textures, hair meshes, fonts, music, software output, and downloaded third-party materials. Each element can have a different rights holder. A commission payment may purchase delivery of files and a defined permission to use them, while copyright in some underlying elements remains with the artist, software company, or asset creator.
That is why “commercial use included” is not a complete answer. A license might permit monetized streams but exclude merchandise, paid advertising, resale, or transfer to an agency. Another agreement might allow broad uses while requiring a specific artist credit. The signed terms and the licenses attached to supplied materials control the result.

- Possession means you have a file, such as a PSD, model file, or exported texture.
- A license is permission to perform stated acts, such as displaying the model in videos or selling products.
- Ownership means holding intellectual-property rights in the relevant work. Ownership of one part does not automatically include software, presets, fonts, or third-party assets used with it.
Live2D’s agreement illustrates the split: “The Customer owns the title, copyright, and other intellectual property rights in the Derivative Work, but ownership of any intellectual properties, such as patent right, copyright and the like, of the Software and any portion(s) of the Software remains with Live2D.” A customer can therefore own a derivative work while Live2D retains rights in its software and supplied components.

Commercial uses to confirm before monetizing
Ask the artist or seller to answer each activity in writing. Do not infer permission from a price, a marketplace label, or the fact that another buyer used a model commercially.
Streaming and platform income
Confirm permission for live streams, recorded videos, clips, memberships, tips, advertising revenue, sponsorship integrations, and appearances on each platform you use. A clause that permits “personal use” may not cover a company channel, paid campaign, or an agency-managed account.
Products and paid media
Merchandise, books, games, applications, figures, advertising artwork, and paid appearances should be listed separately. VRoid’s official examples include for-profit appearances; selling exported model data; monetized images and videos; merchandise; games; applications; commissions; and figures, provided no special clause limits the particular model, texture, or item.

Agency, team, and client work
If a talent agency, studio, or client will operate the avatar, obtain permission for organizational use rather than relying on a personal-use grant. Check whether the license permits employees, contractors, editors, moderators, or affiliated channels to access and publish the files.

Resale, transfer, and sublicensing
Commercial permission does not automatically allow you to sell the model, give it to another performer, sublicense it, or transfer it during a rebrand. These are separate rights. A contract should state whether transfer is allowed, whether the original artist must approve it, and whether the recipient receives editable source files or only an exported model.
How ownership is divided in common tool ecosystems

These are ecosystem-level rules, not a replacement for a commission contract. An artist can impose a narrower term where the platform’s rules allow it, and a downloaded asset can carry its own conditions.
VRoid: broad examples, but special clauses prevail
VRoid’s guidance distinguishes creator-made work from pixiv-supplied components. The official wording states: “The copyright and other rights for textures and hair meshes you created from scratch on VRoid Studio or other tools belong to you, the creator.” That does not transfer rights in presets or other supplied components.

What to record for a VRoid asset
- Identify every downloaded preset, texture, hair mesh, or other component used in the model.
- Save the item’s current terms and the date you accepted or downloaded them.
- Check whether the creator permits commercial use, redistribution, exported-data sales, and credit.
- Replace or remove any component whose terms conflict with your planned merchandise, game, or transfer.
Live2D: publication and material licenses are separate decisions
Live2D’s proprietary software agreement generally requires a separate “Live2D Publication License Agreement” for publication or distribution of derivative work. Buying or using the software is therefore not, by itself, a blanket publication authorization.
The Live2D Free Material License Agreement adds another layer. Rights in supplied material remain with Live2D unless expressly granted, redistribution is restricted, and derivatives using covered original characters must display the copyright notice designated on the relevant character download page. Commercial permission depends on the user category and the individual character’s terms.
Live2D’s help guidance says general users and small-scale enterprises may use sample materials for commercial or non-commercial creative activity after accepting the Free Material License Agreement and the individual character terms. Confirm that your organization and planned distribution fit those categories before release.

Live2D publication checklist
- List the software version, model files, sample materials, and original-character materials used.
- Accept the applicable Free Material License Agreement and save its terms.
- Read the individual character’s download-page conditions, including the exact copyright notice.
- Determine whether your publication or distribution requires the separate Publication License Agreement.
- Keep proof of the license and place the required notice where the terms specify.
Artist, rigger, software, and asset credit
Credit is often a condition of permission, not merely a courtesy. Requirements are not uniform: VRoid creators can set credit terms for each model, texture, and item, while Live2D free-material terms require the notice designated for the relevant character.

Put credit details in the commission brief and final delivery record. Specify the exact name or handle, whether a website must be linked, where the credit appears, and whether the artist and rigger need separate attribution. Keep the wording unchanged unless the licensor approves an update.
Practical credit locations
- Profile or channel “about” panel for ongoing model credits.
- Video descriptions and stream panels for individual broadcasts.
- Game, application, or merchandise credits where the asset is used.
- Readme or license file delivered with a redistributed project when redistribution is permitted.
If a platform limits visible description space, ask whether a profile link or consolidated credits page satisfies the agreement. Never assume that tagging an artist substitutes for a required copyright notice.
Contract terms every VTuber commission should spell out
Use a written agreement that answers the following questions before the first payment or final delivery.
- Media: Are live streams, videos, clips, sponsorships, advertising, merchandise, books, games, applications, appearances, and figures included?
- Files: Do you receive the PSD, layered art, model file, rig file, textures, physics settings, and editable source files, or only exports?
- Scope: Is the license exclusive or non-exclusive, perpetual or time-limited, worldwide or territory-limited, and revocable or irrevocable?
- Transfer: May you sell, gift, transfer, sublicense, or assign the model to another performer, agency, or buyer?
- Attribution: What exact artist, rigger, software, and asset credits are required, and where must they appear?
- Third-party exclusions: Which fonts, music, presets, meshes, sample materials, or other components have separate terms?
- Revisions: Who may edit the art or rig, and are derivative outfits, redesigns, or alternate expressions included?
- Termination: What happens to existing videos, merchandise, saved files, and future uploads if the agreement ends, the artist withdraws, or the model is retired?
Step-by-step rights audit before launch
- Inventory the package. Make a list of illustration layers, rig files, textures, meshes, fonts, music, software output, presets, and downloaded materials.
- Map each item to a rights holder. Mark whether it was created by you, commissioned from an artist, supplied by a platform, or downloaded from a third party.
- Match activities to permissions. Write down every planned use, including monetized streams, sponsorships, clips, merchandise, games, appearances, and agency work.
- Find gaps. Any activity not expressly covered should be paused until the rights holder confirms it in writing.
- Verify publication requirements. For Live2D materials, check the Publication License Agreement question and the character-specific copyright notice.
- Store evidence. Keep the signed commission, invoices, delivery messages, license versions, download pages, and credit wording in one folder.
- Publish credits. Add the required names and notices before the first public upload or sale.
Common mistakes and how to correct them
“I paid, so I own everything”
Payment proves a transaction, not the scope of copyright transfer. Ask for an explicit assignment if ownership is intended; otherwise treat the written license as controlling.

“Commercial use” means every commercial channel
A broad phrase can still be narrowed by a special clause or a third-party asset. Request a list of covered media and obtain permission for omissions.
Redistributing the model to an editor or agency
File access may be redistribution or sublicensing. Confirm that contractors and agencies are authorized, limit access to the necessary files, and document the authorization.
Removing credit after a rebrand
Credit obligations usually continue unless the agreement says otherwise. Update names or handles only with written approval and retain the original attribution record.
Publishing a Live2D derivative without checking publication terms
Software access and publication authorization are distinct. Review the Publication License Agreement requirement and the material-specific terms before release.
How to compare two model listings or commission offers
Use the same questions for every offer so a low price does not hide a narrower license:
- Which commercial media are expressly covered?
- Do you receive ownership of the derivative work or only a license?
- Which editable files are delivered?
- Are resale, transfer, redistribution, and sublicensing permitted?
- Is the grant exclusive, perpetual, territory-limited, or revocable?
- What exact credit is required?
- Which third-party assets are excluded or governed separately?
- What are the revision, withdrawal, and termination rules?
- Does a platform or software publication license apply in addition to the artist’s terms?
If an answer is missing, treat the permission as unconfirmed rather than assuming the broadest interpretation.
Bottom line for creators
A monetizable VTuber model is the result of aligned permissions, not simply a completed payment. Separate the rights in original art, rigging, software, presets, textures, meshes, and other materials; document every commercial medium; obtain transfer and agency permissions explicitly; and publish the exact credits required by each licensor. VRoid’s examples can be broad when no special clause applies, while Live2D publication and character materials can require additional agreements and notices. Your signed contract and the current terms for every included asset are the final authority.
