What a foreign company must do for Vietnam tax depends first on how it operates: through a locally established enterprise, as an overseas supplier earning Vietnam-source income, or by supplying through an e-commerce or digital platform. Those models can involve different tax, filing, withholding and payment responsibilities. Vietnam’s tax laws changed in 2025 and 2026, so confirm the rules for the relevant tax period before relying on older rates or procedures.

Start by identifying your operating model

Do not begin with a single headline tax rate. First establish which entity earns the income, where the relevant goods or services are supplied, who pays, and whether a Vietnamese entity or payer is involved. Those facts help determine which tax framework and filing route to check.

Operating situation What to investigate Key qualification
Locally established enterprise Vietnamese corporate income tax (CIT), value-added tax (VAT), tax administration and e-invoice requirements applicable to the entity and its activities. The applicable rules depend on the tax period, activity and current implementing provisions; this overview does not establish a universal rate or full filing calendar.
Overseas supplier earning Vietnam-source income under a contract Whether foreign contractor tax applies, how the contract is classified, and whether the foreign contractor or Vietnamese payer must declare, withhold or remit tax. Responsibility and method depend on the contract and applicable current rules. A Vietnamese payer may have duties even where the overseas supplier is the party earning the income.
Foreign business supplying goods or services in Vietnam through an e-commerce or digital platform How the corporate income tax framework applies and what registration, declaration and payment mechanism governs the supply. Government reporting places these foreign businesses within the 2025 CIT framework; that is a reason to check the operative consolidated law and applicable procedures, not a complete test of tax nexus or liability.

For a cross-border arrangement, map the contract, invoice, payment flow, parties and platform before deciding who is responsible for each compliance step.

Which tax rules have recently changed?

Several relevant statutes were updated or took effect in 2025–2026. The effective date matters: a transaction or filing period can fall under a different version of the rules from a later period.

Instrument or update Date and significance
2025 corporate income tax law Government reporting says the law took effect on 1 October 2025. A consolidated CIT text was issued on 20 May 2026.
VAT amendment, Law No. 149/2025/QH15 The amendment is listed as effective on 1 January 2026. A consolidated VAT text was issued on 6 February 2026.
Tax Administration Law No. 108/2025/QH15 The government lists the law as effective on 1 July 2026.
Specified tax-administration and e-invoice provisions Government reporting identifies provisions of the 2025 Tax Administration Law that apply from 1 January 2026, including provisions concerning tax administration and e-invoice use.

These dates do not by themselves tell a company which tax treatment applies. Check the operative consolidated text, relevant implementing rules and the period in question. In particular, do not assume a VAT rate applies to every good or service: classification, date and applicable rule must be checked together.

What taxes may be relevant?

Corporate income tax

CIT is relevant to Vietnam-established businesses and, under the 2025 framework described by the government, foreign businesses supplying goods or services in Vietnam through e-commerce or digital platforms. The platform-related point does not determine the liability or filing mechanism for every business. Check the consolidated law and applicable procedures against the actual supply, income and operating model.

Value-added tax

Vietnam’s VAT law was amended effective 1 January 2026, and a consolidated text was issued in February 2026. The applicable treatment cannot be established from a generic description of “foreign company”: it depends on what is supplied, when it is supplied and the rule applicable to that supply. Verify the classification and current provisions rather than applying one rate across a mixed catalogue of goods or services.

Foreign contractor tax

Foreign contractor tax can be relevant to an overseas supplier’s Vietnam-related contract income. Before filing, determine whether the contract falls within the applicable rules and which party has the declaration, withholding and remittance responsibilities. Do not assume that the foreign supplier alone files or pays: official procedure information also assigns a role to the Vietnamese payer in contractor tax finalization, depending on the applicable arrangement.

How does foreign contractor tax reporting work?

Ministry of Finance procedure summaries describe reporting when a tax liability arises, an available monthly declaration option in specified circumstances, and finalization when the contract ends. The summaries give different filing deadlines for the payment-event and monthly patterns; they are procedure-page information, not a universal calendar for every contract.

  • Payment-event pattern: the procedure summary says to file no later than the tenth day after a tax liability arises.
  • Monthly option: for the circumstances where monthly declarations are available, the summary says to file no later than the twentieth day of the following month.
  • Contract end: procedure information describes finalization at contract end and says the Vietnamese payer’s tax authority receives the finalization materials.

Confirm that the procedure applies to the contract, identify which party must submit each declaration, and verify current deadline calculation and calendar treatment before using either date as a filing deadline. The contract-end step is not a substitute for any declarations due during the contract.

Why older foreign contractor guidance needs a current-law check

Ministry of Finance-hosted Circular 103/2014 describes a declaration method whose conditions include a Vietnam permanent establishment or residence, contract activity lasting at least 183 days, Vietnamese accounting and tax registration. It also describes payer-side tax substitution where a foreign contractor does not meet one of the listed conditions.

Those are criteria described in a 2014 circular, not a safe stand-alone statement of the rules in force for every current contract. Later tax statutes have taken effect, and the continued operation of those method conditions needs to be checked against current implementing rules. Use the circular as historical context unless current rules confirm its application to the specific facts.

A practical compliance sequence for foreign companies

  1. Map the transaction. Identify the contracting and earning entities, the goods or services, the customer and payer, the payment path, the place of supply, and any digital-platform involvement.
  2. Set the relevant period. Match the income, supply and filing period to the effective dates of the applicable CIT, VAT and tax-administration provisions.
  3. Classify the tax questions. Assess CIT and VAT separately, and determine whether a cross-border contract raises foreign contractor tax obligations. Do not infer that one tax treatment resolves the others.
  4. Assign each compliance task. Record who must register, issue or retain invoices, declare, withhold, pay and finalize. For contractor tax, distinguish the foreign supplier’s obligations from any Vietnamese payer duties.
  5. Confirm procedures and deadlines. Check current official procedures for the specific entity, contract, payment pattern and tax period, including any monthly option and contract-end finalization requirement.
  6. Keep a decision trail. Retain the contract, invoices, payment records, supply classification and the rule or procedure used for each filing decision. This helps explain why a particular treatment was applied if the facts or rules later need review.

Where the contract structure, source of income, platform arrangement or responsibility for withholding is unclear, obtain Vietnam-specific tax advice before payment or filing. A general orientation cannot determine a transaction’s tax result or replace review of the current consolidated legislation and implementing procedures.
