Transocean’s 2025 revenue rose 13%, but revenue growth alone does not show whether the offshore driller is improving its financial position. The more useful signals are stronger free cash flow, debt principal that remains above $5 billion, and whether new rig contracts can sustain cash generation as utilization changes. The company reported a large GAAP loss even as cash generation improved, so both sides of that picture matter.
What the 2025 results say beyond revenue growth
Transocean reported $3.965 billion in operating revenue for 2025, up from $3.524 billion in 2024. Yet it also reported a $2.915 billion net loss attributable to the controlling interest. Adjusted EBITDA was $1.37 billion. These figures measure different things: the net loss is a GAAP result, while adjusted EBITDA is a non-GAAP measure and should not be treated as cash available to repay debt. Transocean’s 2025 results release presents the company’s reported figures and non-GAAP measure.
| Measure | 2024 | 2025 | What it indicates |
|---|---|---|---|
| Operating revenue | $3.524 billion | $3.965 billion | Reported revenue increased about 13% year over year. |
| Net loss attributable to controlling interest | Not stated in the cited 2025 results release | $2.915 billion loss | A large GAAP loss remained despite higher revenue. |
| Adjusted EBITDA | Not stated in the cited 2025 results release | $1.37 billion | An adjusted operating-performance measure, not cash flow. |
Did Transocean generate free cash flow?
Yes, on the company’s reported definition and figures: Transocean reported $749 million of cash flows from operating activities and $626 million of free cash flow for 2025, compared with $193 million of free cash flow in 2024. The improvement is significant because cash—not revenue or EBITDA—can fund capital needs and debt reduction.
Transocean defines free cash flow in its results materials as operating cash flow less capital expenditures, and its calculation may not match another company’s similarly named measure. Read it as a company-defined supplemental metric alongside GAAP operating cash flow, not as a standardized figure. Nor does a single year of positive free cash flow establish that the result will recur.

How much debt does Transocean have, and is it coming down?
Debt principal was $5.686 billion at December 31, 2025, and $5.107 billion at June 30, 2026. That is a substantial reduction, but the remaining principal is still large relative to the cash figures reported. In March 2026, Transocean paid $365 million to retire $358 million principal of 8.375% senior secured notes due in 2028; the cash paid exceeded principal retired.
The June 30, 2026 figure is debt principal, not necessarily the same as the balance-sheet carrying value of debt, which can reflect accounting adjustments. The company’s Form 10-Q for the quarter ended June 30, 2026 provides its interim-period debt and liquidity disclosures.
Liquidity is more than cash on hand
At June 30, 2026, Transocean reported $509 million of unrestricted cash and $286 million of restricted cash. Restricted cash should not be treated as freely available for general obligations. The company also reported total liquidity above $1.3 billion, which includes availability under an undrawn revolving credit facility; it is not all cash sitting in the bank.

The filing describes a $510 million secured credit facility maturing June 22, 2028, secured by eight ultra-deepwater drillships and two harsh-environment semisubmersibles. It is subject to financial covenants, including minimum guarantee-coverage, collateral-coverage and liquidity requirements. Facility availability therefore provides a cushion, but it is borrowing capacity with conditions, not debt repayment or unrestricted cash.

Why quarterly revenue and cash flow can move with rig utilization
In Q2 2026, contract drilling revenue was $966 million, down from $1.081 billion in Q1. Transocean attributed the sequential decrease primarily to the expected reduction in rig utilization during Q2. The quarter still generated $236 million in net cash from operating activities and $212 million in free cash flow, according to the company’s August 5, 2026 second-quarter results release.
This quarter illustrates why revenue trends need context: fewer rigs working can pull down contract revenue even when the company remains cash-generative. A single quarter does not establish a durable cash-flow rate, and future results depend on utilization, contract terms, costs and capital spending.

What backlog and dayrates say about the offshore cycle
Transocean added $292 million of contract backlog in Q2 2026 at an approximately $461,000 weighted-average dayrate, as reported by the company. Backlog represents contracted work, not revenue already collected, and it does not guarantee a particular profit margin or cash conversion. The rate is a weighted average for those additions, not a universal rate for the fleet or a market-wide benchmark.

In its June 2026 filing and Q2 release, management said tendering activity and awards had increased in the first half of 2026 and anticipated further awards for projects starting in 2027 and 2028. The filing identified incremental ultra-deepwater opportunities in West Africa, the Mediterranean, Southeast Asia and India. These are company-reported observations and expectations, not an independent industry forecast.

CEO Keelan Adamson said in the August 5, 2026 release: “We expect to see demand for our highest specification rigs increase in the coming years with industry utilization for deepwater and harsh environment assets projected to move well into the 90% range during 2027.” That is management’s forward-looking projection, not a settled outcome or independently verified utilization statistic. The release also cited recent awards across Norway, Australia, the U.S. Gulf and the Ivory Coast, alongside a $1.0 billion Equinor agreement for three harsh-environment semisubmersibles.
The company’s filing cautions that hydrocarbon prices remain sensitive to geopolitical events, macroeconomic conditions, policy decisions and short-term supply fluctuations. Those factors can affect customers’ willingness and timing to commit to drilling programs. The available company disclosures do not establish future realized margins on backlog or how quickly contracted work will translate into free cash flow.
What to watch in the next reports
- Free cash flow alongside capital spending: check whether operating cash flow continues to exceed capital expenditures, using Transocean’s definition and comparable periods.
- Debt principal and financing terms: track repayments and maturities as well as covenant and facility disclosures; reduced principal matters more than a headline liquidity total alone.
- Utilization and contract timing: compare the rigs working, new awards and start dates with the company’s stated expectations, since backlog converts into cash over time rather than immediately.
- Backlog economics: look for disclosure that clarifies contract duration, dayrate exposure and costs; backlog additions alone do not disclose the eventual margin.
Transocean also disclosed that it and Valaris entered a business combination agreement on February 9, 2026, under which Valaris shares would be acquired in exchange for 15.235 Transocean shares per Valaris share, subject to the agreement’s terms and conditions. The June 2026 filing does not establish that the transaction subsequently closed, so it should be treated as a proposed transaction in assessing the company’s disclosed position.
