Tokenized settlement changes where ownership is recorded and how payment and delivery can be coordinated; T+2 describes only a settlement timetable. A tokenized asset can still settle on T+1 or T+2, while atomic or same-day settlement is possible only when the asset, payment and legal controls operate on compatible rails. Tokenization does not automatically remove custodians, clearing agencies or securities-law obligations.
The difference in one view
T+2 is a schedule. Tokenized settlement is a market-structure and recordkeeping design. The traditional cycle releases cash and securities through linked but often separate systems after the trade date. A tokenized design represents an asset on a crypto network or links an onchain token to an offchain master record, then uses ledger or smart-contract rules to coordinate transfers.
| Dimension | Traditional T+2 baseline | Tokenized settlement |
|---|---|---|
| Ownership record | Conventional centralized or distributed book-entry records maintained by intermediaries | Onchain record, or an onchain token linked to an offchain master record, depending on the model |
| Timing | Historically trade date plus two business days; most covered U.S. broker-dealer transactions now use T+1 | May remain T+1 or T+2, or support same-venue delivery-versus-payment when the design permits it |
| Payment and delivery | Coordinated through separate clearing, custody and payment systems | Ledger or smart-contract logic can make delivery conditional on payment and payment conditional on delivery |
| Intermediaries | Clearing agencies, custodians, transfer agents and settlement banks perform linked steps | Some steps can be automated or combined, but regulated custody, compliance and governance may still be required |
| Main risks | Settlement delay, reconciliation breaks, counterparty exposure and operational handoffs | Smart-contract and cyber risk, wallet and key control, interoperability, governance, legal enforceability and settlement-asset risk |
| Legal status | Established securities-law and account-based frameworks | Depends on whether the token is issuer-sponsored, a custodial entitlement or synthetic exposure; the token format alone does not determine rights |
What T+2 means—and why the U.S. baseline is now T+1
T+2 is a timetable, not a type of technology
In a T+2 market, a trade agreed on the trade date is scheduled to settle two business days later. Settlement is the point at which the buyer receives the security and the seller receives cash, subject to the market’s clearing, custody and payment arrangements. The “two” counts business days, so weekends and applicable market holidays do not count.
T+2 says nothing about whether a market uses databases, messaging networks, central securities depositories or distributed ledgers. It describes the interval between trade execution and completion. The same recordkeeping technology could support a T+2, T+1 or same-day cycle if the market’s rules and controls were changed.

The current U.S. comparison point
The U.S. Securities and Exchange Commission (SEC) adopted implementation of a T+1 standard for most covered broker-dealer transactions in 2024. SEC material published in 2025 describes T+2 as the traditional baseline and T+1 as the revised U.S. standard. Therefore, a comparison that calls T+2 the current default for every U.S. security is outdated. T+2 remains useful for explaining the conventional workflow and for comparing markets or products that still use that cycle.
What happens during the traditional interval
After execution, the trade must be captured, confirmed, matched, cleared and prepared for settlement. The buyer and seller, their brokers, clearing agency, custodian and settlement bank exchange instructions and reconcile positions. Corporate actions, account details, funding and securities availability may need to be checked before the final exchange. Each handoff creates an opportunity for an instruction error, a failed match, a funding shortfall or a reconciliation break.
A shorter cycle reduces the time in which exposures and errors can accumulate, but it does not by itself redesign the underlying process. Moving from T+2 to T+1 is therefore a timetable change supported by process, data and operational improvements—not tokenization.

A security represented on or through a crypto network
SEC staff guidance published in 2026 defines a tokenized security as a financial instrument covered by the federal securities laws that is formatted as or represented by a crypto asset, with ownership recorded in whole or in part on or through one or more crypto networks. The important change is the authoritative record and the workflow attached to it, not the visual appearance of a token.
For an issuer-sponsored design, the network can serve as the master securityholder file. SEC staff explains that the functional difference from a conventional issue may be that the issuer or its agent maintains the master file on crypto networks rather than in conventional offchain databases. The token remains a security, and the issuer still has to address registration, transfer restrictions, disclosure, investor eligibility and other applicable obligations.
Tokenization can also represent an intermediary claim
Not every token gives its holder a direct claim on the issuer. A third party might hold the underlying security with a custodian and issue tokens representing an entitlement to that position. The token holder’s rights then depend on the intermediary’s records, contractual terms, custody arrangements and insolvency treatment.

A synthetic token can go further: it may provide economic exposure to the price or performance of a security without conveying ownership of that security. A holder may have a contractual claim against the token issuer rather than voting, dividend or liquidation rights against the underlying issuer. Two tokens with identical transfer mechanics can therefore produce very different legal outcomes.

Traditional delivery and payment
In a conventional market, the securities leg and the cash leg are coordinated across systems. A clearing agency calculates obligations and manages risk; custodians and transfer agents maintain account records; banks move cash; and settlement systems complete the book-entry transfers. The legs can be linked by rules and timing without being a single programmable transaction.
Tokenized delivery-versus-payment
The Bank for International Settlements (BIS) describes tokens as integrating information from a traditional database with rules and logic governing transfers. Its canonical example is delivery versus payment (DvP): the asset transfer is a precondition for payment, and payment is a precondition for the asset transfer.
With compatible tokenized cash and asset representations, a smart contract or ledger rule can release both legs as one coordinated operation. If the payment condition fails, the asset does not move; if the asset condition fails, the payment does not move. This can reduce manual reconciliation and the interval during which one party has delivered while the other has not.
Why automation does not mean “no controls”
Programmable settlement still needs validated instructions, identity and permissions, sanctions and suitability checks where applicable, limits, exception handling, recovery procedures and an authoritative way to resolve disputes. Code can enforce a rule only when the rule, data and permission model are correct. A faulty smart contract can automate an error at scale, and a compromised key can authorize an otherwise valid-looking transfer.

Tokenization is not the same as T+0
T+0 means settlement on the trade date. Tokenization means that an asset or ownership record is represented using a token or crypto network. These concepts can be combined, but neither implies the other.
- A tokenized fund interest could retain a T+1 or T+2 dealing and settlement schedule because the fund administrator, transfer restrictions or cash process still operate on that timetable.
- A conventional security can move toward same-day settlement without being tokenized if existing systems and market rules support it.
- Atomic settlement requires compatible asset and payment legs on the same venue or on interoperable rails, plus legal and operational controls that make the exchange final.
“Instant” is therefore a design claim, not a universal property of blockchain settlement. SEC material from 2025 describes tokenization as often characterized as enabling instant or simultaneous settlement when all parts execute and settle on the same blockchain. If the payment token, asset token, identity service or compliance process sits on another system, the transaction may still involve queues, messaging, prefunding or delayed finality.
Who legally owns the asset?
Issuer-sponsored token
In an issuer-sponsored model, the issuer or its appointed agent recognizes the onchain record as the master securityholder file. Subject to the issue terms and applicable law, the holder can have a direct relationship with the issuer. Transfer restrictions, voting, distributions and corporate actions can be encoded or linked to the token while the security remains subject to securities regulation.
Custodial-entitlement token
Here, a custodian or other intermediary holds the underlying security and issues a token representing an entitlement. The holder may face intermediary, custody and bankruptcy risks that a direct registered holder would not face in the same way. The governing documents should identify the underlying assets, segregation arrangements, redemption process, record of entitlement and treatment if the issuer or custodian fails.
Synthetic exposure token
A synthetic structure references the value or return of an asset but does not necessarily transfer the asset itself. Rights usually arise from a contract with the token issuer or a collateral arrangement. Price exposure can look similar to ownership economically while voting, dividend, lien, insolvency and settlement rights are different.
Questions to ask before treating a token as ownership
- Which record is legally authoritative if the blockchain and an offchain database disagree?
- Is the holder registered with the issuer, or does the holder have a claim against an intermediary?
- Who controls the wallet or key, and can transfers be frozen, reversed or reissued?
- What happens to the token and the underlying asset if the issuer, custodian or technology operator becomes insolvent?
- Which law governs transfer, custody, collateral, distributions and dispute resolution?
The token format cannot answer these questions by itself. The issue documents, custody agreement, network rules and applicable securities and insolvency law determine the rights.

Does tokenization eliminate clearing agencies and custodians?
Usually, no. Tokenization can combine data and transfer logic, automate matching, and reduce duplicate records. It does not remove the need for functions such as asset safeguarding, investor identification, regulatory reporting, corporate-action processing, default management, liquidity provision, dispute resolution or governance.
An issuer-sponsored network may reduce dependence on a conventional transfer-agent database. A custodial token still requires a custodian. A market with multiple venues or jurisdictions still needs rules for netting, collateral, sanctions screening, participant access and finality. Clearing may be redesigned or performed by different infrastructure, but the risk-management function does not disappear merely because transfers are recorded onchain.

Settlement finality
Finality means that a transfer is irrevocable and enforceable under the relevant rules, not merely that a block has been added to a ledger. A tokenized market must specify when a transaction is final, who can reverse it under exceptional procedures, and which legal system recognizes that finality. Network confirmations, governance powers, court orders and operational recovery processes all matter.
The quality of the payment leg
Atomic delivery is only as strong as the payment asset. A tokenized security paired with a volatile or redeemability-constrained payment token can create liquidity and credit risks even when the exchange is technically simultaneous. Designers must establish who issues the payment asset, how it is redeemed, whether it is backed, how it is settled in central-bank or commercial-bank money, and what happens during a loss of connectivity or a run.
Interoperability
Many real transactions cross ledgers, custodians, currencies and jurisdictions. If the asset token and payment token cannot communicate directly, an interoperability layer, synchronized lock-and-mint process or trusted operator may be required. That introduces its own code, governance, key-management and failure risks. A single-venue atomic transaction does not automatically produce atomic settlement across a fragmented market.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Risk profile: what moves, what remains
| Risk area | Traditional cycle | Tokenized design |
|---|---|---|
| Timing and counterparty exposure | Exposure can persist until the scheduled settlement date; failed trades require remediation | Can be shortened with atomic DvP, but delayed schedules and prefunding can remain |
| Reconciliation | Multiple records and handoffs can diverge | A shared ledger may reduce duplicate records, while offchain-to-onchain mismatches remain possible |
| Code and technology | Legacy-system outages, interface failures and batch-processing errors | Smart-contract defects, network outages, upgrade risk and cyberattacks |
| Custody and access | Institutional account controls and established recovery procedures | Wallet, key, permissioning and recovery controls become critical, especially for bearer-like tokens |
| Legal and governance | Established account, clearing and settlement frameworks | Unclear treatment can arise across jurisdictions, networks, token models and insolvency regimes |
| Interoperability | Interfaces among established market infrastructures | Cross-ledger messaging, bridges or operators may add technical and governance dependencies |
Tokenization can reduce a specific operational burden without reducing total risk. For example, a common ledger may remove a reconciliation step but make key compromise a higher-consequence event. Controls should therefore be assessed by function—recordkeeping, transfer authorization, cash settlement, recovery and legal enforcement—rather than by whether a system uses a blockchain.

What institutional adoption shows today
MAS Project Guardian reports live use cases and sandbox activity involving tokenized funds, bonds, stablecoins and bank liabilities. Its published work addresses interoperability across platforms and jurisdictions, custody, settlement finality, compliance, security and operational resilience. Participants include banks, custodians, fund managers and market-infrastructure providers such as DBS, UBS, BNY Mellon, Citi, Euroclear, Franklin Templeton, J.P. Morgan and Standard Chartered.
These projects demonstrate institutional experimentation and selected live transactions. They do not show that tokenized settlement has replaced conventional markets. Adoption still depends on common standards, participant access, regulatory recognition, reliable payment assets, operational resilience and a business case for moving existing records and controls.
No authoritative market-wide percentage establishes a universal cost saving, speed improvement or adoption rate for tokenized settlement. Claims about a specific percentage should be tied to a defined asset class, workflow, jurisdiction and study rather than generalized across the market.
How to evaluate a tokenized settlement proposal
- Define the asset and right. Identify whether the token is issuer-sponsored, a custodial entitlement or synthetic exposure. Read the issue, custody and redemption documents.
- Locate the authoritative record. Determine whether the blockchain, an offchain database or both control the master holder file, and establish the rule for resolving discrepancies.
- Map both settlement legs. Document where the asset and payment tokens live, whether they can execute atomically, and what happens if one ledger is unavailable.
- Set the finality rule. Specify the confirmation, legal and governance conditions that make a transfer irrevocable and enforceable.
- Test intermediary exposure. Review custody, segregation, collateral, bankruptcy treatment, key control and the ability to recover or replace a lost credential.
- Check compliance controls. Confirm identity, sanctions screening, transfer restrictions, investor eligibility, reporting and corporate-action processes.
- Assess failure paths. Simulate smart-contract bugs, compromised keys, network outage, incorrect data, rejected transfers, insolvency and a mismatch between onchain and offchain records.
- Compare against the existing cycle. Measure the specific handoffs, reconciliation tasks, exposure windows and controls that would change from T+1 or T+2. Do not assume that a shorter block-confirmation time changes the legal settlement date.
Practical examples
Tokenized bond with tokenized bank money
An investor buys a bond token and pays with a token representing a bank liability on the same permissioned network. A contract checks investor eligibility, locks the bond and payment, and releases both when conditions are met. This can provide atomic DvP, but the bank-money token still needs a reliable redemption and settlement process, and the bond’s legal documentation must recognize the onchain record.
Tokenized fund interest with daily dealing
A fund may issue tokens for investor records while retaining a daily valuation, subscription cutoff and administrator approval. The token is onchain, yet the economic settlement remains tied to the fund’s dealing cycle. Tokenization improves the record and transfer workflow without creating T+0 liquidity.
Custodial token for a conventional share
A platform holds shares with a custodian and issues tokens to customers. Transfers between platform users may be rapid, but customers still rely on the platform and custodian for the underlying shares, distributions, voting instructions and insolvency protection. The speed of the token transfer does not turn the customer into a directly registered shareholder.
Bottom line for decision-makers
Use T+2 or T+1 to describe when settlement is scheduled. Use tokenized settlement to describe where ownership is recorded and how the asset and payment legs are coordinated. A well-designed tokenized market can support atomic DvP, reduce duplicate records and automate controlled transfers. It can also introduce smart-contract, key, interoperability, governance and legal risks. The decisive questions are the token model, authoritative record, payment asset, finality rule and failure procedures—not the presence of a blockchain label.
