Tim Cook sold 191,753 Apple shares on October 2, 2026, in four transactions disclosed in an SEC Form 4 filed October 5. The sales were made under a Rule 10b5-1 trading plan he adopted on May 28, 2026. Contemporary reports estimated their value at about $63.8 million to nearly $63.9 million; the SEC filing reports share quantities and weighted average prices, not a single rounded sale total.
How many Apple shares did Tim Cook sell?

Yes. The Form 4 says the October 2 sales were made pursuant to a Rule 10b5-1 trading plan Cook adopted on May 28, 2026. The filing’s Explanation of Responses states: “This transaction was made pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on May 28, 2026.” The Form 4 was filed October 5 and signed by Sam Whittington, Attorney-in-Fact for Timothy D. Cook. The plan disclosure establishes the stated mechanism for the sales; it does not disclose Cook’s personal reason for selling.

How are the RSU settlement, tax withholding, and gift different from the sale?
The same Form 4 reports several distinct events around the sale. They should not be combined and described as shares sold.
- RSU settlement on October 1: 374,541 restricted stock units settled into Apple common shares. The award was granted October 1, 2023, with a target of 219,030 RSUs. Its vesting depended on Apple’s total shareholder return relative to S&P 500 companies over Apple fiscal years 2024 through 2026. Apple’s reported 90.67% return ranked 115th among 480 companies, at the 76.20th percentile, resulting in 374,541 performance RSUs vesting under the award’s terms.
- Tax withholding on October 1: Apple withheld 199,038 shares at a reported $330.32 per share to satisfy tax withholding requirements tied to the RSU vesting. The filing describes them as “Shares withheld by Apple to satisfy tax withholding requirements on vesting of RSUs.” This is a separate transaction from Cook’s later sale.
- Gift on October 2: Cook reported a gift of 26,325 shares at a zero reported price. The filing does not identify the recipient.
These entries describe different events: award shares settling, shares withheld for taxes, shares sold, and shares gifted. Only the four sale rows make up the 191,753-share sale total.

How many Apple shares did Cook own after the transactions?
After the listed transactions, Cook beneficially owned 3,237,843 Apple shares through his trust, according to the Form 4. This is the filing’s beneficial-ownership figure, not a statement about his cash holdings or the full value of his assets.
What the filing does—and does not—tell investors
The Form 4 is a statement of changes in beneficial ownership filed under Section 16(a) of the Securities Exchange Act. It records the reported transactions and the stated trading-plan connection; it does not provide a personal explanation for the sale or predict Apple’s future stock performance. One executive’s transaction is not, by itself, a basis for drawing a conclusion about the company’s shares.
