Telkom Indonesia says it has consolidated more than 90% of its network infrastructure assets at InfraNexia, its wholesale-infrastructure subsidiary. The second-stage transfer was completed on September 30, 2026, after approval by independent shareholders. It reorganizes who manages much of Telkom’s network; it does not, by itself, show that new fiber routes have been built or that customers will get wider coverage, lower prices, or better service.

What Telkom transferred to InfraNexia

At an extraordinary shareholders meeting on September 30, 2026, independent shareholders approved the second-stage spin-off of Telkom’s wholesale fiber-connectivity assets and business to PT Telkom Infrastruktur Indonesia, which operates under the InfraNexia brand. Telkom said the deed was signed that day. The transferred portfolio includes access-to-customer networks, core backbone and supporting infrastructure, and represents more than 90% of Telkom’s network infrastructure assets, according to the company’s announcement.

Telkom puts the portfolio at about 112,000 km of fiber-optic network, including 26,000 km of domestic submarine cable, and reports a total transaction value of about Rp85.7 trillion. These are figures for the transfer as Telkom describes it, not a measure of new construction or a count of newly served homes.

The figures should not be confused with Telkom’s separate company-wide measure of 115,643 km of domestic fiber-optic backbone as of December 31, 2025, disclosed in its 2025 annual filing. The two numbers refer to differently described portfolios and dates: one is the fiber network Telkom says InfraNexia manages after the transfer, while the other is a year-end backbone metric for Telkom.

How the two transfer stages fit together

Telkom announced the transaction as a two-stage process. The first-stage transfer became effective January 1, 2026; the second stage was approved and signed on September 30. The company’s September announcement gives the aggregate transaction value as about Rp85.7 trillion.

Stage Timing and status Scope and reported value Ownership and control
First stage Announced in December 2025; effective January 1, 2026, according to Telkom’s August announcement Telkom valued this stage at Rp35.8 trillion and said it covered more than half of its total fiber network infrastructure Telkom said it retained 99.9999997% effective ownership of InfraNexia after this phase
Second stage Approved by independent shareholders and deed signed September 30, 2026 Telkom’s September announcement reports a total transaction value of about Rp85.7 trillion for the consolidation; the August announcement valued the second-stage transaction at Rp49.9 trillion InfraNexia remains a Telkom subsidiary; Telkom describes it as serving TelkomGroup entities and external customers

The stage figures come from Telkom’s September announcement, its December 2025 announcement and its August announcement. The later headline total is the clearest aggregate figure; the stage-specific values describe different parts of the process and should not be mistaken for additional network assets beyond the transaction.

Why Telkom is putting the assets in a focused subsidiary

Telkom presents InfraNexia as part of its TLKM 30 transformation and a shift from an operating holding structure toward a strategic holding model. Its stated aim is to concentrate infrastructure management in a wholesale provider, with a remit that includes wholesale network services, FTTx, 5G backhaul and passive infrastructure sharing. The network includes terrestrial and submarine routes across Indonesia.

Telkom says a focused operator could improve asset utilization and operational focus, make network sharing and partnerships easier, and support growth in external wholesale customers. These are the company’s objectives and expectations; the transaction announcements do not establish that efficiency gains or broader market effects have already occurred. Telkom’s first-phase announcement describes InfraNexia as a wholesale provider for both TelkomGroup and external customers.

What the transfer means for internet and telecom customers

For customers, the immediate confirmed change is organizational: more of the infrastructure is managed through InfraNexia, while Telkom remains its controlling shareholder. The transfer itself does not demonstrate new routes, expanded household coverage, more available capacity, cheaper wholesale access, faster provisioning or revised service-level commitments.

Telkom describes the service model as neutral and says the transaction process should not disrupt customer service. Those are company assurances, not independent measurements of outcomes. TechRepublic noted that Telkom had not disclosed whether pricing, provisioning or longer-term service terms would change; its report identifies a disclosure gap, not proof that any customer term has worsened. Whether the new structure changes a customer’s experience will depend on subsequent commercial terms and operating results.
