STMicroelectronics completed its acquisition of NXP Semiconductors’ MEMS sensors business on February 2, 2026. The transferred portfolio is led by automotive safety and vehicle-dynamics sensors, with additional products for tire-pressure monitoring, engine management, convenience, security and industrial equipment. The deal was announced on July 24, 2025, so it is no longer a pending transaction.

Did ST complete the NXP MEMS acquisition?

Yes. ST announced a definitive agreement on July 24, 2025, and closed the transaction on February 2, 2026, after receiving regulatory approvals. The acquired activities are now part of ST’s Analog, MEMS and Sensors segment.

ST described the combination as complementary in technology, products, customer relationships and manufacturing footprint. Marco Cassis, president of ST’s Analog, Power & Discrete, MEMS and Sensors Group, called it “a great strategic fit for ST.” Those are the companies’ stated strategic reasons, not independently measured post-close results.

NXP said the sale followed a portfolio review. Jens Hinrichsen, NXP’s executive vice president and general manager for Analog and Automotive Embedded Systems, said the business “does not fit into its long-term strategic direction.”

What did ST acquire from NXP?

The business is primarily an automotive sensor portfolio covering both passive safety systems and active vehicle-dynamics functions.

Automotive safety and dynamics

  • Sensors used in passive safety systems such as airbags.
  • Active vehicle-dynamics sensing for functions that monitor motion and stability.
  • Angular-rate and acceleration combo sensors, as listed on NXP’s transition information.

Automotive monitoring and control

  • Tire-pressure-monitoring (TPMS) sensors.
  • Engine-management sensors.
  • Sensors for convenience and vehicle-security systems.

Industrial products

  • Industrial pressure sensors.
  • Industrial accelerometers and related inertial products.

NXP’s transition information says the transferred products are now managed and supported by ST. Customers should therefore use ST as the current contact for product information, documentation and support for the former NXP MEMS products.

How much did ST pay for NXP’s MEMS business?

There are two figures because they describe different stages and accounting bases.

Figure What it represents When reported
Up to US$950 million Announced maximum cash consideration: US$900 million upfront plus US$50 million tied to technical milestones. ST transaction announcement, July 24, 2025
US$936 million Acquisition-date purchase consideration recorded by ST, including US$895 million cash consideration net of closing adjustments and US$41 million of contingent consideration for successful completion of a technology process transfer. ST Q1 2026 financial statements filed with the SEC

The US$936 million accounting amount does not contradict the earlier US$950 million announcement. The first was the announced maximum structure; the second reflects the consideration recognized at the acquisition date, including closing adjustments and contingent consideration.

What revenue did the acquired business generate?

ST said NXP’s MEMS business generated about US$300 million in calendar-year 2024 revenue. That is the business’s pre-acquisition revenue, not ST’s post-close result.

In its February 2, 2026 closing announcement, ST expected the acquisition to contribute in the mid-forties-million-dollar range to ST revenue in the first quarter of 2026. This was management’s initial estimate; the cited materials do not establish the realized contribution.

What the available figures do—and do not—show

  • The 2024 figure describes the business before the sale.
  • The Q1 2026 figure was an initial forward-looking estimate.
  • The acquisition-date consideration is an accounting measure, not a revenue or profitability figure.
  • The available company releases and filing do not independently quantify synergies, market-share changes or longer-term integration effects.

Why is the deal strategically important?

ST is using the acquisition to broaden its sensor position across automotive, industrial and consumer applications, while adding more depth in automotive safety. The portfolio gives ST exposure to safety-critical sensing alongside monitoring and control functions, rather than focusing only on general-purpose industrial or consumer sensors.

ST and NXP also pointed to complementary customer relationships and manufacturing footprints. Whether those complementarities produce measurable cost savings, cross-selling or share gains remains unestablished in the cited information.

Which former NXP MEMS sensors are now supported by ST?

ST is the support route for the transferred accelerometers, angular-rate and acceleration combo sensors, pressure sensors and the associated automotive and industrial product lines. Customers should check ST’s product-support channels and transition documentation for the exact part number, documentation status, lifecycle information and ordering route.

Because product support can vary by device and region, identify the precise former NXP part number when contacting ST rather than assuming that every NXP sensor has moved under identical commercial terms.

What this acquisition does not mean

  • It is not a consumer-electronics product launch or a retail upgrade that individuals can buy directly.
  • The transaction does not by itself prove that ST has achieved synergies or increased market share.
  • The announced US$950 million maximum should not be restated as the same thing as the US$936 million acquisition-date accounting consideration.
  • The Q1 2026 revenue contribution was an estimate, not a reported realized outcome.

Bottom line for customers and industry observers

ST now owns and supports NXP’s former MEMS sensor business, with the strongest fit in automotive safety, vehicle dynamics and monitoring, plus industrial pressure and inertial sensing. The deal closed on February 2, 2026. ST announced a maximum consideration of up to US$950 million, while its later filing recorded US$936 million of acquisition-date consideration. The strategic rationale is clear, but longer-term financial and integration results require evidence beyond the closing announcements and filing.
