SpaceX’s disclosed lock-up terms do not give every pre-IPO shareholder the same waiting period. Some covered shares can become eligible to trade in stages tied to earnings, a stock-price condition, and specific dates; other holders face longer restrictions. Those releases can affect expectations about tradable supply, but eligibility is not proof of a sale and does not predict whether the share price will rise or fall.
When can SpaceX insiders and other shareholders sell?
The schedule described in SpaceX’s 2026 offering summary uses several tracks rather than one lock-up expiration for all holders. The summary lists a $135 offering price, a 366-day restriction for Elon Musk, staged early releases for some other shares, and a separate staggered track for select investors, officers, and directors. The detailed terms below are described in the Council of Institutional Investors’ June 9, 2026 letter as provisions in the prospectus. They set maximum amounts that may become transferable under specified conditions; they are not reports of sales. CII’s letter

These descriptions reflect the cited prospectus version and letter, not a guarantee that terms remain unchanged. A lock-up can be amended or waived, so current SEC filings and later company disclosures matter when checking a particular date.

How the early-release percentages work
For the shorter track, CII says up to 20% of covered shares may become transferable on or after the second full Nasdaq trading day following the Q2 2026 results release. A further 10% may qualify if SpaceX Class A shares close at least 30% above the $135 offering price on at least five of the ten consecutive trading days ending on the first earnings release date. The price threshold is therefore $175.50, based on that offering-price reference.
CII also describes additional releases of up to 7% on each of the 70th, 90th, 105th, 120th, and 135th days after the prospectus date, plus a release of up to 28% after Q3 2026 results. These are caps under the clauses summarized in the letter; they should not be added up and presented as shares sold. The balance remains subject to the other applicable lock-up terms.

Why the schedule matters to retail investors
When a restriction lifts, the pool of shares legally eligible to trade can expand. Investors may account for that possibility ahead of the release dates, which can add uncertainty around supply expectations and trading. The schedule does not establish that eligible owners will sell, how many shares they might sell, or what direction the stock will move.

That distinction was visible at the first reported release. The Associated Press reported that more than 900 million shares became newly available; SpaceX shares rose 6.1% to close at $114.92 that day, after falling nearly 14% the previous day. Those are historical observations, not a causal estimate of the lock-up’s effect: the day’s move does not isolate the release from other market factors. Associated Press report

What CII says about investor protection
The Council of Institutional Investors raised a separate concern about the schedule’s potential effect on public-market buyers. In its June 9, 2026 letter, CII argued that early releases could bring unregistered shares into the public float sooner and make it harder to trace a purchaser’s shares to the IPO registration statement for a possible Securities Act Section 11 claim. That is CII’s legal-policy argument, not a court ruling that the schedule is unlawful or a determination that any individual buyer has a claim. CII’s letter and signatories
The letter’s signatories included Glenn Davis, CII deputy director; Jake Barnett, managing director of Sustainable Investment Strategies at Wespath Benefits and Investments; and Dereck E. Davis, chair of the Board of Trustees of the Maryland State Retirement and Pension System. They wrote: “As long-term investors, we recognize that dynamic, founder-led companies can and do create substantial value, and we do not doubt the company’s ability to attract capital.”

How to interpret a SpaceX lock-up date
- Identify the holder group. A date applying to some investors does not necessarily apply to Musk, other significant shareholders, officers, directors, or directed-share-program participants.
- Check the condition. Some releases depend on earnings results or the stated closing-price test; others are tied to days after the prospectus date.
- Separate eligibility from selling. “Newly available” or “transferable” means restrictions may permit trading; it does not show that a holder sold.
- Verify the operative filing. The terms described in the 2026 SEC summary and CII letter may be affected by later amendments, waivers, or releases.
For a current date-specific answer, compare the latest SEC filing with the original schedule rather than assuming that every holder faces a single expiration date. Lock-up trackers also caution that companies can release shares early or change terms. Lock-up tracker guidance
