It could, but the case is still prospective. As of October 3, 2026, Skyworks said it had received all necessary regulatory clearances for its Qorvo acquisition and expected to close on or about October 5, subject to customary closing conditions. The potential upside rests on combining complementary businesses and delivering projected cost savings; the counterweights include share dilution, acquisition financing, and integration risk. The deal had not yet closed at that date, so none of its combined-company benefits had been demonstrated.
When is the Skyworks–Qorvo merger expected to close?
Skyworks announced on September 30, 2026, that all necessary regulatory clearances had been received and that the companies expected to close on or about October 5. The announcement still made closing subject to customary conditions. Regulatory clearance is an important milestone, not confirmation that the transaction is complete.
The timeline matters: in its July 28, 2026 earnings release, Skyworks said it was optimistic about closing within calendar 2026. The later September announcement supplied the more specific expected date. Because October 5 was still in the future on October 3, investors should treat it as an expectation rather than a completed event.
What will Qorvo shareholders receive, and how does the ownership split work?
Under the definitive agreement announced October 28, 2025, each Qorvo share is to be exchanged for cash and Skyworks stock. The companies estimated approximately $22 billion in combined enterprise value and a roughly 63%/37% ownership split between current Skyworks and Qorvo shareholders, respectively, on a fully diluted basis.
#1 Best Overall
| Deal term | Announced figure | What it means for investors |
|---|---|---|
| Consideration per Qorvo share | $32.50 cash plus 0.960 Skyworks common share | Qorvo holders receive both cash and an interest in the combined company. The market value of the stock component changes with Skyworks’ share price. |
| Estimated combined enterprise value | Approximately $22 billion | Estimate stated in the October 28, 2025 announcement, based on market close October 27, 2025; it is not a current market valuation. |
| Expected fully diluted ownership | Approximately 63% Skyworks holders / 37% Qorvo holders | Skyworks shareholders would own the larger share of the combined company, while the stock consideration gives Qorvo holders a substantial continuing stake. |
These are the companies’ announced terms and estimates, not a fixed valuation of the stock consideration. Skyworks said it planned to fund the cash portion using cash on hand and additional financing; its original announcement said the transaction was not subject to a financing condition.
How could the transaction change Skyworks’ investment case?
A broader portfolio and customer offering
Skyworks and Qorvo both operate in radio-frequency, analog, and mixed-signal semiconductors. Management’s stated thesis is that combining their portfolios and engineering teams could let the business offer broader solutions and serve demand across mobile and diversified markets. The merger announcement also pointed to greater scale and improved factory utilization, and described the combination as creating a larger U.S.-based semiconductor supplier.

Those are strategic arguments, not proof of improved performance. Evidence would need to appear in results: for example, customer wins that show broader product adoption, stronger contributions from diversified markets, or improved capacity utilization and margins. Until those indicators emerge, the portfolio rationale remains a possibility rather than an established source of growth.

The companies projected at least $500 million in annual cost synergies within 24–36 months after closing. That is a management forecast with a post-close delivery window, not savings already achieved. Skyworks and Qorvo also said the deal was expected to be immediately and meaningfully accretive to non-GAAP earnings per share after closing; the cited company materials do not establish that accretion has occurred.
Rank #3
For investors, the useful test is not just whether savings are announced, but whether they are delivered on schedule without damaging customer relationships, product development, or the revenue base. The available company statements provide a target, not independent operating validation.
What did Skyworks report before the deal closed?
Skyworks’ July 28, 2026 earnings release offers a recent standalone operating snapshot. It covers the quarter ended July 3, 2026, not a pro forma combination with Qorvo.
Rank #4
| Measure | Skyworks fiscal Q3 2026 |
|---|---|
| Revenue | $935 million |
| GAAP diluted EPS | $0.22 |
| Non-GAAP diluted EPS | $1.08 |
Management said broad-market growth was led by automotive and data center. The release also outlined anticipated acquisition debt financing of approximately $2 billion, along with expected combined-company leadership and capital-allocation plans. The debt figure is a financing expectation, not confirmation of completed borrowing or the combined company’s eventual leverage.

What could go wrong, even after regulatory clearance?
The remaining near-term uncertainty on October 3 was whether customary closing conditions would be satisfied and the transaction would close as expected. If it closes, the focus shifts to financing, integration, customer retention, and whether the announced operating targets are met.
Best Value
Qorvo’s 2026 annual report describes risks if the transaction is delayed or does not close, including possible negative market reaction, transaction costs, diverted management attention, and uncertainty or disruption in relationships with customers, suppliers, employees, and other partners. It also describes termination rights and specified termination fees, including a $100 million fee payable by Skyworks in certain regulatory-failure or injunction circumstances. Those are agreement-specific provisions; this summary does not replace the legal terms in the agreement and filings.
- Financing and leverage: Skyworks anticipated approximately $2 billion in acquisition debt financing. How much debt is ultimately raised, and what the resulting leverage means for the company’s financial flexibility, remain key questions.
- Integration and customer retention: Combining portfolios and operations may offer scale, but execution could disrupt customer, supplier, or employee relationships.
- Diversification: The thesis depends partly on whether the combined business can translate its broader portfolio into more durable exposure across mobile and diversified markets. Management’s stated rationale alone does not establish that outcome.
- Synergy delivery: The projected savings need to be measured against their timing and any costs or operating effects required to achieve them.
What should investors watch next?
The deal documents outline a plausible strategic rationale but do not, by themselves, settle whether Skyworks is attractive at its current share price. A valuation judgment also requires current market prices, standalone forward estimates, and credible combined-company forecasts. For a fact-based update to the investment case, watch for:
- Confirmation that the transaction has closed, followed by final financing and leverage disclosures.
- Combined-company reporting that shows how mobile and diversified markets contribute to results.
- Evidence of customer retention, new wins, and factory-utilization changes rather than strategy statements alone.
- Reported synergy progress against the companies’ 24–36-month post-close timeline, alongside the costs and operational effects of integration.
Skyworks’ announced Qorvo deal could change the scale and potential economics of the business, but the investment case depends on execution after closing. As of October 3, 2026, the close was still expected rather than completed, and the cited materials did not establish realized synergies or combined-company results.
