Skydance Corporation completed its acquisition of Warner Bros. Discovery on October 6, 2026. The combined company is named Skydance, and Warner Bros. Discovery continues as its wholly owned subsidiary. The often-cited nearly $111 billion figure includes debt; it is not the price paid for the company’s shares.

What happened to Warner Bros. Discovery?

Skydance Corporation, formerly Paramount Skydance Corporation, completed the acquisition under a merger agreement dated February 27, 2026, according to an SEC filing. Skydance said it had received the required regulatory approvals and satisfied the customary closing conditions. At closing, its shares began trading on the New York Stock Exchange under the ticker SKYD.

So, did Paramount buy Warner Bros.? The deal grew out of Paramount’s bid, but the buyer named in the SEC filing is Skydance Corporation, and the resulting combined company is called Skydance—not Paramount. Warner Bros. Discovery did not disappear as a legal entity; it became a wholly owned subsidiary of Skydance.

Why is the deal described as nearly $111 billion?

Deal coverage uses different figures because some totals include Warner Bros. Discovery’s debt and others do not. The Associated Press reported the following measures:

Figure What it describes
$81 billion Reported acquisition price excluding debt.
Nearly $111 billion Reported transaction value including billions of dollars in debt; AP described this measure as based on outstanding shares in its coverage of the court-approved settlement.
$31 per share Paramount’s final offer to acquire all of Warner, as reported by AP in its closing coverage.

These are not interchangeable measures: the debt-inclusive value is not the cash purchase price. The $31-per-share figure describes the final offer, not a separate estimate of the combined company’s value.

How the merger came together

  1. December 2025: Warner Bros. Discovery initially reached a studio and streaming agreement with Netflix.
  2. Afterward: Paramount made a hostile counterbid and raised its offer to acquire all of Warner to $31 per share. Netflix later withdrew.
  3. Late February 2026: Warner Bros. Discovery and Paramount signed a mutual merger agreement.
  4. October 6, 2026: Skydance announced that the acquisition had closed; the SEC filing records the same completion date.

The Associated Press described the process as a roughly yearlong contest. The agreement that ultimately closed followed Paramount’s offer for all of Warner, rather than the earlier Netflix arrangement for the studio and streaming businesses.

What does Skydance now own?

The company’s closing announcement describes a portfolio spanning two major film studios, two global streaming services, television and cable networks, news, live sports, and a large content library. The Associated Press identifies HBO Max and Paramount+ among the streaming properties, and names franchises including Star Trek, Barbie, Top Gun, Harry Potter, and Superman.

The television assets include CBS and HBO; the news portfolio includes CBS News and CNN. These properties are now under common corporate ownership. That does not, by itself, mean that their programming, branding, or customer offerings have already been combined.

What is known about HBO Max and Paramount+?

The closing materials establish that both services are in the combined portfolio. They do not establish that the services have become one app, launched a new bundle, or changed subscription prices. Treat any such change as unconfirmed unless Skydance or the services announce it.

Who leads the combined company, and what has Skydance promised?

The Associated Press reports that David Ellison and co-CEO Ynon Kreiz lead Skydance. In its closing announcement, Skydance also set a target of $6 billion in run-rate synergies within three years. That is a company target, not a reported result already achieved.

Skydance announced commitments to produce 30 films per year and more than 180 television shows and series. Those are company-announced output commitments; the announcement does not prove that the future output has already been delivered.

David Ellison, Skydance’s chairman and CEO, framed the company’s aims this way: “Storytelling will drive the combined company’s growth, bringing creative visions to life for audiences in more than 200 countries and territories and creating greater opportunities for workers across the entertainment industry.” This is the company’s stated positioning, not an independent assessment of the merger’s effects.

Why did states challenge the deal?

The U.S. Department of Justice Antitrust Division announced on June 12, 2026, that it had completed an eight-month review and concluded the proposed merger was not likely to harm competition or American consumers in streaming video on demand, linear television, or theatrical film development, production, or distribution. The division said it reviewed more than two million documents from more than 80 custodians. That is DOJ’s conclusion about the specified markets, not an uncontested finding accepted by every challenger.

In July 2026, attorneys general from 12 states sued to block the merger, arguing that it would reduce competition and consumer choice. A federal judge later approved a settlement with Paramount. The court process therefore included both DOJ’s stated position and a separate challenge by the states.

What did the settlement require?

  • Film production: Commitments to increase U.S. film production over five years.
  • Worker support: A $47.5 million commitment for training and career development for workers displaced by the merger, reported by AP as $9.5 million per year over five years.
  • News oversight: A five-member News Editorial Independence Board of active or retired journalists with at least 10 years’ experience. Under the settlement terms reported by AP, the combined company’s board appoints the members, who report to that board and serve three-year terms. The board is to be formed within 180 days of closing.

The board requirement is a settlement provision, not evidence that editorial independence has been demonstrated in practice. AP reported that critics considered the remedies too weak. Colorado and Washington did not sign off on the editorial-board terms, and Connecticut’s attorney general had sought full divestiture of CNN and CBS. Judge Araceli Martínez-Olguín described the proposed consent decree as a “fair, reasonable, and good faith approach to address the competitive harms” alleged by the states, as quoted by AP.

What to watch after closing

The deal establishes common ownership and a new corporate structure; it does not settle how the businesses will be integrated or what customers will experience. The next meaningful developments are whether Skydance meets its announced production commitments and synergy target, how it handles the streaming services and news properties, and how the settlement’s obligations are put into effect. Those outcomes were not established at the time of closing.
