At the October 1, 2026 Noble Capital Markets virtual investor conference, Sernova CEO Jonathan Rigby and Seraxis CEO Will Rust discussed their proposed merger into BetaNova Biotherapeutics. The plan would combine Seraxis’ stem-cell-derived islet-cell programs and manufacturing capabilities with Sernova’s Cell Pouch implantable device. As of October 3, the merger had not been reported as completed; the companies projected a November 2026 close, subject to approvals and other conditions.
What Sernova and Seraxis presented at the conference
Sernova announced that Rigby and Rust would take part in a joint presentation and fireside-style question-and-answer session at Noble Capital Markets’ Emerging Growth Virtual Equity Conference on Thursday, October 1, 2026, at 1:30 p.m. Eastern. The announced focus was the proposed merger and the combined company’s strategy. Sernova said a replay would be available for 90 days after the event through Sernova and Channelchek.

What is the proposed merger, and what is its status?
On September 8, 2026, Sernova and Seraxis announced a definitive agreement to combine their businesses and technologies in a proposed U.S.-domiciled clinical-stage company called BetaNova Biotherapeutics. Its stated focus is islet-cell replacement for type 1 diabetes. The transaction is structured as a statutory plan of arrangement under British Columbia’s Business Corporations Act.

The companies projected a November 2026 close. That is a target, not a completed transaction: completion depends on shareholder approvals, final TSX approval, court approval, required third-party consents and waivers, and customary closing conditions. Sernova’s shareholder meeting was expected in Q4 2026. At the conference, management said it expected a December vote and believed it had enough votes; those remarks do not confirm a meeting date or vote result.

Proposed listings
BetaNova intended to seek a Nasdaq listing in Q1 2027, subject to applicable requirements and approvals. The announcement also described an expected TSX listing for Seraxis/BetaNova stock, subject to TSX requirements and final approval. Neither listing was assured.
How the proposed treatment platform is meant to fit together
The proposed combination brings together distinct parts of an investigational treatment approach. The Cell Pouch is a delivery and cell-containment device; it does not provide the islet cells. Seraxis’ candidates are intended to provide insulin-producing cells, while immune-management strategies address the body’s response to transplanted cells.
SR-02: an allogeneic islet-cell candidate
SR-02 is an allogeneic, stem-cell-derived pancreatic islet candidate. Seraxis said the FDA cleared an investigational new drug application for a type 1 diabetes trial in April 2026. The announced strategy pairs SR-02 with immune management intended to establish tolerance and reduce the need for immunosuppression. That is a development aim, not an achieved clinical outcome.

SR-03: a gene-edited follow-on candidate
SR-03 is a follow-on gene-edited islet-cell candidate. The companies describe its edits as intended to improve compatibility and enable immune evasion. The goal of reducing or eliminating immunosuppression remains unproven; SR-03 is at an earlier development stage than the planned SR-02 clinical study.
Cell Pouch and manufacturing
Sernova’s Cell Pouch is designed as an implantable, retrievable device that can provide a vascularized environment for therapeutic cells. The proposed rationale is to support cell survival, engraftment and function; retrievability may also be relevant to safety planning. Seraxis contributes in-house current good manufacturing practice (cGMP) manufacturing. Management also discussed immune-suppressive medicines and co-stimulatory blockers, including tegoprubart, and identified a collaboration with Eledon Pharmaceuticals.

What clinical evidence exists, and what is planned?
Sernova’s September 8 merger announcement said treatment and follow-up in its Phase 1/2 study of the Cell Pouch with human-donor pancreatic islets in people with type 1 diabetes were complete and that all primary and secondary endpoints were met. The release also cited more than 30 years of cumulative patient safety data supporting the platform’s clinical profile. Those are company-reported summaries; the release excerpt does not provide the endpoint definitions or underlying dataset.
At the conference, management said the Cell Pouch study had shown islets still present and functioning after five years. This is an attributed management statement, not proof of a cure or independently validated evidence presented in the transcript.

The companies said the secured financing was intended to fund initial development milestones. The proposed therapies remain investigational: the materials do not establish that either candidate is effective, that immunosuppression can be eliminated, or that a functional cure has been achieved. There is also no basis in these materials to compare clinical efficacy between SR-02 and SR-03, which are at different stages.
What to watch next
- Transaction approvals: shareholder votes, court approval, final TSX approval and other closing conditions will determine whether the proposed combination proceeds.
- Financing details: the September announcement described secured commitments and a round open through September 30; a final amount or conversion should not be assumed without a subsequent company update.
- Clinical execution: planned SR-02 dosing and subsequent data are future milestones, not completed events.
- SR-03 development: the announced second-half-2027 IND target is a projection.
- Listing decisions: the Nasdaq intention and expected TSX listing remain conditional on applicable requirements and approvals.
The conference’s central investor question is whether the combination can advance from complementary technologies to an executed transaction and then to clinical milestones. As of October 3, 2026, the merger terms and development timetable were announced plans; the decisive evidence still lay in approvals, study execution and clinical data.
