Schneider Electric has agreed to acquire industrial software maker PTC for $205 per share in cash, valuing PTC’s equity at about $22.6 billion. The deal is pending—not closed—and Schneider expects it to close by Q3 2027 if shareholder and regulatory approvals are secured. Schneider’s stated rationale is to connect PTC’s product-design and engineering software with its own industrial, process, and energy data; the announcement does not establish datacenter demand as the cause of the purchase.

How much is Schneider Electric paying for PTC?

The companies announced a cash offer of $205 for each outstanding PTC share on October 5, 2026. They put the equity value at approximately $22.6 billion (€20.1 billion) and the implied enterprise value at $23.7 billion (€21.1 billion). These are different measures: equity value refers to the shares being acquired, while enterprise value is the broader transaction figure stated by the companies. Schneider Electric and PTC’s announcement provides the transaction terms.

Schneider said the offer represented a 42.3% premium to PTC’s last closing share price and a 46.1% premium to its volume-weighted average share price over the preceding 30 trading days. Both premiums are comparisons stated in the announcement, not estimates of what PTC shares are worth independently.

Has the PTC acquisition closed?

No. As of the October 5 announcement, the companies had signed a definitive agreement, but the acquisition remained subject to customary closing conditions. These include approval by PTC shareholders holding at least a majority of outstanding shares at a special meeting, as well as required regulatory approvals. Schneider expected the transaction to close by Q3 2027; that is a target, not a completed or guaranteed closing date. PTC also reported the agreement in an SEC-filed Exhibit 99.1.

Schneider said it had secured a fully committed bridge facility and planned to fund the deal with approximately €5–6 billion of equity issuance and approximately €16–17 billion of new debt issuance. Those are announced financing plans, not confirmation that the funds have been issued or drawn.

What does PTC make?

PTC sells software used by manufacturers and product companies across the product lifecycle:

  • CAD (computer-aided design): tools for designing products and components.
  • PLM (product lifecycle management): systems for managing product information and processes from development onward.
  • ALM (application lifecycle management): software for managing the development lifecycle of applications and embedded software.
  • SLM (service lifecycle management): tools for supporting products and service operations after products are in use.

These products give PTC a role in product design and engineering data—information about what a product is intended to be and how it is built.

Why does Schneider Electric say it is buying PTC?

Schneider’s stated strategy is to combine PTC’s product and engineering data with Schneider’s strengths in process and energy data. The intended result is a broader industrial software platform spanning design and build through operation and maintenance. Schneider argues that joining engineering intent with operating context could help customers connect decisions made during product development with information from industrial operations.

The company also points to opportunities to sell across the two businesses’ customer bases and to develop digital-thread solutions. Those are strategic aims and expected benefits, not evidence that integration or cross-selling has already produced results. Schneider CEO Olivier Blum described the deal as “an important step forward in our ambition to lead the new era of Energy and Industrial Intelligence.”

What do the synergy and growth figures mean?

The transaction announcement mixes historical figures with management projections. They should not be read as achieved results:

Figure What it represents Status
€2.4 billion revenue; approximately 40% adjusted EBITA margin PTC calendar-year 2025 results as reported in Schneider’s transaction announcement Historical figures
About 10% annual revenue and annual recurring revenue growth through 2029 Schneider’s outlook for PTC Forecast
€250 million annual cost synergies by Year 3 Schneider’s estimate of annual cost savings Management estimate, not realized savings
Approximately €800 million revenue synergies Schneider’s estimate of additional revenue opportunities Management estimate, not guaranteed revenue

Schneider attributes the projected synergies to cross-selling, broader channels and end-market access, geographic expansion, and joint development of digital-thread solutions. The announcement does not establish that these estimates will be achieved.

Is the datacenter boom driving the deal?

Schneider Electric serves data centers as well as buildings, industry, and infrastructure, so investment in digital infrastructure is relevant to the company’s wider business context. But Schneider’s stated reason for buying PTC is industrial software: connecting product-lifecycle and engineering information with operational and energy data. The announcement does not say that datacenter demand caused the acquisition, and the independent coverage available does not establish that connection either.

Axios described the acquisition as Schneider’s largest-ever, comparing it with Schneider’s earlier $11 billion purchase of Aveva in 2023. That provides deal context, but it does not change the stated industrial-software rationale.
