The Competition Commission of Pakistan (CCP) conditionally approved PTCL’s proposed acquisition of Telenor Pakistan and Orion Towers on 1 October 2025. Approval is not proof that the deal later closed or that the companies’ businesses or networks have been integrated; the available public record cited here does not establish either outcome.
What PTCL proposed to acquire
PTCL’s transaction covered 100% of the shares in Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited, from Telenor Pakistan BV. The 100% figure describes the shareholding PTCL sought to acquire, not PTCL’s share of Pakistan’s telecom market. The CCP’s account of the review describes the proposed transaction and its initial assessment.
Why the CCP reviewed the acquisition
In its Phase I analysis, the CCP found that the transaction met the presumption of dominance under the Competition Act, 2010, and referred it for a detailed Phase II review. On 7 May 2024, the Commission identified five relevant product markets:

- Retail mobile telecommunications
- Wholesale domestic leased lines
- Wholesale IP bandwidth
- Individual mobile/fixed interconnect
These markets extend the competition question beyond whether a larger combined operator might improve its network: the review also considered concentration and the possibility that the transaction could affect rivals’ access to essential wholesale inputs or customers. The CCP’s Phase II announcement sets out the market categories and its dominance finding.

What the parties argued during the review
At a hearing described by the CCP on 24 October 2024, Wateen, Jazz and CM Pak (Zong) raised concerns. PTCL discussed risks including input and customer foreclosure, while also submitting that the acquisition could generate cost savings, additional network capacity, faster technology advancement and a quicker 5G rollout. Those were PTCL’s anticipated efficiencies, not evidence that the benefits had already been delivered. The CCP’s hearing account records the concerns and PTCL’s submissions.
What conditions came with CCP approval
The CCP announced conditional approval on 1 October 2025. Its public summary lists safeguards aimed at governance, fair access, pricing oversight and consumer protection:

- Separate governance: PTCL and the merged entity must maintain separate boards and independent management structures.
- Independent monitoring: An independent third-party reviewer must monitor compliance, audit transactions and submit quarterly reports to the CCP for five years.
- Limits on internal dealings: Related-party transactions and cross-subsidization are restricted unless conducted competitively and at arm’s length.
- Fair access and interconnection: Telecom operators must receive non-discriminatory access to interconnection capacity and infrastructure. PTCL and the merged company must submit existing and future Reference Interconnect Offers to the PTA for approval.
- Wholesale and retail pricing safeguards: PTCL must seek PTA approval for specified wholesale pricing structures, including IP bandwidth, LDI, domestic leased line and infrastructure services. The CCP also says PTCL must not set predatory retail prices.
- Service and consumer obligations: The companies must comply with service-quality standards, innovation policies and PTA tariff approvals, and demonstrate how claimed efficiencies reach consumers through services, pricing and investment.
- Possible divestiture: The CCP reserved the right to direct divestiture of assets or business segments if future violations occur.

Does approval mean customers will get better service?
Not by itself. PTCL said after the decision that it would advance the acquisition in line with regulatory directions and described expected gains in customer experience, network quality, coverage, digital services and sector efficiency. These are company projections; the cited sources do not establish that the improvements have occurred or measure their effect on customers. The CCP Chairman, Dr. Kabir Ahmed Sidhu, characterized the decision as one that “ensures a level playing field for all telecom operators and safeguards consumer interests.” That is the Commission’s description of its decision, not independent evidence of improved competition or consumer welfare. What is established about the deal’s status
The confirmed milestone in the cited record is conditional CCP approval dated 1 October 2025. The material available here does not verify whether PTCL subsequently completed the transaction or whether Telenor Pakistan and Orion Towers were integrated into PTCL. Nor does it provide a suitable named market-share, pricing, coverage or performance statistic to quantify the deal’s effects.
