Ufone and Telenor Pakistan did not merge through one approval. The Competition Commission of Pakistan (CCP) conditionally cleared PTCL’s acquisition in October 2025; PTCL completed the acquisition in December; PTA issued a separate no-objection certificate (NOC) for license consolidation and amalgamation in April 2026; and final statutory approval cleared the formal amalgamation into PTML in July 2026. Telenor Pakistan is now part of PTML within PTCL Group, but network and customer-account integration were still in progress in the latest cited reporting.
What happened, and when?
The transaction had distinct competition, acquisition, telecom licensing and legal-amalgamation stages. The sequence matters: competition clearance did not itself transfer ownership, and the acquisition did not immediately end Telenor Pakistan’s separate legal existence.

What did the regulators approve?
CCP’s competition clearance
In its May 2024 Phase I review, CCP said the proposed transaction met the Competition Act, 2010 presumption of dominance and warranted a Phase II review. The markets it named were retail LDI fixed-line telecommunications, retail mobile telecommunications, wholesale domestic leased lines, wholesale IP bandwidth, and individual mobile/fixed interconnect within Pakistan. Its October 2025 decision conditionally approved the acquisition.
The conditions were intended to preserve competition and pass efficiencies to consumers. They included:

- Separate boards and management, with competency standards.
- A third-party reviewer to monitor compliance and report quarterly for five years.
- Limits on related-party transactions and cross-subsidization, except on competitive, arm’s-length terms.
- Non-discriminatory interconnection and infrastructure access.
- PTA approval of reference interconnect offers and review of specified wholesale pricing.
- A ban on predatory retail pricing, alongside service-quality and consumer-protection requirements.
- An obligation to substantiate claimed efficiencies through consumer benefits; CCP also reserved a divestiture option in case of future violations.
CCP Chairman Dr. Kabir Ahmed Sidhu said, “The Commission’s decision ensures a level playing field for all telecom operators and safeguards consumer interests.” That is the regulator’s stated rationale; it is not evidence by itself that consumer benefits have already materialized.
PTA’s telecom NOC and the final legal step
PTA’s April 2026 NOC concerned consolidation and transfer of telecom licenses and the proposed amalgamation of Telenor Pakistan into PTML. It was separate from CCP’s competition decision. The published PTCL disclosure establishes the NOC’s purpose and date, but the full PTA order text is not available in the cited sources, so its detailed technical conditions cannot be confirmed here.

The July 2026 statutory approval preceded the formal legal amalgamation. Following that step, Telenor Pakistan no longer existed as a separate legal entity. PTML is the operating company for the combined business within PTCL Group.

Network integration and customer-account migration are different tasks. Dawn reported that frequency integration had begun and that subscribers in Karachi, Hyderabad, Faisalabad and some other cities were operating on the same network. The report described billing integration, balance loading and migration of Telenor SIMs as later steps at that time. It did not give a definitive nationwide schedule for completing them.

Ufone’s continuity statement is a company commitment, not a verified guarantee for every subscriber, district, handset or plan. The cited sources do not establish a universal SIM replacement requirement, an exact balance-transfer process, or a final brand-transition date. Check current notices from Ufone or Telenor for instructions that apply to a particular account.
PTCL’s Q1 2026 report also said it secured spectrum in the 3.5 GHz and 2.6 GHz bands through Pakistan’s 2026 5G auction and described that spectrum as usable across the combined footprint. This is PTCL’s account of its spectrum position and strategy; it does not establish that 5G service is available everywhere or that customers have already received a coverage or speed improvement.

How large is the combined mobile operator?
For a dated view of scale, Dawn reported PTA subscriber data for end-May 2026: Pakistan had more than 206 million mobile subscribers, and the combined entity had 35.91% of the mobile subscriber base. Jazz was reported at 36.42% and Zong at 26.62%. These are historical figures, not current October 2026 market shares.

PTCL’s Q1 report said PTCL Group revenue rose 58% year on year and operating profit was Rs. 16 billion, up 564%, for the quarter ended 31 March 2026. Because Telenor Pakistan’s results were included from 1 January, these group results do not isolate merger efficiencies or demonstrate that customers received savings or service improvements.

- The full PTA NOC/order and its detailed technical conditions are not established in the cited public material.
- No definitive nationwide timetable is stated for billing consolidation, SIM migration, balance transfer or a final brand transition.
- Customer continuity statements do not verify identical outcomes for every user, location, device or service plan.
- The market-share figures refer to end-May 2026 and may have changed since then.
