Paramount Skydance has priced a large package of secured notes and loans to help finance its planned Warner Bros. Discovery acquisition. Some announced note coupons reach 9.125%, but the package is not a single $52 billion bond sale—and the figures do not prove that higher benchmark rates alone drove the cost.

What Paramount is financing

Paramount’s shorthand $52 billion financing refers to a broader package, not one bond issue. It includes secured notes and term loans, alongside cash on hand and previously announced equity financing. The funding is intended to help pay for the Warner Bros. Discovery acquisition and repay certain existing debt.

On September 28, 2026, Paramount said it intended to offer approximately $44.4 billion in dollar- and euro-denominated secured notes to qualified institutional buyers and eligible non-U.S. persons. The proposed offering was conditional on market and other conditions. Paramount’s announcement described the notes as one part of the financing, alongside cash, previously announced term loans, and equity financing.

An earlier SEC filing described a plan to replace or reduce a bridge commitment that had been $54.0 billion and was later reduced to $49.0 billion. That plan contemplated $39.5 billion of first-lien and $12.4 billion of second-lien secured debt. Those figures describe an earlier financing plan, not the final pricing announcement; the company said the ultimate amount, form, and terms could change with market conditions. The SEC filing sets out that caveat.

What rates Paramount announced

On September 30, 2026, Paramount announced pricing for dollar- and euro-denominated secured notes and dollar and euro Term Loan B facilities. The listed note rates are coupons: the stated interest rates applied to each bond’s face amount. They are not yields, which also depend on issue price and cash flows, and they are not a weighted average cost for the whole package.

Currency and lien Coupon Maturity
Dollar, first-lien 6.30% 2028
Dollar, first-lien 6.55% 2029
Dollar, first-lien 7.05% 2031
Dollar, first-lien 7.55% 2033
Dollar, first-lien 7.90% 2036
Dollar, first-lien 8.65% 2046
Dollar, first-lien 8.75% 2056
Dollar, first-lien 8.90% 2066
Dollar, second-lien 8.250% 2031
Dollar, second-lien 8.875% 2034
Dollar, second-lien 9.125% 2036
Euro, second-lien 7.000% 2031

These are the individual note coupons announced by Paramount on September 30, not rates for every loan or a blended rate for the financing package. The pricing announcement lists the tranches and their maturities.

Why the coupons differ

First-lien and second-lien debt

A lien establishes a creditor’s priority claim on collateral if a borrower defaults. First-lien debt generally ranks ahead of second-lien debt against the same collateral, while second-lien creditors have a more junior claim. Investors may demand different compensation for different priority, so comparing the two coupon ranges without noting lien rank can mislead.

Maturity, currency, and pricing

The tranches also have different maturity dates and currencies. A longer maturity, a different currency, and the bond’s issue price can all affect how its coupon should be interpreted alongside other borrowing costs. A useful comparison needs to match currency, maturity or duration, lien priority, issue price or yield, borrower risk, and pricing date; comparing a coupon directly with another security’s yield does not do that.

What the 7.00% assumption tells you—and what it does not

In a July 31, 2026 pro forma filing, Paramount modeled $51.9 billion of new permanent financing and separately included $2.5 billion each in Term A-1 and Term A-2 loans. The filing assumed a 7.00% rate for the new permanent financing and estimated an initial rate of approximately 5.94% for the Term A loans. These were modeling assumptions and estimates, not final rates for all securities. The pro forma filing also cautioned that actual terms could differ.

The 7.00% assumption is a useful reference point, but it is not a like-for-like comparison with the later coupons. It was an assumed cost for modeled permanent financing, while the announced note tranches differ in maturity and lien priority. The available figures do not isolate how much of the final pricing reflects benchmark rates versus credit risk, deal terms, security priority, duration, or other market conditions. They therefore show costly financing, but do not establish that rising benchmark rates were the sole or dominant cause.

Why this matters beyond Paramount

Higher borrowing costs can make a large acquisition more expensive to finance: the price of the debt affects the interest burden the combined company will need to service. Paramount’s announced coupons illustrate the cost of this particular financing, but they are not enough to establish a broader trend across corporate America. A wider claim would require comparable pricing data from other borrowers, matched for date, currency, maturity, lien priority, and credit risk.

Deal status as of October 4, 2026

The financing and acquisition were not yet described as completed at the October 4, 2026 reference date. Paramount had said the note offerings were conditional, and the acquisition might not close on the anticipated terms or timing. On September 30, the Associated Press reported that a federal judge had approved Paramount’s settlement with 12 states and that the companies expected to close the merger on October 6. That was an expected date, not confirmation that the deal had closed. The Associated Press report describes the expectation.
