Ondo Finance announced Ondo Private Markets on October 5, 2026, beginning with a tokenized note tied to an unnamed pre-IPO AI company. The note is not the company’s stock: it offers economic exposure under specific terms, without giving holders rights to the underlying shares. Ondo said secondary trading was expected to begin during the announcement week; that schedule is not confirmation that trading is live.
What Ondo Private Markets offers
Ondo describes the initial product as a tokenized note whose value is calculated from the per-share value realized on the reference company’s common shares, as specified in the note’s terms. The announcement and product page do not name the AI company, and private companies generally do not have official tickers before listing. Do not infer the company’s identity or assume the note is priced at its latest private valuation. The offering documents govern the exact initial terms. Ondo product page
Ondo says eligible investors can trade notes on the Ondo Perps Spot Market, hold them in their own wallets, or transfer them to other eligible holders. Trading is subject to maintenance, risk controls, and possible issuer pauses. Ondo announcement Ondo product page
Ondo says it may add exposures in robotics, cybersecurity, biotech, infrastructure, defense, energy, and space. Those are potential future categories, not a statement that such notes are already available. Ondo announcement

Is the note the same as owning shares?
No. A holder owns a tokenized note, not stock in the private company, and does not have a right to receive the underlying shares. The note’s economic value depends on the terms and on the reference company’s common-share value as determined under those terms. It does not confer the rights that come with being a shareholder. When can a note be redeemed?
Ondo lists specific qualifying liquidity events rather than ordinary company transactions. The Calculation Agent determines in good faith whether an event occurred, what type it was, and the applicable price. The offering documents set out the controlling terms. Ondo product page

- The reference company lists and trades for six months, including after an IPO, direct listing, or merger in which shareholders receive listed stock.
- A buyer acquires majority control of the company.
- The company enters bankruptcy or insolvency proceedings.
- The company liquidates substantially all of its assets.
- Ten years pass without one of the other listed events.
Ordinary funding rounds, employee tender offers, liquidity programs, and ordinary secondary share sales are not listed as qualifying events. That means a private-company transaction that provides some liquidity does not, by itself, necessarily trigger redemption under the note. Ondo product page

Can holders sell before an IPO?
Ondo says eligible holders may trade on its spot market, but the ability to place a trade is not a promise that a buyer will be available or that a sale will happen at a particular price. Buyers and sellers set the secondary-market price. Ondo says there is no public market price or consensus benchmark for the private company, so the note’s spot price can differ significantly from both the company’s latest private valuation and any eventual payout. Liquidity may be limited and spreads may be wide; trading can also be affected by maintenance, risk controls, or issuer pauses. Ondo product page

Can U.S. investors buy Ondo Private Markets notes?
No. The product page says it is unavailable in the United States. Its legal disclosure prohibits U.S. persons and people placing buy orders from within the United States, among others, from subscribing for, acquiring, or redeeming the tokens. Eligibility should be checked against the offering documents; broad language about worldwide access does not override those restrictions. Ondo product page

Ondo’s October 5, 2026 announcement says 87% of U.S. companies with more than $100 million in annual revenue are privately held, attributing the statistic to Apollo Academy without specifying when that underlying figure was published. It also cites Cambridge Associates’ comparison of 13.2% annualized net returns for U.S. private-equity funds with 11.3% for an S&P 500 public-market equivalent over the 20 years ending December 2025. Those figures describe the stated companies and historical period; they are not a forecast, a guarantee, or evidence of the performance of Ondo’s new notes. Ondo announcement

The same announcement reports $3.9 billion in total value locked and more than 1 million cumulative holders across Ondo’s broader infrastructure. These are company-reported, time-sensitive platform figures, not measures of demand or performance for the private-market notes. Ondo announcement
