What Omnitek acquired and what it issued
Under an Exchange Agreement dated September 29, 2026, Hard Rock Holdco, LLC transferred all of its membership interests in Hard Rock Ready Mix, LLC to Omnitek Engineering Corp. In exchange, Omnitek issued 10,000 shares of its Series A Preferred Stock. The filing-based report describes the transaction consideration as preferred shares; it does not state a cash purchase price or valuation. Minichart’s transaction report likewise describes the consideration as stock.
The agreement date and closing date are distinct: the parties entered the agreement on September 29, while the transaction closed on October 1, 2026. Following closing, Hard Rock Ready Mix became Omnitek’s wholly owned subsidiary, according to the filing-based account. Investing.com’s coverage also reports the acquisition.

Board appointments and executive changes
The filing-based account separates the board appointments from the executive-office changes. Kevin Jay Hayes Jr. and Brett Kiker were appointed as Omnitek directors on September 29, 2026. The executive changes took effect October 1, the closing date.

What the filing says about Hayes and Kiker
The filing-based account identifies Hayes as the sole owner of Hard Rock Holdco, the entity that transferred the Hard Rock Ready Mix membership interests. It describes Hayes as having served as CFO of TrueRock Holdings, Inc. since January 2020, with responsibilities that include financial reporting, treasury, budgeting, banking relationships and strategic planning. The filing describes Kiker as a Branch Manager and Senior Broker at Edge Home Finance. These are biographies presented in the company disclosure, not independent assessments of either person’s performance.

Separate warrant disclosure involving Hawkeye Digital
Omnitek also disclosed a warrant issued to Hawkeye Digital, Inc. on September 30, 2026, in connection with consulting services related to the transaction. Investing.com reports that the warrant allows the holder to purchase up to 16,666,667 Omnitek common shares at an exercise price of $0.004 per share and has a five-year term. The warrant includes cashless exercise provisions and a 4.99% beneficial ownership limitation. Investing.com’s report says the issuance was made under a registration exemption.
The 16,666,667 figure is the maximum number of shares covered by the warrant, not evidence that those shares have been issued. The warrant is a separate securities disclosure and should not be confused with the 10,000 preferred shares issued as consideration for the acquisition.

What the announcement establishes—and what it does not
The reported terms establish the acquired ownership interest, the preferred-stock consideration, the closing and the leadership transition. They do not provide a reported cash valuation, quantified synergies, a forecast of operating performance or evidence of post-acquisition results.
