Netskope’s IPO had a base offering value of $908.2 million: the company sold 47.8 million newly issued Class A shares at $19 apiece. That figure was gross, not the company’s take-home proceeds. After underwriters exercised their option in full, the completed sale covered 54.97 million shares, and Netskope announced approximately $992.2 million in proceeds after underwriting discounts and commissions but before estimated offering expenses.

What the $908 million headline means

The headline’s “over $908 million” refers to the base offering’s gross value: 47.8 million shares multiplied by the $19 public offering price. Netskope’s final prospectus listed $45.41 million in underwriting discounts and commissions on that base sale. It estimated proceeds before offering expenses at $862.79 million, and estimated net proceeds after offering expenses at approximately $855.4 million.

The prospectus also estimated that full exercise of the underwriters’ option would produce approximately $984.9 million in net proceeds after offering expenses. The later closing announcement reported a different figure and basis: approximately $992.2 million after underwriting discounts and commissions, but before estimated offering expenses. These figures should not be treated as interchangeable.

What changed when the underwriters exercised their option

The full option added 7.17 million shares to the base offering, bringing the total sold to 54.97 million. At $19 per share, that was a larger completed sale than the 47.8 million-share base offering. Netskope’s September 22 closing announcement put proceeds at approximately $992.2 million after underwriting discounts and commissions and before estimated offering expenses; it did not describe that amount as net of all offering costs.

How Netskope said it would use the proceeds

In the prospectus, Netskope said it intended to use the net proceeds for general corporate purposes, including working capital, operating expenses, and capital expenditures. It also expected to use a portion to meet tax withholding and remittance obligations related to restricted stock units settled in connection with the IPO.

The company reserved the possibility of funding acquisitions or investments in complementary businesses, products, services, technologies, or other assets, while stating it had no agreements or commitments for such transactions at the time. It said it did not then intend to use the proceeds to repay outstanding indebtedness. These were stated plans in the prospectus, not confirmation of how the money was later spent.

What public shareholders’ voting rights looked like

The prospectus described three authorized common-stock classes after the offering: Class A, Class B, and Class C, although no Class C shares were expected to be outstanding immediately afterward. Class A shares carried one vote each; Class B shares carried 20 votes each and could be converted at any time into one Class A share. The prospectus said the classes’ rights were substantially identical apart from voting and conversion rights.

That distinction matters when considering voting power: one Class A share did not carry the same number of votes as one Class B share. This describes the capital structure set out in the IPO prospectus, not a current share-count or ownership update.
