National Bank Holdings Corporation (NBHC) said in an October 1, 2026 Form 8-K that NBH Bank expected $46.8 million in charge-offs tied to specific commercial loans for the quarter ended September 30. The company also disclosed a separate board action adding $40.1 million to its stock-repurchase authorization. The charge-offs and related impairment figures are management estimates, not final third-quarter results; the buyback authorization is permission to repurchase shares, not evidence that purchases have occurred.
What NBHC disclosed
In its October 1, 2026 Form 8-K, NBHC reported two distinct developments. First, the company said NBH Bank, its wholly owned subsidiary, expected material impairments on specifically identified commercial loan relationships, primarily in the franchise and healthcare industries, related to credit events affecting the third quarter. Second, NBHC said its board had approved additional authority for potential repurchases of Class A common stock.
The filing presents the loan and investment figures as estimates before final third-quarter results. It does not establish the eventual losses, the final value of collateral, or what the bank ultimately charged off.
How the estimated loan losses break down
The affected loan relationships had $65.0 million in aggregate outstanding principal. NBH Bank expected them to be reserved or charged down to an estimated $18.2 million. The company estimated $46.8 million in charge-offs and provision expense of $38.0 million to $40.0 million for the three months ended September 30, 2026.

“As a result of the write downs and specific reserves on these loans during the quarter, the Bank expects to incur an estimated $46.8 million of charge-offs, resulting in provision expense in the range of $38.0 million to $40.0 million for the three months ended September 30, 2026.”

Charge-offs and provision expense describe related but different accounting effects. A charge-off reduces the recorded value of loans deemed uncollectible; provision expense is the income-statement expense associated with setting aside for credit losses. The filing reports both as estimates for the quarter, and the figures should not be treated as interchangeable.

In addition to the commercial loans, NBHC expected a $4.0 million impairment charge on a FinTech partnership investment classified as a non-marketable security. The company said this charge would reduce non-interest income. It is separate from the loan charge-offs and provision expense.
Estimated effect on earnings
NBHC estimated that the combined impairments would reduce after-tax earnings by approximately $32.0 million to $34.0 million, or $0.72 to $0.76 per diluted share, for the three and nine months ended September 30, 2026. Those are estimates disclosed before final third-quarter results. They are not the company’s reported final net income or earnings per share for the quarter.
For context, NBHC reported second-quarter 2026 net income of $26.5 million, or $0.58 per diluted share, when it released results on July 21, according to its company results page. That figure is from a different quarter and is a reported result; it should not be read as a direct comparison with the preliminary third-quarter impairment estimate.

What the $40.1 million buyback authorization means
On September 30, NBHC’s board approved an additional authorization to repurchase up to $40.1 million of Class A common stock. With $59.9 million remaining under the existing authorization, the company’s aggregate repurchase authority rose to $100.0 million.

It has no expiration date, but the board may modify, suspend, or terminate it at any time. The $100.0 million is a ceiling on authorized potential repurchases, not a commitment to spend that amount. It does not offset or fund the expected loan losses.
Best Value
At the close of business September 30, NBHC reported 44,285,618 Class A common shares outstanding, excluding 813,990 issued but unvested restricted Class A shares. The number of shares ultimately repurchased, if any, depends on whether and when the company executes purchases under the authorization.

| Disclosure | What it represents | Timing and certainty | Potential financial effect |
|---|---|---|---|
| Loan charge-offs and provision | Expected credit-loss accounting for identified commercial loan relationships | Management estimate for the quarter ended September 30, 2026; final outcomes were not established in the October 1 filing | Expected to reduce earnings, with provision expense estimated at $38.0 million to $40.0 million |
| Additional buyback authority | Board-approved ceiling for possible share repurchases | May be used from time to time; the authorization can be changed or ended and does not guarantee purchases | Would affect share count only if repurchases are executed |
These actions have different financial meanings. The loan disclosure is an estimate of credit-related costs affecting earnings; the buyback disclosure expands the amount of stock NBHC is permitted to repurchase. One does not resolve, offset, or establish how the other will be carried out.
