Flextronics subsidiary Multek agreed to acquire Sheldahl, a supplier of flexible printed circuits and related circuit materials, in a stock-for-stock merger announced in August 2004. The deal was intended to add flexible substrates to Multek’s rigid-PC-board business, giving customers a broader circuit-supply option.
Who was acquiring Sheldahl?
Multek, a PC-board supplier and wholly owned subsidiary of Flextronics, agreed to acquire Sheldahl. EDN reported the agreement on August 17, 2004, with the companies planning to complete the merger by the end of that month. The transaction was structured as a stock-for-stock merger. What did Sheldahl make?
Sheldahl supplied advanced laminates, high-performance tapes, flexible printed circuits, and printed-circuit materials. Its products served automotive and data-communications markets. The company’s intellectual-property portfolio included the patented Novaclad process, used to make advanced adhesiveless laminates for fine-geometry circuitry.

How large was Sheldahl?
- Employees: 450, according to EDN’s 2004 report.
- Manufacturing space: more than 300,000 square feet, according to the same report.
- Locations: headquarters in Northfield, Minnesota, plus facilities in the Philippines and Mexico.
Why did Multek want a flexible-circuit supplier?
Multek specialized in rigid printed-circuit boards. Adding Sheldahl’s flexible circuits and substrates was presented as a way to broaden Multek’s product range and offer customers a single source for both PC boards and flexible substrates. EDN also noted that Multek had recently restructured following weak PC-board demand and shipments; the acquisition therefore came as the company sought to expand its offering.

What financial contribution did Flextronics expect?
Flextronics and Multek expected Sheldahl to add approximately $80 million in annual revenue. They also projected an increase of at least $0.01 in annual diluted earnings per share. That EPS estimate excluded synergies and amortization while including incremental shares issued in the merger; it was a company expectation reported in 2004, not a measured outcome.
