Maxim Integrated Products announced on April 12, 2010, that it would acquire privately held Teridian Semiconductor for approximately $315 million in cash. The agreement was signed on April 9 and the acquisition closed on May 11, 2010. Maxim later became part of Analog Devices (ADI), which completed its acquisition of Maxim in 2021.

The completion filing described the consideration as approximately $315 million, subject to a post-closing adjustment, with part held in escrow. Maxim’s fiscal 2010 filing later recorded total cash consideration of $314.9 million. The announced figure and the accounting figure are different descriptions of the transaction, not competing announcements.

What did Teridian make?

Teridian was a fabless mixed-signal semiconductor company focused on electricity metering and energy measurement for smart-grid applications. Its system-on-chip products combined an analog front end, microcontroller, and display driver for smart meters.

Why did Maxim want Teridian?

Maxim said the acquisition would broaden its position in smart-meter energy measurement and communications. It also expected the deal to help accelerate sales of its power-management, real-time-clock, interface, and security technologies into that market.

Maxim’s April 2010 announcement claimed Teridian had “50% share in the fast growing system-on-chip (SoC) energy measurement market.” That is Maxim’s stated figure, not independently established market-share data in the reviewed primary sources.

What became of Teridian’s products?

ADI, which completed its acquisition of Maxim on August 26, 2021, continues to document the Teridian 71M6513 three-phase energy-meter IC family. ADI marks the 71M6513 obsolete. Its documentation also includes the 71M6513H-DB evaluation board for engineering evaluation; this is a legacy development product, not a consumer smart meter. Engineers considering it for existing designs should check lifecycle status and availability and confirm that the device meets their requirements.
