Build the system so the LLM recommends and drafts, while deterministic application code enforces financial and contractual limits. Put a human procurement owner between the proposal and any vendor-facing action. Treat sending a message, making a counteroffer, and accepting terms as separate permissions—not as consequences the model can grant itself.
Separate negotiation reasoning from authority
An LLM can summarize a renewal, prepare a negotiation brief, compare options, and draft a message. It should not decide what the organization is authorized to spend, waive a required term, or bind the organization to a contract. Those decisions belong in explicit policy and approval logic outside the model.
This separation is illustrated by an AWS Builder Center example of an agent assisting with SaaS renewals: the model reasons about the negotiation, while deterministic checks and human approval gate actions. That example is an implementation illustration, not an independent audit or proof that a particular design is safe.

Make the system’s authority visible in its tools and workflow. “Draft message” and “send message” should be different capabilities. Sending an approved counteroffer should not imply permission to accept a vendor’s reply, and a past approval should not authorize a later proposal whose terms have changed.

Design the workflow around reviewable decisions
-
Ingest and normalize the commercial facts
Collect the vendor and product, current agreement, renewal date, seats or usage, quote, historical spend, internal business owner, and relevant source documents. Preserve provenance for each value. Mark whether a fact came from a signed agreement, a vendor quote, an internal system, a user, or model inference; do not let an inferred value silently become an established fact.
-
Prepare a negotiation brief
Give the model verified internal context and benchmark evidence the organization is permitted to use. Include the source, date, scope, and coverage limits of each comparison. If comparable evidence is absent or does not match the product, quantity, term, or package, surface that gap rather than inventing a market price or savings claim.
-
Generate structured terms before prose
Have the model propose a structured offer or counteroffer, with rationale, evidence references, uncertainty, and any reason to escalate. Render the email from that proposal only after the fields are available for review. This makes it possible to validate the commercial proposal independently of persuasive or ambiguous wording.

Run deterministic checks
Application code should calculate the annual and total commitment and check the proposal against policy. Validate all relevant terms together; a price that is within range can still be unacceptable if it includes a longer term, changed renewal language, or a costly implementation commitment.
-
Show the human exactly what will happen
Before any external action, present the exact message, structured terms, calculated commitment, evidence, policy-check results, and consequences. Record who approved which version and when. If the vendor changes a material term, require a fresh review rather than treating the old approval as transferable.
-
Transmit, parse, and re-review replies
If sending is automated, restrict it to approved channels and approved content. Parse vendor replies into proposed structured terms, flag ambiguity or changed terms, and return them to review. Do not let a free-form reply or a model’s interpretation of it become acceptance or signature authority.
-
Keep the record and assess the outcome
Retain the source data, model and prompt configuration, policy result, approval, outbound message, reply, revisions, final agreement, and post-deal outcome. Use the history to investigate errors and compare realized outcomes against a meaningful baseline.

Represent the whole deal, not just the quoted price
A useful first offer schema should hold vendor and product identifiers; currency; price and billing basis; seat, usage, or quantity; contract start and end; renewal and cancellation terms; included features; support tier; implementation charges; payment timing; and source-document references. Keep vendor-stated, customer-observed, and model-inferred values distinct, including when they appear side by side in the review interface.
Rank #3
Price alone is an incomplete objective. Depending on the agreement, the economic value can also depend on quantity, term, features, support, implementation, payment terms, hosting, and other provisions. Legal commentary on SaaS agreements describes a broader set of issues spanning licensing and pricing, implementation, ongoing support, hosting, and governance. That is useful context, not a universal checklist or jurisdiction-specific legal advice; route actual contract questions to qualified procurement and legal reviewers.
For each proposed change, show both the field-level difference and its calculated financial effect over the relevant contract period. Do not collapse a multi-year total into a first-year figure, or treat an apparent discount as savings without accounting for the package and commitments being compared.
Put enforceable boundaries in policy code
Use deterministic rules for constraints that must hold regardless of how the model explains its proposal. Keep the policy versioned and testable, and make a failed or incomplete check block the relevant action rather than merely adding a warning to the prompt.

- Maximum annual and total commitment, budget limits, and approval thresholds.
- Permitted contract durations, renewal and cancellation requirements, and prohibited clauses.
- Minimum acceptable value or terms, maximum concession steps, and allowed response windows.
- Eligible suppliers, approved alternatives, and conditions requiring procurement or legal review.
- Required data and evidence before a proposal can be sent or accepted.
- Separate permissions for drafting, sending, counteroffering, accepting, and signing.
When a proposal fails a rule or required information is missing, return a reasoned rejection or escalate it to the right reviewer. Do not ask the LLM to decide whether its own proposal is compliant.

Choose the level of autonomy deliberately
| Operating mode | Authority and risk | Best fit |
|---|---|---|
| Human-authored negotiation with an LLM copilot | The model supports research and drafting; a person authors and sends vendor communications. It keeps external authority with the human, with more manual effort. | Early deployments, sensitive renewals, or workflows where the organization is still learning which evidence and policy rules matter. |
| Agent-drafted, human-approved messages | The model prepares a structured proposal and message, but a person approves the exact outbound action. This can reduce drafting work while preserving an explicit review gate. | A mature workflow with reliable source data, tested policy checks, and a clear approval owner. |
| Bounded autonomous negotiation | The system can contact vendors or make a narrow set of offers within defined limits. It carries greater operational and financial risk and requires strong tool restrictions, monitoring, records, and an explicit authorization decision. | Only after the organization has evaluated the bounded workflow and specifically authorized this additional capability. |
Do not move from one mode to another just by changing a prompt. Treat increased authority as a product and governance change: define permitted counterparties, channels, actions, limits, escalation conditions, and revocation behavior, then test the full path.
Make benchmark quality and build-versus-buy part of the design
Benchmark evidence is a dependency, not a decorative number in a proposal. Decide whether to build the data capability or license or integrate an external source by assessing coverage, freshness, provenance, cost, and whether the benchmark can be matched to comparable contract scope. A large collection of prices is not useful if its product, package, term, or quantity cannot be reconciled with the deal being evaluated.
There are existing services in adjacent categories. Vendr describes software pricing transparency, Vertice describes its Ana procurement negotiation assistance, Nibble describes supplier and RFQ negotiation, and AgentDeal describes SaaS pricing negotiation. These are vendor-authored descriptions; they do not establish comparative performance or prove which service fits a particular organization. Evaluate current scope, security, data handling, integrations, provenance, and commercial terms directly before deciding to build or buy.

Random freezes, missing sound and display glitches usually trace back to one bad driver. Find and replace yours safely.Free scan · under a minuteA narrow SaaS-renewal tool can make product and contract fields simpler to model. A general procurement negotiator may need broader supplier types and integrations. Likewise, one combined LLM workflow may be simpler to start, while separate proposal, policy, and review components make failures easier to isolate and test. These are design trade-offs, not universal winners.

Track at least these measures:
- Policy violations and attempted or completed actions outside authority.
- Arithmetic accuracy and accuracy of extracting contract fields from quotes and agreements.
- Materially irrational or dominated recommendations, not just whether the other party agreed.
- Realized economic value against a comparable baseline, accounting for term, features, support, and switching costs.
- Negotiation rounds and time to agreement.
- Human edit, rejection, and escalation rates.
- Performance across vendor types and different counterpart behaviors.
A 2026 preprint by Chen Liang and Fasheng Xu studied 9,840 LLM-to-LLM supply-chain bargaining simulations. It reported a 98.9% agreement rate and 95.4% of first-best undiscounted surplus captured, but also 21–34% surplus erosion from delay and baseline individually irrational contract acceptance in 19.2% of cases; the study reported 0.0–0.6% for mid-tier and flagship models in that setting. These are results from that paper’s simulated environment, not SaaS procurement field data or a forecast of a product’s performance. The practical lesson for evaluation is to inspect value, delay, and irrational acceptance separately rather than treating agreement as success.
Use governance guidance to define responsibilities
NIST’s AI Risk Management Framework organizes risk work as Govern, Map, Measure, and Manage, and its core addresses human-AI roles and oversight processes. NIST describes the framework as voluntary, use-case-agnostic guidance and notes that it is being revised. Its Generative AI Profile, NIST AI 600-1, was published on July 26, 2024, as a companion resource to AI RMF 1.0.
Use this material to document the system’s purpose, risk tolerance, responsibilities, oversight, evaluation, and third-party dependencies. It is guidance, not product certification or proof that a given design is safe or compliant. A separate 2025 GAIA preprint proposes principal, delegate, and counterparty roles for LLM-human B2B negotiation and screening; treat that as a research proposal, not a validated standard.

A practical first release
- Start with one renewal workflow and human-authored or human-approved outbound messages.
- Build a normalized record with provenance for quotes, agreements, usage, and benchmark evidence.
- Have the LLM create a structured proposal and draft, while code calculates commitments and applies versioned rules.
- Require approval of the exact message and terms before sending; require a new approval for material vendor changes.
- Log every input, policy result, approval, message, reply, and final outcome.
- Test extraction, arithmetic, policy enforcement, and recommendation quality on representative cases before granting more authority.
Keep autonomy bounded until evidence from that workflow justifies expanding it. The architecture’s core safeguard is not a more forceful prompt: it is a clear boundary between model-generated advice and the system’s authority to act.
