McCormick may look inexpensive on one earnings measure, but the available figures do not establish that its shares are undervalued. At the October 2, 2026 quote of $44.60, the price equates to roughly 14.2–14.6 times McCormick’s fiscal 2026 adjusted EPS guidance—a calculation, not a GAAP P/E or fair-value estimate. The investment case also depends on dividend capacity and a proposed Unilever Foods combination that could add scale but would dilute current McCormick holders and increase debt.

Is McCormick stock cheap right now?

“Cheap” is a thesis, not a conclusion established by the available figures. MarketBeat’s October 2, 2026 coverage describes McCormick as trading at roughly 15 times current-year earnings, while its quote widget for the same date displays a P/E of 8.07 without clarifying the earnings basis. Those figures are not reconciled, so neither should be treated as a definitive valuation multiple.

A more transparent reference calculation uses the $44.60 share price shown by MarketBeat at 3:59 p.m. Eastern on October 2, 2026, and McCormick’s fiscal 2026 adjusted diluted EPS guidance of $3.05–$3.13. Dividing the dated quote by that guidance gives approximately 14.2–14.6 times guided adjusted EPS. This is a calculation from a market quote and company guidance, not the company’s GAAP P/E or an estimate of intrinsic value; the EPS measure is non-GAAP and adjusts for comparability items.

MarketBeat also listed a $55.30 analyst consensus price target and a 4.30% dividend yield in its October 2 context. A consensus target is not fair value or a promised return, and yield changes with share price and dividend assumptions. The cited material does not include an independent intrinsic-value estimate.

What do McCormick’s latest results say about the business?

For the three months ended August 31, 2026, McCormick reported net sales of $2,024.8 million, up 17.4% from $1,724.9 million a year earlier. Organic sales, which exclude acquisitions and currency effects, advanced 1.9%. The gap matters: McCormick de Mexico contributed 14.6 percentage points to reported sales growth, according to the company.

Adjusted diluted EPS was $0.86, compared with $0.85 in Q3 fiscal 2025; reported diluted EPS was $0.36, down from $0.84. McCormick said $141.5 million of special charges reduced diluted EPS by $0.50, including transaction and integration costs and a non-cash impairment charge. The divergence means the quarter’s adjusted performance does not tell the whole story of reported earnings.

How well supported is the dividend?

McCormick’s financial statements show cash dividends paid per share of $0.48 in Q3 fiscal 2026, compared with $0.45 in Q3 fiscal 2025. For the first nine months of those fiscal years, dividends paid were $1.44 and $1.35 per share, respectively. MarketBeat describes the company’s annual dividend-increase history as nearly 40 years; that record is historical, not a guarantee of future increases.

At the October 2, 2026 MarketBeat quote of $44.60 and its stated 4.30% yield, the yield is a point-in-time measure. Simply annualizing four quarterly payments at the Q3 rate of $0.48 produces $1.92 per share, but that arithmetic is not company guidance on future payments. In April 2026, McCormick’s CEO and CFO said they expected the combined company to maintain dividend payments consistent with McCormick’s history and described a roughly 60% payout ratio. That is management’s stated intention, not a binding commitment; the proposed deal’s borrowing and leverage make future cash-generation and debt costs relevant to dividend capacity.

What could the proposed Unilever Foods deal mean for shareholders?

Announced on March 31, 2026, the transaction would combine McCormick with most of Unilever’s Foods business. The announced scope excludes Unilever’s food business in India, Nepal, and Portugal; its Lifestyle & Nutrition business; Buavita; Lipton Ready-to-Drink; and certain other businesses.

Consideration and ownership

Under the announced terms, Unilever and its shareholders would receive shares equal to 65.0% of the combined company’s fully diluted equity, plus $15.7 billion in cash, subject to closing adjustments. The announcement valued the equity component at $29.1 billion using McCormick’s one-month volume-weighted average share price of $57.84, and placed Unilever Foods’ enterprise value at about $44.8 billion, or 13.8 times fiscal 2025 EBITDA. These are transaction-announcement figures; the equity value depends partly on the stated share-price reference.

The announced transaction is not complete. McCormick said it expected closing by mid-2027, subject to McCormick shareholder approval, required regulatory approvals, and other customary conditions. Its October 2026 Q3 release said regulatory filings had been submitted on schedule; that does not mean approvals are complete.

Management’s projected benefits and financing plan

McCormick projects that the combined company would have approximately $20 billion in fiscal 2025 revenue and a 21% operating margin. Management forecasts mid- to high-single-digit adjusted EPS accretion in the first twelve months after closing and mid- to high-teens accretion in Year 3. It also estimates roughly $600 million in annual run-rate cost synergies, net of growth reinvestments and potential dis-synergies, with about two-thirds expected by Year 2. These are projections, not achieved results.

The cash consideration is to be funded with balance-sheet cash and new debt; management has described committed bridge financing. McCormick expects combined-company net leverage of 4.0x or less at closing and intends to reduce it to 3.0x within two years. The company says integration planning involves 20 cross-functional teams and more than 200 employees, with transition service agreements intended to support continuity and a phased exit over approximately two years after closing. Those preparations indicate planning, not assurance that integration or savings targets will succeed.

What are the main risks to the investment case?

  • Deal completion: Required approvals and other closing conditions could delay or prevent the transaction.
  • Dilution and influence: Current McCormick holders are expected to own 35.0% of the combined company, while Unilever shareholders would own 55.1%.
  • Debt and interest expense: The cash payment requires new borrowing, and the expected leverage at close is above the company’s stated medium-term target.
  • Integration and synergy execution: Transition costs, disruption, or dis-synergies could reduce the benefit of the projected savings.
  • Underlying growth quality: In Q3 fiscal 2026, organic sales growth was much lower than reported growth, and volume/mix declined.
  • GAAP earnings volatility: Q3 special charges created a substantial gap between reported and adjusted EPS.
  • Valuation uncertainty: The cited coverage presents two P/E figures without a clear common basis, while an analyst target does not establish fair value.

How to weigh the bull and bear cases

The upside case rests on McCormick’s brands and operating scale, a long record of dividend increases, and the possibility that the Unilever Foods combination delivers the growth, synergies, and adjusted-EPS accretion management forecasts. The countercase is that current organic growth is modest, reported earnings are absorbing substantial special charges, and the deal would bring dilution, financing costs, and complex integration before projected benefits are certain.

For an investment decision, compare like with like: organic sales and volume/mix rather than reported growth alone; GAAP and adjusted EPS together; dividend payments against leverage and cash needs; forecast synergies against financing and execution risks; and valuation multiples calculated from clearly defined earnings and a dated share price. McCormick’s available figures support a case worth evaluating, but they do not establish that the stock is cheap or that the proposed combination will create shareholder value.
