Applying for an IPO in India does not guarantee shares, and a listing gain is never assured. The process has separate stages: bids help determine the issue price, allotment decides who receives shares, the first trading price determines any initial gain or loss, and lock-in rules apply to specified shareholder categories—not automatically to every public applicant.

For any particular IPO, follow its offer document and published timetable for category rules, dates and exceptions.

How does IPO bidding and price discovery work?

In a book-built IPO, investors bid within the stated price band. The issuer and lead managers use demand to determine the final issue price after bidding closes. SEBI explains the book-building framework in its investor guidance.

An eligible retail individual applicant can choose the cut-off option to indicate willingness to subscribe at the final price discovered within the band, rather than naming a lower bid price that might not qualify. SEBI’s May 2025 FAQ ties this option to retail applicants applying within its stated ₹2,00,000 limit. Check the current offer document and rules for eligibility; do not assume a threshold in older guidance remains current. SEBI ICDR FAQ

How is allotment decided?

After bidding closes and the issue price is set, the basis of allotment is finalized. Applying does not guarantee an allotment: when demand exceeds available shares, an applicant may receive fewer shares than requested or none. The rules depend on investor category and the shares available in that category.

SEBI’s May 2025 FAQ describes minimum-lot and availability provisions for retail and non-institutional investors (NIIs), with remaining shares allotted proportionately where applicable. It is therefore inaccurate to say that every oversubscribed IPO simply gives everyone a lottery draw—or that applying for more lots guarantees shares. The offer document sets out the category allocation and issue-specific basis. SEBI ICDR FAQ

What happens to IPO application money if no shares are allotted?

Under ASBA (Application Supported by Blocked Amount), the application amount is blocked in the bank account rather than ordinarily taken in full at application. The amount due for shares actually allotted is debited; excess funds, or the full blocked amount if there is no allotment, are unblocked.

SEBI says the “Blocked amount continues to earn interest and there is no requirement of refund in case of non-allotment.” See SEBI’s ASBA guidance.

When will the shares list, and when will funds be unblocked?

SEBI’s February 2026 ICDR master circular requires disclosure of a T+3 listing timeline and says issue advertisements must state application, allotment, unblocking and listing timelines. For an individual IPO, use the timetable in its current offer document and issuer or exchange notices: operational dates vary by issue, so a generic calculation may be wrong. What are listing gains, and can I sell IPO shares on listing day?

A listing gain is the difference between the IPO issue price and the price at which the share begins trading. If the first trading price is below the issue price, the result is a listing loss instead. High subscription demand or an unofficial pre-listing indicator does not guarantee a positive first-day price; grey-market premiums are not official prices or reliable predictions.

SEBI has a regulatory framework for first-day price bands, described in its first-day price-band circular. A positive first trade says nothing by itself about how the share will perform later.

For whether you can sell on listing day, distinguish the shares you hold from shares subject to a category-specific lock-in. Ordinary public applicants should check the issue terms and any applicable restriction on their allotted shares; the lock-ins described below concern specified holdings and should not be assumed to apply to every retail allotment.

Which IPO shares have lock-in periods?

“IPO lock-in” is not one restriction that applies equally to everyone. SEBI’s May 2025 ICDR FAQ distinguishes promoter contribution, other promoter pre-issue capital, non-promoter pre-issue capital and anchor-investor shares. The stated rules and durations are summarized below; exceptions and precise dates depend on the applicable regulations and issue terms.

Holder and shares covered Stated lock-in Start and qualifications
Promoter minimum contribution in an unlisted issuer: at least 20% of post-issue capital 18 months generally; three years where most issue proceeds, excluding the offer-for-sale portion, are proposed for capital expenditure SEBI’s May 2025 FAQ describes these periods; verify the applicable rules and issue terms for exact treatment.
Remaining promoter pre-issue capital Six months generally From listing; the FAQ states a one-year-from-allotment capital-expenditure exception.
Non-promoter pre-issue capital Six months Subject to exceptions in the applicable rules.
Anchor investor shares 50% for 30 days and the other 50% for 90 days From allotment, according to SEBI Investor’s book-building guidance.
Public applicant’s IPO allotment No universal lock-in stated by these rules for every public applicant Check the particular offer document and applicable regulations for any issue-specific restriction.
