For a lower-middle-market sale, choose the intermediary whose team can run the process your company needs—not the one with the more impressive-sounding title. “Investment bank” and “M&A advisor” overlap in private-company deals; compare their closed-deal experience, buyer access, named execution team, process, written fees, and relevant regulatory standing.
What is the difference between an investment bank and an M&A advisor?
There is no reliable title-based dividing line for private-company sell-side work. A boutique investment bank and an M&A advisory firm may both help value and market a business, identify buyers, manage diligence, and assess offers. What matters is which services the firm actually commits to provide and who will perform them. Deloitte’s middle-market sell-side considerations describe transaction tasks sellers may need to plan for.
Either type of firm could suit a sale. A bank may be worth considering for a broader or more complex process if it can demonstrate relevant buyer coverage and execution. An M&A advisor may be a strong fit if its team has relevant experience, buyer relationships, and senior-led execution. These are questions to test in a proposal, not attributes guaranteed by a firm’s label.

Rather than assume a universal deal-value threshold, tell candidates about your company, transaction goals, ownership, and complexity, then ask for experience with comparable transactions.

How should you compare candidates?
Use the same questions for every candidate, and ask for specific answers about the deal your company is preparing to run.
- Comparable closed deals: Ask for recent completed transactions similar in enterprise value, sector, ownership structure, and complexity. Find out what the firm personally handled, which types of buyers participated, and whether the transactions closed on expected terms.
- Buyer access and outreach: Ask how the firm would build a buyer universe for your business, including strategic buyers and financial sponsors where relevant. Request an outline of its outreach plan and how it will protect confidentiality.
- Named execution team: Identify the senior banker or advisor who will lead the mandate, their expected time commitment, the supporting team, and any handoffs. Evaluate the people who will run the deal—not just the firm’s credentials or presentation.
- Process and deliverables: Clarify what the firm will prepare, how it will coordinate outreach and competing indications of interest, what support it will provide during diligence and negotiation, and how it will manage the path to closing. Confirm these responsibilities in the engagement scope.
- Conflicts and other roles: Ask about potential conflicts and whether the firm or its personnel expect to take another role in the transaction. Understand how those circumstances could affect the advice or process.
- Regulatory standing: Ask about the firm’s and relevant personnel’s regulatory status, and verify registration where applicable. The answer depends on the intermediary’s actual activities and the transaction structure, so involve transaction counsel.
How do you compare engagement fees?
Do not assume investment banks or M&A advisors follow a single fee schedule, or that one category always costs more. Compare the written terms and the services included. Firmex’s US M&A Fee Guide 2023–24 reports survey findings for that period, including monthly work fees and success fees that can vary with transaction size. Those findings are not guaranteed rates for a particular firm or deal.

Before signing, check how each proposal addresses:
- Work fees or retainers, and whether they are credited against the success fee.
- The success-fee formula, any minimum fee, and what counts as transaction value.
- How earnouts, rollover equity, or other non-cash or contingent consideration affect the fee.
- When fees become payable and which expenses the client reimburses.
- Exclusivity, termination rights, and any fee tail after the engagement ends.
- The work and support included for the proposed fees.
Read the engagement letter carefully. A lower headline fee may not mean a lower total cost or equivalent service scope.

What should you know about broker registration?
The SEC explains that broker status can depend on a person’s activities. Relevant factors can include finding buyers or sellers of businesses, participating in important transaction stages such as solicitation, negotiation, or execution, and receiving compensation tied to a transaction’s outcome or size. The SEC says brokers generally must register with the SEC; see its Broker-Dealers guidance.

The SEC Division of Trading and Markets’ 2014 M&A Brokers no-action letter is a fact-specific staff position, not a blanket exemption for anyone who calls themselves an M&A advisor. Ask transaction counsel to assess the proposed intermediary’s activities, the deal structure, and applicable current law; a firm’s title alone does not settle the question.

A business broker may be worth considering for a transaction at the smaller end of the market. As with banks and M&A advisors, assess the broker against the company and transaction rather than treating the category as proof of fit. The International Business Brokers Association’s guide to the business brokerage profession provides background on that field.

For any candidate, compare relevant closed deals, buyer outreach, senior attention, process depth, sector knowledge, conflicts, written fees, and applicable regulatory standing. A title—or an assumed market-size boundary—cannot substitute for those specifics.
