Intel completed its repurchase of Apollo-managed funds’ 49% interest in the joint venture tied to Fab 34 in Ireland on April 8, 2026. Intel’s Q2 2026 filing reports aggregate cash consideration of $14.2 billion, including transaction costs. The deal bought back a stake in the joint venture—not direct ownership of 49% of the factory.

What Intel bought back

The repurchased interest was Apollo-managed funds’ 49% equity stake in Ireland SCIP, the joint venture related to Intel’s Fab 34. Intel’s June 2024 announcement said it would retain full ownership and operational control of Fab 34 and its assets under the original arrangement. The transaction therefore concerned the financing structure around the fab, not a transfer of direct factory ownership to Apollo.

Intel and Apollo announced the original arrangement on June 4, 2024. Apollo-managed funds and affiliates agreed to invest $11 billion for the 49% joint-venture interest. Intel described the arrangement as part of its Smart Capital strategy. Intel’s 2024 announcement states: “Intel will retain full ownership and operational control of Fab 34 and its assets.”

How to understand the $14.2 billion price

The $11 billion figure was the amount Apollo-managed funds agreed to invest in 2024 for the joint-venture interest. The $14.2 billion figure is Intel’s reported aggregate cash consideration for acquiring that interest in 2026, inclusive of transaction costs. They describe different stages of the arrangement and should not be treated as a simple measure of investment return: that would require accounting for the agreements, intervening cash flows, time value of money, and transaction costs.

What is known about the funding

When Intel announced the buyback on April 1, 2026, it said it expected to use cash on hand and proceeds from approximately $6.5 billion of new debt. That was an announced financing expectation, not a statement that debt covered the full $14.2 billion price. Intel’s Q2 filing reports the aggregate cash consideration, but the cited transaction materials do not establish a final source-by-source breakdown of how the payment was funded.

What the completed deal establishes—and what it does not

Intel’s April 8 Form 8-K and Q2 2026 filing establish that the company completed the repurchase and acquired Apollo’s 49% joint-venture interest. The cited company materials do not establish realized post-close changes in earnings, leverage, credit ratings, or Fab 34 production. Those outcomes should not be inferred from the buyback alone.
