Intel announced its agreement to acquire Lantiq on February 2, 2015, and completed the purchase on April 16, 2015. The deal expanded Intel’s broadband-access portfolio beyond cable gateways into DSL and fiber, with additional ambitions in LTE, retail networking and connected-home devices. Intel did not disclose the price when it announced the agreement; later filings reported two different cash-consideration figures.

When did Intel acquire Lantiq?

  • February 2, 2015: Intel announced it had signed a definitive agreement to acquire Lantiq.
  • April 16, 2015: Intel announced that the acquisition was complete. The agreement had been subject to customary closing conditions and regulatory approvals, and Intel had expected it to close in about 90 days.

Lantiq was based in Munich and operated as a fabless semiconductor supplier: it designed broadband and home-networking chips rather than manufacturing them in its own fabrication plants.

How much did Intel pay?

Intel did not disclose the transaction terms in its February 2015 announcement. Later SEC filings report different cash-consideration figures, which should be read as accounting disclosures from separate filings rather than as one settled headline price.

Filing Reported consideration What it says
Intel’s 2015 annual report, filed in 2016 $345 million net cash consideration Intel’s annual-report figure for the acquisition.
Intel’s filing covering the first nine months of 2015 $383 million acquisition-date cash consideration A separate figure reported in an interim filing.

The amounts use different descriptions and come from different filings; neither was the price Intel announced when it signed the agreement.

Why did Intel buy Lantiq?

Intel’s stated aim was to extend its cable residential-gateway business across more broadband-access technologies and products. Lantiq brought DSL and fiber capabilities, while Intel also identified opportunities in LTE, retail broadband equipment and Internet of Things (IoT) smart routers. The broader goal was to help equipment makers and service providers build gateways that could connect and manage more devices and services in the home.

Intel placed the acquired business in its Client Computing Group. At the time, Intel senior vice president Kirk Skaugen said the company expected more than 800 million broadband-connected households worldwide by 2018. That was a forecast made in the 2015 announcement, not a later measurement.

What technology did Lantiq make?

Lantiq’s portfolio covered broadband access and the equipment used to bring connectivity into homes and businesses. Its technologies included:

  • DSL: xDSL solutions, including vectoring, which helps reduce interference between lines, and G.fast, a technology designed for high-speed broadband over short copper connections.
  • Fiber access: GPON (Gigabit Passive Optical Network) and FTTdp (Fiber to the Distribution Point), which brings fiber close to a customer and uses existing infrastructure for the final connection.
  • Home gateways and DSLTE: broadband gateway and networking products, including systems combining DSL and LTE access.
  • Supporting components: network processors, Ethernet and voice solutions.

Intel said more than 100 operators worldwide deployed Lantiq DSL solutions and that Lantiq held more than 2,000 patents related to broadband communications. Those are figures Intel reported in 2015.

What happened to Lantiq after the acquisition?

Intel’s 2015 annual report said the acquired business’s operating results were included in the Client Computing Group. It also said the purchase price was allocated substantially to goodwill and intangible assets.

Lantiq did not remain a separately reported Intel business indefinitely. A 2020 SEC exhibit filed in connection with MaxLinear’s acquisition of Intel’s home-internet-access business says that business was primarily formed from Intel’s 2015 acquisition of Lantiq Semiconductor. The filings cited here do not provide standalone post-acquisition revenue, a Lantiq-specific product roadmap or a quantified series of deal synergies.
