Infineon acquired all of Primarion in April 2008 to expand its digital power-management business. The company reported paying €32 million ($50 million) in cash, with up to $30 million more contingent on post-acquisition revenue performance. Later filings say that additional payment was not made.
When did Infineon acquire Primarion?
Infineon’s contemporaneous SEC filing and quarterly report give April 28, 2008 as the acquisition date. A later Infineon prospectus instead says the transaction closed on April 25, 2008. The public filings therefore differ by three days; April 28 is the date in the contemporaneous transaction and quarterly filings. How much did Infineon pay?
The reported cash consideration was €32 million ($50 million). The deal also included a performance-based contingent payment of up to $30 million, tied to Primarion revenue during the post-close measurement period. Was the earn-out paid?
No. Infineon’s later annual report says the contingent payment was not made because Primarion’s revenue fell short of the required level. The report also records goodwill adjustments associated with a lawsuit filed after the acquisition and a reduction in Primarion’s deferred tax asset. Infineon 2009 annual report.

What did Primarion make?
Primarion was a fabless semiconductor company headquartered in Torrance, California. It designed, manufactured and marketed digital power integrated circuits for computing, graphics and communications applications. Why did Infineon buy Primarion?
Infineon said the acquisition would strengthen its power-management activities and broaden its digital-power portfolio. The strategic fit was the combination of Primarion’s digitally controlled power-management devices with Infineon’s established power-semiconductor portfolio. Infineon executive Peter Bauer said this combination would position the company to improve system density, efficiency and control, and to accelerate its access to growth in digital power through advanced system solutions for customers. Infineon also described Primarion’s integration of power conversion and power management on one chip as a way to simplify system design and reduce cost.
