For a U.S. public company, verify the filing in the SEC’s EDGAR system, match the independent auditor’s report to the exact statements and periods, read the opinion and any internal-control opinion, then check notes, later filings and the auditor’s PCAOB record. This process can establish what was audited and what the auditor concluded; it cannot guarantee solvency, eliminate the possibility of fraud or certify every narrative statement in a filing.

The workflow below is designed for investors, analysts and researchers checking a current annual report. Private companies and issuers outside the United States use different regulators and rules, so identify the applicable jurisdiction before applying these steps.

What “audited financial statements” actually means

An audit report is a formal opinion on identified financial statements, periods and accounting framework. The auditor evaluates whether those statements are presented fairly, in all material respects, under the stated framework and obtains reasonable—not absolute—assurance against material misstatement. The report does not certify that every number is perfect, that management is honest, that the company is financially healthy or that future results will meet expectations.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The SEC’s Financial Reporting Manual describes the required report language this way: “The report must contain a clear statement as to whether in the auditor’s opinion that the financial statements are presented in conformity with GAAP, and any exceptions taken.” Read the manual at SEC Financial Reporting Manual. PCAOB standards, including AS 3101 for an unqualified opinion and AS 3105 for departures from an unqualified opinion, are available in the PCAOB Auditing Standards.

Verification therefore has two questions: Is this the authoritative filing and the correct auditor’s report? and What, exactly, does that report say? A reliable answer requires both document matching and interpretation.

Step 1: Locate the authoritative filing in EDGAR

Start with the SEC’s Search Filings page rather than a third-party data summary. Search by the issuer’s legal name, ticker or Central Index Key (CIK), then confirm that the result belongs to the company you intend to examine. Companies with similar names, reorganizations or multiple share classes can produce misleading search results.

  1. Open the latest annual report. For a U.S. domestic public company this is normally Form 10-K. Verify the issuer name, form type and filing date shown by EDGAR.
  2. Record the fiscal year-end. A filing date in one calendar year can cover a fiscal year ending in another. Note the exact balance-sheet date and the periods presented for income and cash-flow information.
  3. Check for amendments. EDGAR’s submissions history may show an amended filing, such as Form 10-K/A. Treat the amended document as the current version for the items it changes.
  4. Use the filing tools to validate data. EDGAR provides full-text search, company/date/form filters, submissions history and XBRL financial-statement data. Use XBRL as a navigation and cross-check aid, but read the filed statements and notes for context.

Save the filing URL and filing date in your workpaper. A company presentation, press release or data-provider page may quote figures, but the filed document is the document of record. When a later filing supersedes or restates an earlier figure, use the later filing for current analysis and retain the earlier version when you need to understand the change.

Step 2: Prove that the auditor’s report covers the statements you are reading

Find the report of the independent registered public accounting firm near the audited financial statements. Do not assume that a report elsewhere in a filing applies to every table or period. Compare the report’s identifying details with the statements and notes.

Item to match What to verify Why it matters
Entity Legal issuer name and whether the report covers consolidated or standalone statements A subsidiary, predecessor or separate registrant can have a different report.
Statements Balance sheets, statements of operations or income, equity, cash flows and accompanying notes named in the report An auditor’s opinion is limited to the listed financial statements and related disclosures.
Dates and periods Balance-sheet dates and the number and length of comparative income and cash-flow periods A report for a 52-week fiscal year is not automatically a report for a calendar-year period.
Accounting framework U.S. GAAP or another framework expressly identified in the opinion “Fairly presented” is judged against the framework stated in the report.
Auditor identity Firm name, independent registered public accounting firm designation and signature The named firm should match the engagement you investigate in PCAOB records.
Report date Date the auditor signed the report The report date indicates the point through which the auditor considered relevant evidence.
Referenced notes Notes cited or incorporated by reference are present and belong to the same statements Important accounting policies, contingencies and estimates may be disclosed only in the notes.

If any of these elements do not match, stop and resolve the discrepancy. A report for a predecessor period, a special-purpose statement or a subsidiary does not authenticate the current consolidated statements simply because it appears in the same filing.

Step 3: Read the opinion and its modifications

Locate the “Opinion on the Financial Statements” section and identify the exact opinion type. The prominent word “audited” is not enough; the qualification, explanatory language and framework references determine the conclusion.

Unqualified (clean) opinion

An unqualified opinion states that the financial statements present fairly, in all material respects, in conformity with the specified accounting framework. It is the ordinary favorable conclusion, but it is bounded assurance. It does not mean the auditor checked every transaction, that immaterial errors are absent or that the company has no business risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Qualified opinion

A qualified opinion means the auditor identified a material matter that is limited to particular statements, accounts or circumstances, while concluding that the statements are fairly presented except for that matter. Read the “Basis for Qualified Opinion” section to determine what is excluded or misstated and whether the limitation arose from evidence the auditor could not obtain.

Adverse opinion

An adverse opinion says the financial statements are materially and pervasively misstated under the applicable framework. Treat this as a conclusion that the statements as a whole are not fairly presented, not merely as a warning about one line item.

Disclaimer of opinion

A disclaimer means the auditor does not express an opinion, commonly because sufficient appropriate audit evidence could not be obtained or circumstances create an extreme scope limitation. A disclaimer is different from an adverse opinion: the former withholds a conclusion, while the latter reaches a negative conclusion.

Explanatory, emphasis and other language

Read paragraphs following the opinion. They may draw attention to substantial doubt about going concern, a change in accounting principle, a matter disclosed in the notes or another circumstance without changing the opinion type. A clean opinion with prominent explanatory language still requires you to understand the underlying risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Look for a stated departure from the accounting framework and read the auditor’s basis paragraph. The applicable PCAOB reporting requirements are linked in the PCAOB standards; the report itself controls your interpretation of the particular issuer.

Step 4: Read any internal-control opinion separately

Some accelerated filers receive an audit of internal control over financial reporting (ICFR) in addition to the financial-statement audit. The ICFR conclusion is a separate opinion. A favorable financial-statement opinion does not cancel an adverse ICFR opinion, and an adverse ICFR opinion does not automatically mean that every financial-statement number is materially misstated.

Check whether the filing includes a section titled “Opinion on Internal Control Over Financial Reporting,” identify the framework used to evaluate controls and read the “Basis for Adverse Opinion” or other explanatory section. Note the material weaknesses, control deficiencies, remediation plans and whether management’s assessment covers the same date as the auditor’s opinion.

Canopy Growth Corporation’s 2026 auditor filing illustrates why the opinions must be kept distinct: the filing reports an unqualified opinion on the financial statements while reporting an adverse opinion on internal control and discussing restated prior-year statements. Read the issuer’s actual filing at the Canopy Growth auditor-opinion document. This example shows how to read the structure; it is not a conclusion about the company’s current condition or about other issuers.

Step 5: Reconcile the statements with notes and management discussion

After identifying the opinion, analyze the numbers across periods and tie significant movements to disclosures. Read the balance sheet, income statement and cash-flow statement together; an earnings increase accompanied by operating cash outflows, for example, calls for a notes-based explanation rather than an immediate conclusion.

Build a period-to-period cross-check

  • Copy the exact fiscal periods and units (for example, thousands or millions) from each statement.
  • Recalculate basic relationships such as ending cash, retained earnings movements and total assets minus liabilities and equity.
  • Compare year-to-year changes in revenue, gross margin, operating expenses, receivables, inventory, debt, leases and cash flows.
  • Use the management discussion and analysis (MD&A) to find management’s explanation, then test whether the notes provide supporting detail.

Read the notes that can change the interpretation

  • Accounting policies and estimates: revenue recognition, depreciation lives, impairment tests, reserves, fair values and other judgments can materially affect reported results.
  • Debt and liquidity: maturities, covenants, interest rates, collateral, defaults and unused commitments indicate how much flexibility the company has.
  • Contingencies and litigation: compare accruals and disclosed ranges with later developments.
  • Related-party transactions: identify counterparties, terms and balances that may not resemble arm’s-length transactions.
  • Acquisitions and divestitures: trace purchase-price allocations, goodwill, earn-outs and discontinued operations.
  • Share-based compensation and dilution: reconcile expense, option or award activity and the weighted-average share calculations.

Keep a list of unexplained movements and resolve each one from a note, MD&A discussion or subsequent filing. The auditor’s opinion does not replace this analytical work; the opinion addresses fair presentation, while the notes explain how management produced the reported amounts.

Step 6: Understand critical audit matters (CAMs)

A critical audit matter is a matter arising from the audit that was communicated, or required to be communicated, to the audit committee; it relates to material accounts or disclosures and involved especially challenging, subjective or complex auditor judgment. CAMs are described in the auditor’s report with the principal considerations that led to their identification and how the matter was addressed in the audit.

A CAM is not a qualification, a material weakness, a separate opinion or proof of fraud. It tells you where the audit required significant judgment. For each CAM, read the related financial-statement note, identify the estimate or transaction involved and compare the reported amount with prior years. If the CAM concerns goodwill impairment, for example, examine the sensitivity assumptions and disclosures rather than treating the CAM label as a finding that impairment was misstated.

Step 7: Search later filings for changes and corrections

Return to EDGAR after reading the annual report. Search by company, date and form, and run full-text queries for terms such as “amendment,” “restatement,” “material weakness,” “late filing,” “change in accountants” and “non-reliance.” Then inspect the actual filing in which the issue is disclosed.

  1. Check whether a Form 10-K/A or other amendment changes the statements, auditor’s report, controls disclosure or exhibits.
  2. Look for a restatement or a statement that previously issued financial statements should no longer be relied upon.
  3. Review later quarterly and annual reports for revised comparative figures, new contingencies, debt covenant problems or a changed auditor.
  4. Verify quotations from company announcements or third parties against the filed document and confirm that the cited period has not been superseded.

Record both the original and revised figures when analyzing a restatement. A later filing may correct a prior period without changing the auditor’s report that appeared in the original document, so the chronology matters.

Step 8: Verify the audit firm and engagement partner through PCAOB records

Use the PCAOB’s AuditorSearch to search by issuer, audit firm or engagement partner. The database is built from Form AP filings submitted for each audit report on a public company. Match the firm and partner names returned by the search with the names printed in the issuer’s report.

Then search the firm’s status and history in PCAOB Registered Firms. Review registration information, annual or special filings, inspection reports and any published disciplinary actions. Registration confirms that the firm is in the PCAOB system; it is not a guarantee that a particular engagement was flawless.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For context, the AuditorSearch page reported 2,242,068 unique searches and 49,383 dataset downloads as of December 31, 2022. Those are historical usage figures, not measures of audit quality or evidence that any individual record is error-free.

How to interpret PCAOB inspections and discipline

Read the actual inspection report and identify the inspection year, firm office or engagement scope and whether findings concern Part I.A audit deficiencies, quality-control matters or another section. The PCAOB’s Basics of Inspections page warns: “A PCAOB inspection report is not intended to serve as a balanced report card or overall rating tool.” An inspection samples selected work; a deficiency does not necessarily mean the issuer’s financial statements were materially misstated.

Use the Firm Inspection Reports collection to read the report itself, including the scope and the firm’s response where published. Separately review PCAOB enforcement pages for sanctions and final public actions. Investigation matters can remain confidential, so the absence of a public enforcement action does not prove that no concern ever arose. Do not convert a deficiency count into a simple score or rank companies by an invented threshold.

Comparing two companies or two auditor reports

Comparison is meaningful only when the documents are comparable. Use the same fiscal-period basis and record the following dimensions side by side.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Comparison axis Questions to answer
Fiscal periods Do the balance-sheet dates and income and cash-flow periods have the same length and end date?
Reporting framework Are both statements prepared under the same accounting framework?
Consolidation perimeter Do the statements include comparable subsidiaries, joint ventures or discontinued operations?
Auditor and report date Is the firm the same or different, and were the reports signed at comparable dates?
Financial-statement opinion Is each opinion unqualified, qualified, adverse or a disclaimer, and what basis language modifies it?
Internal-control opinion Did each issuer receive a separate ICFR opinion, and was either result adverse?
Restatements and amendments Were prior figures restated or filings amended after initial submission?
Notes and CAMs What changed in liquidity, estimates, contingencies, related parties and critical audit matters?

The SEC and PCAOB materials support examining these dimensions, but they do not establish a universal scoring formula. Present the differences and their context instead of assigning a numerical “audit quality” rating.

Worked filing examples: how to apply the method

Procore Technologies, Inc. 2025 Form 10-K

Use Procore Technologies’ 2025 Form 10-K as a document-matching exercise. Confirm the issuer, filing date, fiscal year-end, comparative periods, auditor report date and the statements and notes named in the report. Then read the opinion, any CAMs and the ICFR section if included, and follow the notes for the matters emphasized by the auditor. The point of the example is the sequence: establish the filing, match scope, interpret opinions and reconcile disclosures—not to treat one issuer’s wording as a template for every company.

Canopy Growth Corporation’s 2026 auditor filing

In the Canopy Growth filing, the financial-statement opinion and internal-control opinion lead to different conclusions, and the filing discusses restated prior-year statements. A verifier should therefore read all three elements together: the exact opinion paragraphs, the basis for the control conclusion and the restatement disclosures. This demonstrates why searching only for “unqualified” can miss a material control issue or a revised comparative period.

When the issuer is private or outside the United States

The workflow above is for U.S. public-company filings subject to SEC and PCAOB records. A private company may provide audited statements under an engagement governed by another professional standard, but there may be no public filing system, public auditor database or public inspection record. A non-U.S. issuer may report under IFRS or local GAAP and be overseen by a national securities regulator and audit-inspection body.

Before verifying such a company, identify the jurisdiction, listing venue, reporting framework, filing repository and auditor regulator. Obtain the complete report—including notes and any controls report—from the company or the relevant regulator, and do not assume that U.S. Form 10-K terminology or PCAOB availability applies.

A practical verification checklist

  • Issuer legal name, ticker and CIK match the intended company.
  • Latest annual filing, filing date, fiscal year-end and any amendment are recorded.
  • Auditor report names the same entity, statements, periods, framework and auditor shown in the filing.
  • Opinion type and every basis, explanatory or emphasis paragraph have been read.
  • Any internal-control opinion is evaluated independently from the financial-statement opinion.
  • Statements, notes and MD&A reconcile material year-to-year movements.
  • Debt, liquidity, contingencies, related parties, acquisitions, estimates and share compensation disclosures have been reviewed.
  • CAMs are traced to the related notes and are not treated as fraud findings or qualifications.
  • EDGAR was searched for amendments, restatements, late filings and auditor changes.
  • Firm and engagement-partner identities were checked in PCAOB AuditorSearch and the firm’s inspection and enforcement records were read in context.
