Start with Meesho’s latest official filings, then test whether growth in delivered order value and user activity is accompanied by stronger transaction economics and cash generation. Do not treat GMV, a management-defined contribution margin, segment results or a headline user count as proof of profitability. This is a research framework, not a buy-or-sell recommendation.

Where to find Meesho’s filings

Use the company’s Investor Relations site as the starting point. Its Financial Results page lists quarterly results, annual reports, annual general meeting materials and subsidiary financials; the page lists the FY 2025–26 annual report and Q1 FY27 materials. For offer documents and historical statements, use IPO Disclosures, which lists the Updated Draft Red Herring Prospectus-I, Red Herring Prospectus, prospectus, price-band advertisement and FY23–FY25 financial statements.

  1. Download the newest reporting first. Read the latest annual report and quarterly materials available on the results page, then work back through earlier periods. The IR home page reports operating scale for the quarter ended June 30, 2026; that is a dated operating snapshot, not a substitute for the latest financial statements.
  2. Use the offer documents for history and definitions. Check the RHP and prospectus for historical financials, KPI definitions, risks and use of proceeds. The Red Herring Prospectus notes that internal reporting was realigned for FY25, so confirm segment labels and comparability in the latest annual report.
  3. Build a like-for-like series. For every figure, record the period, units, consolidated or standalone basis, restatement status and definition. Do not compare a six-month period with a full year, or assume a KPI retained the same calculation after a reporting change.

Understand the business and how revenue is earned

Meesho describes itself as a multi-sided technology platform connecting consumers, sellers, logistics partners and content creators. Its RHP identifies Marketplace and New Initiatives as reportable segments. Marketplace includes the platform connecting sellers and buyers, advertising, and logistics and fulfilment. New Initiatives include a low-cost local logistics network for daily essentials and digital financial services. Check the latest annual report to see whether these labels and segment definitions remain current.

The RHP says marketplace revenue includes services to sellers such as fulfilment, advertising and seller insights. It also says Meesho began charging logistics partners a platform facilitation fee for orders fulfilled through Valmo on March 15, 2025. That change matters when comparing monetization across periods: a change in revenue can reflect a changed fee model as well as changes in order volume, mix or service use.

Separate activity from delivered value

Meesho’s IR home page reports the following figures for the quarter ended June 30, 2026. They are company-reported operating measures, not independently verified market estimates or evidence that the business is profitable.

For marketplace value, keep GMV and NMV distinct. The RHP reports marketplace GMV and NMV for FY24 and FY25, while the CEO’s shareholder letter defines NMV as the cumulative checkout value, inclusive of taxes, of successfully delivered marketplace orders. The two measures can diverge because GMV is not the same as delivered-order value.

These are RHP-reported fiscal-year figures for years ended March 31. Use the same document’s definitions when extending the series to FY23 or later quarters, and verify units and any revisions against the filed documents.

Test monetization and transaction economics

Read revenue from operations by segment, then ask what services generated it and how that revenue changed relative to NMV, orders and seller activity. A rising revenue line is more informative when you can identify whether it came from greater activity, a change in service mix, new fees or a higher take from existing activity.

Meesho’s CEO defines Contribution Margin as marketplace revenue earned from sellers, net of costs directly attributable to placed orders. Management calls it a unit-economics profitability metric in its shareholder letter. It is a company-defined, non-statutory measure, not an accounting-standard profit measure. Compare its trend with NMV and order growth, and inspect its definition and reconciliation for each period rather than assuming the calculation is unchanged.

  • Does contribution margin improve as NMV and orders grow, or does growth coincide with rising directly attributable costs?
  • What happens to fulfilment cost per order, marketing spend and other variable costs over the same periods?
  • Are segment revenue and segment results moving in the same direction, and how do New Initiatives affect the consolidated picture?

Do not confuse segment results with statutory profit

Segment results describe segment performance; they are not the same as statutory profit or loss, and neither measure is free cash flow. The RHP reports FY25 total segment revenue of ₹93,899.03 million and segment results of negative ₹2,195.91 million. It separately reports restated loss before tax of negative ₹14,548.63 million for FY25 and notes a large exceptional item. These figures are not interchangeable: inspect the financial statements and segment reconciliation to understand what sits between segment results and loss before tax.

For each year and interim period, compare statutory profit or loss with finance costs, depreciation, employee share-based payment expense, exceptional items and other income. Check whether a reported improvement depends on an exceptional item or other income rather than recurring marketplace economics. The RHP figures above are prospectus-reported; verify them, their units and their definitions in the document before relying on them.

Follow earnings through to cash flow

Read the cash-flow statement alongside the income statement and balance sheet. Compare operating cash flow, working-capital movements, capital expenditure and free cash flow over a trailing period, and reconcile any management-defined free-cash-flow measure to the audited statements. A profitable accounting period does not by itself establish that the business generated cash, while EBITDA omits capital expenditure and working-capital requirements.

In the shareholder letter, CEO Vidit Aatrey writes, “We will not pretend that accounting profits are the same as cash generation.” Treat that as management’s framing, then test it against reported cash flows and the company’s stated calculation.

Review capital allocation, ownership and risks

Use the offer documents and current filings to examine use of proceeds, risk factors, related-party disclosures, share-based compensation, dilution and changes in shareholding. These can affect the investment case even when operating metrics are growing. Compare disclosures across periods and note changes in ownership, governance or risk language rather than relying on a single prospectus-era snapshot.

A practical comparison checklist

Build a spreadsheet covering FY23, FY24, FY25 and the latest reported interim periods. Keep annual and interim periods separate, and record the source and definition beside each entry.

  • Orders, users, sellers and repeat activity
  • GMV alongside NMV
  • Marketplace and New Initiatives revenue and results
  • Contribution margin and fulfilment cost per order
  • Marketing and other variable costs
  • Statutory profit or loss, exceptional items, other income and share-based compensation
  • Operating cash flow, working capital, capital expenditure and free cash flow
  • Dilution, governance, concentration and disclosed risks

The central test is whether delivered value and user activity grow alongside improving transaction economics and cash generation, or whether growth appears to require persistent subsidy and rising costs. Apply the test to consistent, filed periods and definitions; it is an analytical framework, not a conclusion about Meesho’s investment merits.
