To research a company’s legal and regulatory risks, first identify the exact legal entity and the countries and activities in scope. Then search the relevant company filings, regulator records, court documents, and agency guidance; classify each matter by its current procedural status; and preserve a dated evidence log. A clean public search is not proof that a company has no legal exposure: some investigations are confidential, records can be incomplete, and legal obligations vary by jurisdiction and business.
Define the company and the scope before searching
Start with the legal entity, not just the brand or trading name. A public company, its operating subsidiary, and a similarly named business may have different records and legal obligations. Record identifiers that help distinguish them, such as registration or issuer numbers, and map the corporate family.
- Full legal name, registration or issuer identifiers, headquarters, and operating jurisdictions.
- Parent, subsidiaries, acquired businesses, former names, and relevant key people.
- Products and services, customers, sales channels, suppliers and intermediaries, regulated activities, data handling, government interactions, and financing.
- The period to review and the reason for the review, such as journalism, investment, procurement, partnership, or acquisition diligence.
For an acquisition, include the target’s former names, acquired entities, and possible inherited obligations. The company’s present name alone may not lead to older matters or records involving a predecessor.

A company operating across borders may face multiple regimes; a national search cannot establish its worldwide exposure. The U.S. Department of Justice’s Evaluation of Corporate Compliance Programs, marked updated September 2024, emphasizes tailoring a compliance program to the company’s risks. Its Justice Manual corporate prosecution guidance also directs prosecutors to consider company-specific risks and relevant specialist guidance.
#1 Best Overall
Search official company, regulator, and court records
Use primary records wherever possible. A regulator announcement can point you to a matter, but a filing, docket entry, final order, or company filing is usually better evidence of what was formally alleged, decided, or disclosed.
Company filings and disclosures
For a U.S. public issuer, review its SEC filings and company disclosures. Follow references to litigation, investigations, contingencies, regulatory examinations, and material risks. Compare disclosures over time: a later filing may update the status, consequences, or company response described earlier. A disclosure is the company’s account, not an independent finding that the account is complete.
Regulator records and guidance
Search enforcement releases and official databases maintained by agencies that oversee the company’s activities. For securities matters, the SEC says its investigations may draw on market surveillance, tips and complaints, information from other SEC offices and self-regulatory organizations, and media reports. Its How Investigations Work page explains that investigations are private and may result in federal court or administrative proceedings; the page dates from April 25, 2013, and was last reviewed or updated May 14, 2024.

Match each search to the relevant activity, not just the company’s general industry label. For anti-bribery questions involving U.S. law, the DOJ/SEC FCPA Resource Guide covers jurisdiction, payment types, successor liability in mergers and acquisitions, compliance-program hallmarks, and resolutions. DOJ says it was updated in July 2020 and that an addendum concerning the Foreign Extortion Prevention Technical Amendments Act was released December 13, 2024. For sanctions and export controls, DOJ’s National Security Division provides compliance notes intended to inform private-sector actors about enforcement trends and expectations.
Court records
Use official court dockets and orders, where available, to verify the parties, filing dates, claims, procedural events, and outcome. Check whether the named party is the target entity, a parent, a subsidiary, or an individual. A regulator summary or news report can help locate a case, but should not substitute for the underlying docket or final order when the point is material.
Extend the search to the company’s footprint
Expand into state, federal, and foreign records according to the company’s operations and risk map. Relevant subjects may include anti-corruption, sanctions, export controls, competition, labor, privacy, environmental, financial, consumer-protection, and licensing rules. Do not assume U.S. sources establish whether a company has matters elsewhere. UK readers assessing the separate UK corporate prosecution context can consult the Serious Fraud Office’s corporate prosecution guidance, which explains that program effectiveness and proactivity may be considered at the time of offending and charge.

Classify each matter by what the record actually says
Procedural status changes the meaning of a record. Do not describe an allegation as a finding, or imply that a settlement is an admission unless the controlling document says so. Capture the filing date and recheck the current status in the official record.

| Record or status | What you can say | What it does not establish by itself |
|---|---|---|
| Complaint or enforcement filing | “The complaint alleges…” or “The agency filed an action alleging…” | That the alleged conduct has been proven or that a court has ruled on it. |
| Investigation | “The agency opened an investigation,” if an authoritative record supports that statement. | That the company violated the law. Some investigations may not be public. |
| Settlement | “The parties settled,” then describe the terms and any express admissions or denials in the controlling document. | An admission of liability if the settlement does not say that. |
| Final court decision or agency order | Describe the findings, ruling, or order and identify the issuing court or agency. | More than the decision actually resolved, including separate allegations or other entities’ conduct. |
Keep the company’s statements, regulator positions, allegations, court findings, and your own inferences separate. If sources differ, state what each source says and prioritize the controlling, current official record for procedural status.
Assess severity, patterns, and the company’s response
For each material matter, record the alleged or established conduct, relevant period, affected business, geography, regulator or court, procedural status, and financial or operational consequences reported by authoritative sources. Then compare the matter with company disclosures and later filings.

- Used Book in Good Condition
Look for recurrence, repeated issues across business units, management involvement, and the response: remediation, changes to controls, and any subsequent similar conduct. A repeat matter or weak-looking response is a reason to ask further questions; it is not, by itself, proof of intent, ineffectiveness, or a new violation. DOJ’s guidance identifies company history, compliance effectiveness, remediation, and whether controls are designed and working in practice as considerations in corporate prosecution decisions.

Public disclosures and official materials may provide clues about how the company oversees and manages risk. Where information is available, examine:
- Board and senior-management oversight, and the compliance function’s independence and resources.
- Reporting channels and how concerns are investigated and remediated.
- Risk-based training, third-party diligence, monitoring, and audit.
- Whether controls are updated when the company’s activities, risks, or operating environment change.
These are lines of inquiry, not a pass/fail checklist or proof that a company is compliant. DOJ says, “The Department has no formulaic requirements regarding corporate compliance programs.” Its September 2024 Criminal Division evaluation guidance focuses on design, good-faith application, and effectiveness in practice; a description of a policy does not establish that it operates effectively.
The Justice Manual also discusses a narrow acquisition-related declination presumption with timing conditions generally referring to disclosure within 180 days of closing and remediation within one year, subject to stated conditions and possible case-specific extension. Those are policy conditions for that specific presumption, not general deadlines for researching a company or a guarantee of a particular outcome.
Keep an auditable evidence log
Record enough detail for another reviewer to retrace every important statement. A practical log can include:
- Source title, issuing body, exact URL, publication or filing date, and the date you accessed it.
- Company entity and jurisdiction, plus docket or matter number where available.
- Procedural posture and a short description of what the document establishes.
- A label distinguishing sourced fact, company assertion, allegation, agency position, court finding, or analyst inference.
Verify high-impact claims in the underlying document rather than relying on a search snippet or secondary summary. Recheck current docket and agency status before publication or a decision, because proceedings and policies can change.
Understand what public-source research cannot establish
Public records can be incomplete, delayed, hard to match across subsidiaries, or silent about confidential investigations. A search that finds no record means only that no responsive public record was located in the sources and scope searched as of the date checked; it does not establish that no investigation, liability, or future exposure exists. Explain the scope and date of the search when communicating a result.
Records can establish what a filing alleges, what an agency announced, or what a court decided. They do not automatically answer how a law applies to every fact pattern, whether an undisclosed exposure exists, or what a company should disclose. Seek qualified counsel when the question requires legal interpretation, privileged investigation strategy, or a potential disclosure decision.
