Reduce SaaS vendor lock-in before a merger or acquisition by treating every important subscription as both a contract and a technical dependency. Build a complete service register, verify assignment and exit rights, test representative exports, map integrations and proprietary features, and fund a transition plan before signing or closing. A low cancellation fee does not make a system easy to leave if its data, workflows, identities, or interfaces cannot be moved reliably.

This guide is a practical diligence framework for buyers, sellers, and integration teams. It is not transaction-specific legal advice; contract interpretation depends on the agreement, governing law, deal structure, and the personal-data rules that apply.

What SaaS lock-in means in an M&A deal

SaaS lock-in is the difficulty, cost, delay, or risk involved in changing providers or bringing a service in-house. It has two connected dimensions:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Commercial lock-in: renewal dates, notice periods, price changes, minimum commitments, termination charges, export fees, assignment restrictions, and weak transition support.
  • Technical lock-in: proprietary data models, incomplete exports, custom code, provider-specific APIs, embedded automations, identity dependencies, and integrations that fail outside the current service.

A subscription may be terminable on 30 or 60 days’ notice and still be practically irreplaceable. For example, a customer-support platform might export tickets as files but omit relationships between tickets, audit history, routing rules, attachments, or role mappings. Rebuilding those elements can take longer than the notice period and create a continuity risk at closing.

Conversely, a deeply integrated service can deliver real value: faster deployment, shared identity and security controls, reusable data, automation, and a smoother user experience. The objective is not to eliminate every provider dependency. It is to know which dependencies are deliberate, what they cost to unwind, and whether the deal’s continuity plan can tolerate them.

The UK Government Digital Service and Central Digital and Data Office describe the choice this way: “For Software as a Service (SaaS), that means choosing products that use open standards and formats, so you have control of your data.” Read the current guidance, last updated 3 September 2026, at Managing technical lock-in in the cloud.

Start with a SaaS dependency register

Do not begin by asking which vendors to cancel. First build a portfolio view of the target and acquirer. Include services purchased by business units, subsidiaries, individual teams, and expense accounts outside central procurement. Unrecorded “shadow SaaS” is often where renewal, access, and data-recovery surprises appear.

Information to capture for every service

Field What to record Why it matters to the transaction
Service and edition Product name, plan, region, environment, and enabled modules Features and export rights can differ by edition or region.
Business owner Named process owner, technical owner, contract owner, and responsible legal entity Creates decision rights and reveals whether the target, parent, or another group company is the customer.
Process and criticality Workflows supported; revenue, customer, safety, regulatory, or operational impact if unavailable Sets migration-test priority and acceptable outage or rollback time.
Data Record types, attachments, histories, logs, metadata, personal data, retention requirements, and data location Determines what must be exported, protected, validated, and deleted.
Integrations APIs, webhooks, identity providers, data feeds, custom code, extensions, reports, and downstream systems Shows whether a replacement can preserve end-to-end workflows.
Configuration Roles, templates, automation rules, queues, dashboards, policies, and environment settings Configuration is often excluded from a basic data export.
Commercial dates Start and end dates, renewal window, notice deadline, price-change date, committed spend, and termination terms Prevents an avoidable auto-renewal and aligns exit with the deal timetable.
Operational fallback Manual process, alternate system, read-only access, backup, recovery owner, and maximum tolerable disruption Provides a continuity option during signing, close, or migration.

Link each service to the workflows, data sets, users, and other services it affects. A single product can support several critical processes; a single process can depend on several products. The resulting dependency graph is more useful than a vendor-only list. UK guidance recommends monitoring cloud services, identifying duplication, and revisiting switching-cost estimates as systems evolve.

Prioritize the portfolio

Classify services by business impact and practical exit difficulty. A small payroll add-on with a clean export may be low risk even if widely used. A modestly priced system that controls order fulfilment, customer records, or regulated evidence may be high risk because downtime or data loss is unacceptable.

  • Critical and hard to replace: test first, negotiate transition protections, and assign executive ownership.
  • Critical but replaceable: prepare a timed migration and validate the incoming service before committing to exit.
  • Non-critical but expensive or duplicated: evaluate consolidation after checking whether the surviving service increases concentration risk.
  • Low-impact and isolated: retain or retire through ordinary renewal management, with documented data deletion.

Review the commercial and legal path to exit

Collect the complete contract record, not just the order form. Assemble the master agreement, product-specific online terms, order forms, data-processing terms, security schedules, amendments, service descriptions, and side letters. Save the versions in force on the relevant dates; online terms may change during a long transaction.

Questions for each critical contract

  • Who is the contracting party: the target, its parent, a subsidiary, or another group company?
  • Will the merger, acquisition, post-close reorganization, or change in users require assignment, consent, or notice?
  • Do licenses cover the buyer’s affiliates, contractors, intended geographies, and expanded user population?
  • What are the renewal date, notice deadline, minimum term, minimum spend, price-change mechanism, and suspension rights?
  • Which data, metadata, configurations, logs, audit trails, attachments, and backups can be exported?
  • What export formats, interfaces, documentation, rate limits, and fees apply?
  • How much advance notice is required to request an export, how long is it available, and does the service remain usable during extraction?
  • What transition assistance, support hours, knowledge transfer, and service levels are available after notice or termination?
  • When are production data, replicas, snapshots, and backups deleted, and can the supplier provide confirmation?
  • What happens to credentials, integrations, encryption keys, administrator accounts, and support access after termination or insolvency?
  • Can the supplier change export terms or fees during the contract, and what remedy or termination right follows?

The UK Digital, Data and Technology Playbook emphasizes suitable contract length, ownership and access to data, exit arrangements, and a coordinated transition. Its recommendations do not determine the legal effect of a particular clause. Have transaction counsel review assignment, change-of-control, affiliate-use, insolvency, and data provisions under the governing law.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For data-contract drafting, the UK Government’s guidance says: “Your contract must also specify the exit and renewal arrangements for your data.” See Make better use of data.

Negotiate before leverage disappears

A seller generally has more leverage before signing than after a buyer inherits a renewal or discovers an export problem. Where a service is important, seek written commitments for a usable export, reasonable notice, continued read access, transition support, stable pricing during the migration window, and deletion confirmation. Tie commitments to the actual edition and environment being used. If the supplier will not change the contract, record the limitation in the deal risk register and price or schedule the mitigation rather than treating silence as acceptance.

How do I know whether SaaS data is portable?

Data portability means more than receiving a downloadable file. Define the minimum information and configuration needed to continue the business in another service or in-house system.

Define the required export set

  • Primary records and relationships between them.
  • Attachments, media, comments, histories, timestamps, and audit trails.
  • Users, groups, roles, permissions, and identity mappings.
  • Templates, forms, queues, workflows, automation rules, and notification settings.
  • Reports, dashboards, saved queries, taxonomy, and reference tables.
  • Integration mappings, API credentials to be reissued, webhooks, and event history where needed for continuity.
  • Archived, deleted, or legally held information, subject to applicable retention and privacy rules.

Run an export and import test

  1. Select a representative sample that includes ordinary, large, old, linked, attachment-heavy, and exceptional records. Do not test only a clean demo account.
  2. Request the export using the contract’s documented process. Record the request date, notice requirement, time to completion, access window, rate limits, and any fee.
  3. Inspect the format, encoding, schema, identifiers, timestamps, relationship keys, attachments, permissions, and error logs. Document fields that are missing, flattened, proprietary, or supplied only as PDFs or screenshots.
  4. Load the sample into the proposed replacement or a controlled test environment. Measure transformation, deduplication, manual re-entry, validation, and reconciliation work.
  5. Re-run critical workflows: create, search, update, approve, report, integrate, and restore. Confirm that users can perform their required tasks, not merely that files exist.
  6. Record defects, owners, fixes, and a retest date. Treat an untested export as an assumption in the integration plan.

Regulation (EU) 2018/1807, recital 31, identifies backup processes and location, available formats, IT configuration, network bandwidth, porting lead time, and the duration of data availability as relevant portability considerations. It concerns non-personal data processing services; it is not a complete statement of personal-data law and does not automatically govern every SaaS contract. Read the recital at Regulation (EU) 2018/1807.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Ask the provider how an export preserves relationships and configuration, where backups reside, how much bandwidth is needed, how far in advance a request must be made, and how long the files remain available. For a system tied to revenue, customer support, regulated records, or operational continuity, require a bounded proof of migration before relying on a supplier assurance.

Map technical lock-in and replacement options

With the export test underway, map the architecture around each service. The objective is to estimate the work to replace one component without breaking the process that depends on it.

Inspect the dependency layers

  • Data model: proprietary objects, identifiers, relationship rules, version history, and limits on bulk extraction.
  • Interfaces: documented APIs, webhooks, SDKs, rate limits, authentication methods, event semantics, and backward-compatibility commitments.
  • Identity and access: single sign-on, directory synchronization, multi-factor authentication, service accounts, role mappings, and administrator recovery.
  • Automation and extensions: scripts, marketplace add-ons, triggers, custom fields, workflow engines, and embedded code.
  • Analytics and reporting: calculated fields, dashboards, scheduled reports, data warehouses, and undocumented extracts.
  • Provider-specific infrastructure: storage, networking, queues, encryption, monitoring, backup, or machine-learning services that a replacement would need to recreate.
  • People and knowledge: administrators, implementation partners, runbooks, undocumented workarounds, and training material.

Identify what can be decoupled before close without disrupting service. Examples include exporting a canonical copy to an independent store, replacing hard-coded credentials with managed identities, documenting interface contracts, or moving business rules from opaque extensions into version-controlled code. Do not undertake a risky refactor merely to appear less locked in; sequence changes by continuity benefit and tested reversibility.

Consider duplication and concentration together

Compare the target’s services with the acquirer’s existing tools. Consolidation can remove duplicate contracts and simplify support, but it can also enlarge the surviving vendor’s leverage or create a larger migration later. UK cloud-strategy guidance treats concentration as both a commercial and a technical risk. Read Creating and implementing a cloud hosting strategy when assessing provider diversity and exit choices.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Compare realistic options

Decision axis Questions to answer Evidence to collect
Continuity What fails if the service is unavailable during signing, closing, or cutover? Criticality rating, fallback procedure, recovery objective, and outage exercise.
Export usability Can the replacement reconstruct records, relationships, history, permissions, and reports? Representative export, import result, reconciliation log, and unresolved defects.
Cost and duration What engineering, licensing, consulting, data-cleanup, training, and dual-running work is required? Work breakdown, resource plan, vendor estimates, and contingency.
Integration depth How many interfaces, extensions, automations, and downstream consumers must change? Interface inventory, dependency graph, code ownership, and test coverage.
Contract flexibility Can the parties exit, extend, or receive transition support on the deal timetable? Executed terms, notice dates, support commitments, and consent status.
Security and privacy Will controls, residency, retention, and data-subject rights remain adequate during movement? Security architecture, processing records, access review, and deletion evidence.
Native capabilities lost Which speed, reuse, security-management, automation, or user-experience benefits disappear? Feature inventory, adoption data, process owner assessment, and compensating controls.

The UK Open Standards principles explain why open interfaces and formats can preserve options; see Open Standards principles. The choice remains contextual: a proprietary feature may be worth keeping when its business value exceeds the tested cost and risk of replacing it.

Protect data and continuity during the transaction

Changing ownership or combining environments can change who determines the purposes and means of processing personal data. Before sharing diligence extracts or moving production data, document the purpose, lawful basis, roles, access, retention, security controls, and incident responsibilities. Limit copies, use appropriate encryption and access controls, and maintain an audit trail of transfers.

The UK Information Commissioner’s Office describes due-diligence issues for data sharing after mergers and acquisitions, but its page states that the guidance is under review following the Data (Use and Access) Act. Check the current legal position at transaction time: ICO due diligence when sharing data following mergers and acquisitions. The deal structure and applicable jurisdiction determine whether affected individuals need information and which controller or processor arrangements must be updated.

Assign transition controls

  • Name the owner for identity, privileged access, encryption keys, incident response, retention, and data-subject requests during each phase.
  • Separate read-only diligence copies from production migration copies and set deletion dates for both.
  • Confirm that backups and replicas follow the same retention and deletion decision as primary data.
  • Test administrator recovery and service-account rotation before changing ownership or domains.
  • Define who can approve a cutover, pause it, invoke rollback, or accept residual defects.

The Federal Trade Commission’s 2023 summary of cloud-computing comments records concerns raised by commenters about switching barriers and provider practices. Treat those statements as issues commenters raised, not as a finding that every provider engages in them: Cloud Computing RFI: What we heard and learned.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Choose a disposition and document the reason

After contract review and technical testing, classify every service as one of five dispositions. The label is not the decision by itself; record the business reason, owner, cost, timing, risk, and trigger for revisiting it.

Disposition Use when Required action
Retain Native capability and continuity value outweigh tested switching cost. Secure assignment or affiliate rights, portability commitments, renewal controls, and an up-to-date exit plan.
Renegotiate The service is valuable but contract or export terms create avoidable exposure. Seek clearer data scope, notice, fees, support, deletion, service continuity, and transaction-consent language.
Consolidate Acquirer and target have overlapping services and one can support the combined process. Validate capacity, controls, licensing, migration effort, and concentration impact before selecting the survivor.
Replace Portability, economics, security, or strategic fit is unacceptable. Mobilize the replacement, run a proof of migration, dual-run where needed, and execute a controlled cutover.
Defer Immediate change would endanger continuity or evidence is incomplete. Set a dated review trigger, interim safeguards, budget, and accountable owner; do not let “defer” become indefinite renewal.

Do not claim a universal acceptable vendor-concentration percentage, average migration time, typical termination fee, or expected saving. The official materials provide decision factors, not a quantitative benchmark that applies to every deal.

Build the SaaS exit and transition plan

An exit plan connects the outgoing provider’s obligations with the incoming provider’s mobilization or an in-house operating model. The UK DDT Playbook recommends a coordinated transition rather than waiting for the contract end date.

  1. Set scope and decision rights. Name the executive sponsor, service owner, security and privacy leads, technical migration lead, legal contact, and supplier contacts. Define who accepts risk and approves cutover.
  2. Freeze the baseline. Capture the current configuration, data volume, interfaces, users, permissions, reports, automation, service levels, open incidents, and contract dates.
  3. Confirm the route out. Issue required notices, obtain assignment or change-of-control consent, reserve export windows, and document fees and support commitments.
  4. Mobilize the destination. Provision environments, identity integration, logging, security controls, licenses, network capacity, and support coverage before extracting production data.
  5. Transfer knowledge and data. Obtain runbooks, schemas, interface documentation, configuration exports, administrator training, and a representative production export.
  6. Transform and validate. Map fields and relationships, reconcile counts and totals, verify permissions, test integrations, and obtain process-owner sign-off.
  7. Run in parallel when justified. Keep the old service available for a defined period while the new process handles real or replayed workloads. Record divergence and reconciliation rules.
  8. Cut over and monitor. Announce the change, restrict writes as planned, execute the final delta, switch interfaces and identities, and monitor critical transactions and support queues.
  9. Keep rollback possible. Define the rollback trigger, data-write rules, decision deadline, responsible approver, and communications before cutover begins.
  10. Close the old service. Revoke credentials, stop integrations, obtain export and deletion evidence, confirm backup treatment, settle invoices, and archive the contract and validation record.

Review the plan at each major deal or delivery milestone. A plan written eighteen months before renewal can become wrong as users, integrations, data volumes, and provider terms change.

Bottom line for pre-deal SaaS diligence

The practical way to reduce SaaS vendor lock-in before a merger or acquisition is to make exitability an evidenced operating requirement. Inventory every service, tie it to workflows and data, read the complete contract, test a realistic export and import, map proprietary dependencies, and choose retain, renegotiate, consolidate, replace, or defer with a named owner and dated trigger. Preserve provider-native advantages when they are worth the tested switching cost, but never mistake a cancellable subscription or a downloadable file for a complete continuity plan.
