To read a homebuilder’s revolving credit facility, start with the executed credit agreement, calculate what can actually be drawn after borrowing-base limits and letters of credit, then map the covenants, collateral, guarantees, deadlines and default remedies. A company’s SEC filings are useful for finding and checking those terms, but they report figures for particular dates and do not replace the agreement’s definitions.
Read the facility in a practical order
- Identify the documents and parties. Find the executed credit agreement and amendments, then list each borrower, guarantor, administrative agent and lender. Note the commitment, maturity, any extension option and accordion, and whether the facility includes letter-of-credit or swingline sublimits.
- Work out usable capacity. Locate the borrowing-base definition and certificate requirements. Record eligible asset categories, advance rates, caps, exclusions, reserves, appraisal rules, concentration limits and deductions for other debt. Then subtract loans and letters of credit that use the commitment. Do not treat the headline commitment as cash available to draw.
- Calculate borrowing cost. Find the benchmark or base rate, spread, any leverage-based pricing grid and floors. Also check default interest, commitment and utilization fees, letter-of-credit and fronting fees, and when each is payable.
- Check draw conditions. Review conditions precedent for each borrowing and letter of credit, required notices and repeated representations. Identify the required borrowing-base, financial and compliance certificates, who must deliver them, and when.
- Turn covenants into a calendar and worksheet. For each covenant, record the exact defined formula, threshold, measurement date, reporting deadline, cure period and potential remedy. Keep contract-defined measures separate from GAAP balances and familiar ratios.
- Trace support and priority. Determine whether the facility is secured or unsecured, which assets secure it if applicable, and which subsidiaries guarantee it. Read exceptions, permitted liens and debt provisions, and the agreement’s treatment of priority relative to other obligations.
- Read defaults and changes to the deal. Review events of default, grace periods, cross-default or cross-acceleration provisions, acceleration and commitment-termination rights, and lender voting thresholds for amendments and waivers. Check amendments and waivers rather than assuming the original agreement remains unchanged.
- Reconcile the contract with current filings. Compare the latest facility note, debt table, covenant table and liquidity discussion. Match each amount to its reporting date and distinguish cash borrowings, outstanding letters of credit, total commitment, borrowing-base headroom and net remaining availability.
Why a homebuilder’s borrowing base needs special attention
A homebuilder may hold land, lots under development, finished lots, homes under construction, completed homes and contract receivables. A credit agreement can apply different eligibility rules and advance rates to those categories. The mix of inventory, project status, appraised value, development conditions, sales and cancellations can therefore affect collateral availability.
Read the defined terms rather than assuming every inventory asset qualifies. A disclosed borrowing base is not necessarily the amount left unused on a revolver: availability can also be reduced by loans, letters of credit, reserves and other contractual deductions. The agreement’s definitions and the company’s calculation govern.
Separate commitment, borrowing base and availability
These measures answer different questions. The commitment is the lender group’s stated facility limit, subject to the agreement. A borrowing base measures support for borrowing under the contract’s asset rules. Net remaining availability is what the company reports as available after relevant usage and limitations at a particular date. Check the agreement and filing to establish exactly how the last figure is calculated.

M/I Homes’ Form 10-Q reports the following figures as of June 30, 2026. They describe that company’s facility on that date, not a typical homebuilder facility.
| Measure | M/I Homes report, June 30, 2026 |
|---|---|
| Commitment | $900 million |
| Potential accordion | Up to $1.05 billion, subject to additional lender commitments |
| Letter-of-credit subfacility | $250 million |
| Letters of credit outstanding | $82.5 million |
| Cash borrowing | None |
| Reported remaining availability | $817.5 million |
M/I Homes also says its borrowing-base availability uses different inventory advance rates. Its reported remaining availability should not be confused with the unused commitment in the abstract; it is a dated issuer calculation. M/I Homes’ June 30, 2026 Form 10-Q debt disclosure provides the facility details.

Understand pricing and borrowing mechanics
Interest rate and fees
The interest rate may combine a benchmark with a margin, and the margin can change with a leverage-based pricing grid. Check how the agreement defines the benchmark, whether a floor applies, what leverage measurement selects the margin, and whether the rate changes immediately or on a stated reset date. Fees matter too: a facility can charge for unused commitments, utilization, letters of credit or fronting services even when cash borrowings are zero.
As a dated, company-specific example, M/I Homes reported adjusted term SOFR plus 150 basis points, subject to leverage-based adjustment, in its June 30, 2026 filing. That rate is not a general market term; consult the linked filing and the agreement for the issuer’s applicable mechanics.

Conditions to draw
A commitment does not by itself mean every requested advance will be funded. The borrowing provisions may require notice by a deadline, representations to be true again on the borrowing date, no continuing default, and delivery of current certificates. Letters of credit can have separate conditions, fees and sublimits. Note which conditions apply to each kind of usage rather than treating all draws alike.
Translate financial covenants into contract-defined tests
Do not substitute a familiar accounting or market ratio for the agreement’s formula. A covenant may adjust debt, cash, equity, earnings or interest expense in ways that differ from GAAP presentation or common financial metrics. For every test, capture the measurement period, test date, threshold, reporting deadline, permitted cure and consequence of failure.

Common covenant provisions to locate
- Consolidated tangible net worth: Identify the starting minimum and any step-ups tied to earnings or equity proceeds. Check how the contract treats goodwill, other intangibles, minority interests and losses.
- Leverage: Copy the formula and identify which debt counts, whether cash can be netted, and what adjustments to equity or other measures are permitted. Confirm whether the covenant sets a maximum ratio.
- Interest coverage or liquidity alternative: Determine whether the agreement requires one test or both. Read the precise definition of coverage or liquidity and the calculation period; an either/or clause should not be read as a requirement to satisfy both.
- Borrowing-base condition: Separate the borrowing-base calculation used to determine availability from any covenant requiring borrowing-base indebtedness to remain within collateral support.
- Investment limits: Review caps on joint ventures, unrestricted subsidiaries and other unconsolidated entities, which can affect land partnerships and corporate structure.
- Nonfinancial restrictions: Check limits on liens, debt, asset sales, mergers, distributions, affiliate transactions and permitted investments.
- Reporting and remedies: Find certificate deadlines, notice requirements, cure mechanics, default triggers and lender remedies for a breach or late delivery.
KB Home’s Form 10-Q for the quarter ended February 28, 2026 says its covenant calculations are defined by its credit documents and can differ from GAAP or commonly used metrics. It describes tangible-net-worth and leverage tests, either interest coverage or minimum liquidity, a limit on specified investments, and a borrowing-base condition when KB Home lacks an investment-grade rating. The filing’s dated results include a 0.311 leverage ratio against a 0.600 ceiling, a 5.616 interest coverage ratio against a 1.500 minimum, and $2.04 billion of borrowing-base excess. These are KB Home’s figures and thresholds at that reporting date, not industry benchmarks. See KB Home’s February 28, 2026 Form 10-Q.

Check guarantees, collateral and ranking
Read the borrower and guarantor definitions alongside provisions that exclude certain subsidiaries or assets. Establish which entities support repayment, what exceptions apply and whether the facility has liens. If secured, note the covered collateral and permitted liens; if unsecured, do not assume the absence of security means the claims have the same practical priority as every other obligation.

M/I Homes’ 2025 Form 10-K describes its facility as senior unsecured and says guarantees generally cover subsidiaries subject to stated exceptions. It also describes minimum tangible net worth, a maximum leverage ratio and an interest-coverage-or-liquidity requirement. Those terms are specific to M/I Homes; the filing’s covenant table is a dated company example, not a template for another borrower. M/I Homes’ 2025 Form 10-K.

Compliance is not an unconditional funding promise
KB Home reported covenant compliance as of February 28, 2026, while also warning that access to full borrowing and letter-of-credit capacity depends on lenders’ ability and willingness to fund or extend credit. Compliance at a reporting date and a stated commitment are important facts, but they should not be described as an unconditional guarantee that funds will be available in every circumstance. KB Home’s February 28, 2026 Form 10-Q sets out the company’s qualification.
