Private-company shares are not usually available through an ordinary stock-market order: access depends on the offering or resale route, investor eligibility, and whether the company permits the transfer. SpaceX announced a public offering of Class A common shares on June 4, 2026, so the premise that its shares are necessarily still private may be out of date. That announcement and the accompanying UK offer material do not establish whether the shares are trading now, which brokers currently accept orders, or what access is available in every country. Check current company and exchange information, then confirm availability and eligibility with a broker serving your jurisdiction.

What SpaceX’s June 2026 announcement does—and does not—establish

Space Exploration Technologies Corp. announced a public offering of 555,555,555 Class A common shares on June 4, 2026. The SEC-hosted UK offer material from that date describes a retail offer through participating intermediaries on the Winterflood Retail Access Platform. It also says SpaceX did not make a direct offer to UK retail investors.

Those documents establish that an offering was announced and describe a UK retail route at that time. They do not, on their own, confirm the current trading status, a ticker, availability at a particular broker, or eligibility in other countries. If you are asking “Can I buy SpaceX stock now?”, first check current company and exchange information; then ask a broker that serves your country whether it accepts orders for the relevant shares and what restrictions apply.

How to get exposure to a company that is still private

For a private company, access generally comes through an issuance by the company, a resale by an existing holder, or an investment vehicle that owns private securities. These routes are not interchangeable: each can involve different legal conditions, ownership rights, costs, and ways to exit.

Company offering Shares or another security issued by the company, subject to the offering terms. Issuer, offering exemption, documents, eligibility, security class, fees, and transfer restrictions. May be difficult to sell; check any transfer limits and how a future sale could occur.
Private secondary sale Securities resold by an existing holder, if the transaction and transfer are permitted. Seller’s title, applicable resale exemption, company consent, transfer-agent process, and fees. A listing or price indication is not proof of a completed or recordable transfer.
Fund or special-purpose vehicle An interest in the vehicle, not necessarily direct shares or direct shareholder rights in the company. Current holdings, fees, valuation policy, governing documents, redemption terms, and investor eligibility. Private holdings may be thinly traded; a vehicle’s redemption terms may limit access to your money.
Public shares Shares bought through a public-market route, if currently listed and available to you. Current listing and offer information, broker access, jurisdiction, and order conditions. Trading depends on current market availability and applicable trading rules.

How a private offering differs from a private resale

Buying in an offering

A private placement is an issuance by the company. In the United States, every offer and sale of securities must be registered or rely on an exemption from registration. Regulation D includes Rule 506(b) and Rule 506(c), which have different conditions. Rule 506(b) bars general solicitation and permits sales to no more than 35 non-accredited investors in any 90-day period, subject to the rule’s requirements. Rule 506(c) permits general solicitation only when all purchasers are accredited investors and the issuer takes reasonable steps to verify that status. A marketing page alone does not show that an offering complies with securities laws or that a particular investor can participate.

Buying from an existing holder

A secondary transaction is a holder’s resale, not a new issuance by the company. In the United States, restricted securities are not freely tradeable. A resale may depend on an available exemption—potentially Rule 144, Section 4(a)(1), Section 4(a)(7), or another route depending on the facts—as well as state securities requirements. These are legal pathways, not a guarantee that a specific seller can transfer a specific company’s shares. Confirm that the seller owns the security being offered and that the company or transfer agent will recognize the transfer.

Who may qualify for a private offering?

Accredited-investor status matters for some offerings, but it is not blanket permission to buy any private-company share. The offering’s exemption and the issuer’s requirements still control. SEC guidance lists individual qualification criteria that include:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Net worth over $1 million, excluding the value of the primary residence.
  • Qualifying income over $200,000 individually or $300,000 with a spouse or partner in each of the prior two years, with a reasonable expectation of reaching the same level in the current year.
  • Certain professional credentials or positions recognized under the rules.

These are examples, not a complete eligibility test. Under Rule 506(b), the issuer assesses whether it reasonably believes a purchaser is accredited; under Rule 506(c), it must take reasonable steps to verify accredited status. Requirements outside the United States may differ, and a broker’s or platform’s acceptance of an account does not itself establish that an investment is lawful or suitable for you.

What to verify before committing money

Use the checks that match the route. If a seller or platform cannot answer them clearly, pause rather than relying on an advertised price or an assurance that shares will be transferred later.

For a company offering

  1. Identify the issuer and the exact security class. Make sure the documents name the company whose shares you intend to own.
  2. Read the official offering documents. Confirm the exemption being relied on, eligibility conditions, fees, and any limitations on resale or transfer.
  3. Check how the subscription is accepted and how ownership will be recorded. Do not treat a promotional page as a substitute for formal documents.

For a secondary transaction

  1. Verify the seller’s title and the precise security being sold.
  2. Ask which resale exemption and any applicable state-law requirements the transaction relies on; have qualified legal or financial professionals review details you do not understand.
  3. Confirm issuer consent and the transfer process directly, including whether the transfer agent will record you as the owner.
  4. Get the price, fees, timing, and conditions in writing. A quoted indication or platform listing is not evidence of a completed, transferable sale.

For a fund or special-purpose vehicle

  1. Read the current governing documents and verify the vehicle’s actual holdings; do not assume a fund has current exposure to a particular company.
  2. Understand all management, performance, transaction, and other fees, as applicable, and how the vehicle values private holdings.
  3. Check redemption limits and timing, voting and information rights, and whether you own vehicle interests rather than shares in the operating company.

For publicly offered shares

  1. Check current company and exchange information for the listing, offer status, and security details.
  2. Ask a broker serving your country whether the shares are available to you and what eligibility, order, and fee conditions apply.
  3. Read the current offer and account documents before placing an order; do not infer availability from an older announcement or an intermediary’s past participation.

Why an indirect investment can behave differently

A fund or special-purpose vehicle gives you an interest in that entity, not automatically direct shareholder rights in the operating company. Its holdings, valuation method, fees, redemption terms, voting arrangements, and access to company information shape what you own in practice. An SEC-filed tender-offer fund document warns that private holdings can be thinly traded and may show volatile or erratic price movements. That illustrates possible risks; it does not establish that any particular fund currently holds SpaceX securities.

Across all routes, consider whether the stated valuation is independently supported and how often it is updated, how much you will pay in total, what rights attach to your investment, and how you could exit. Private-company securities can be illiquid, and a displayed valuation or advertised resale opportunity does not ensure that you can sell at that price—or sell at all.
