Find PennyMac Mortgage Investment Trust insider filings on the company’s Insider Filings page by selecting “Forms 3, 4 & 5,” or search the SEC’s EDGAR database for CIK 0001464423 and filter for Form 4. To interpret a filing, verify the issuer and reporting person, distinguish its filing date from its transaction period, then read the transaction codes and footnotes alongside the reported holdings.

Where to find PennyMac Mortgage Investment Trust Form 4 filings

Use the company’s insider-filings page

Open PennyMac Mortgage Investment Trust’s Insider Filings page and choose “Forms 3, 4 & 5.” The page’s table organizes records by filing description, form type, filing date, and download options. Select a Form 4 entry to open or download its filing.

Verify the filing in SEC EDGAR

The SEC’s EDGAR record is an independent, SEC-hosted source. Search for PennyMac Mortgage Investment Trust or use its SEC Central Index Key (CIK), 0001464423, then filter for Form 4. The CIK helps distinguish this issuer from similarly named PennyMac entities. An EDGAR example record identifies the issuer and CIK, form type, filing date, and period of report, and links to the primary HTML and XML documents.

What to check before interpreting a Form 4

Start with the header and confirm the issuer, reporting person, form type, filing date, and period of report. The filing date is when the report was submitted; the period of report identifies the transaction period. Those dates can differ. In the cited EDGAR example, the transaction period ended September 22, 2025, while the filing date was September 24, 2025.

Open the primary HTML document for a readable presentation. The XML document provides structured filing data. In either format, read the transaction table together with its footnotes; a table entry alone may not describe the full context of an ownership change.

How to read the transaction table and codes

For each reported line, look for the transaction date, code, amount, price where applicable, ownership form, and shares held after the transaction. Form 4s can cover both common stock and derivative securities. Direct ownership means the reporting person holds the securities directly; an indirect holding may involve another person or entity. Footnotes can explain the circumstances, relationships, or nature of an indirect holding, so consult them before describing what happened.

Rank #2

The SEC’s Investor Bulletin on Insider Transactions and Forms 3, 4, and 5 lists these common codes:

Code Meaning
P Purchase on an exchange or from another person
S Sale on an exchange or to another person
A Grant, award, or other acquisition from the company
F Use of securities to pay an exercise price or tax liability
M Exercise or conversion of a derivative
G Gift
J Another transaction, accompanied by a footnote

These are not interchangeable events: for example, a grant (A), tax-related withholding or payment (F), derivative exercise (M), gift (G), purchase (P), and sale (S) describe different types of transactions. The SEC bulletin directs readers to the Form 4 general instructions for the complete code set. If a code is unfamiliar or a footnote qualifies the entry, use the filing’s own explanation rather than assuming the line represents an ordinary market purchase or sale.

Who files Form 4, and when

Form 4 reports transactions and holdings for covered reporting persons, including directors, officers, and certain beneficial owners of more than 10 percent. In most cases, it must be filed within two business days following the transaction date. The SEC Investor Bulletin describes that general deadline; the Federal Reserve’s Form 4 description says it is due before the end of the second business day following the day a transaction changing beneficial ownership is executed. The specific filing and applicable rules matter; do not treat the filing date as the transaction date.

What a Form 4 does—and does not—tell you

A Form 4 documents a reportable transaction and the ownership information shown in the filing. It does not, by itself, explain why the reporting person acted or predict how PennyMac Mortgage Investment Trust’s shares will perform. The SEC Office of Investor Education and Advocacy cautions: “Of course, insiders may sell company securities for any number of reasons, including for liquidity and diversification purposes.” A reported sale is therefore evidence of a disclosed transaction, not proof of bearish intent; likewise, a purchase alone does not establish a bullish forecast.
