To find a dividend record date, open the company’s latest dividend announcement or investor-relations dividend history and confirm four separate fields: declaration date, ex-dividend date, record date and payable date. For an ordinary cash dividend on a U.S.-listed stock, the ex-dividend date is the practical purchase cutoff: buying before it generally qualifies you for the upcoming dividend, while buying on the ex-date or later generally does not. The record date tells the company which shareholders it recognizes, but it is not usually the date by which a market buyer must place an order.
Always match the notice to your exact ticker, share class and market. Large distributions, stock dividends, spin-offs, ADRs, foreign securities, funds, late announcements and revised dates can follow different procedures. Use the issuer’s current notice and the applicable exchange rule instead of calculating eligibility from a calendar shortcut.
What a dividend record date means
A company sets a record date when it declares a dividend. On that date, the company identifies the shareholders recorded on its books as entitled to the distribution. Investor.gov describes the record date as the date when an investor must be on the company’s books as a shareholder to receive the dividend.

A trade may not appear on the issuer’s shareholder register immediately, so the market uses an ex-dividend date to determine which side of a trade receives the pending dividend. For an ordinary cash dividend, the seller generally retains the dividend when the buyer purchases on or after the ex-date; a buyer who purchases before the ex-date generally receives it.

The record date therefore answers the issuer’s identification question, while the ex-date answers the investor’s purchase question. You need both dates in order to assess eligibility safely.
The four dividend dates you must distinguish
| Date | What it means | How to use it |
|---|---|---|
| Declaration date | The board or company announces the dividend amount, type and timing. | Use the latest declaration as the starting point, and check whether the board can still change or cancel future dates. |
| Ex-dividend date | The first date on which a purchaser of the security does not receive the upcoming dividend under the applicable market rule. | Use this as the normal purchase cutoff for an ordinary cash dividend. |
| Record date | The company’s cutoff for identifying holders entitled to the distribution. | Confirm that your holding and security class match the issuer’s record-date notice. |
| Payable date | The scheduled date on which the dividend is paid. | Use it to know when cash or shares should be delivered, not to decide whether a new purchase qualifies. |
Investor.gov’s general explanation says that a stock’s ex-date is usually the record date, or one business day before when the record date is not a business day. That is a general explanation, not a universal formula. Nasdaq Equity Rule 11140 supplies the controlling framework for Nasdaq securities and includes conditions involving business days, non-delivery days, distribution size and how early definitive information was received. Read the specific ex-date published for the security rather than counting backward from the record date.
How to find the dates: a reliable lookup procedure
- Identify the exact security. Write down the company name, ticker, share class and market. A company may have multiple common-stock classes, preferred shares, ADRs or other instruments with different corporate-action notices. A dividend for one class does not automatically establish eligibility for another.
- Open the issuer’s investor-relations pages. Look for labels such as Stock Information, Dividends, Dividend History, News or Press Releases. Prefer a dated declaration or official history over a calendar that merely estimates future payments.
- Find the most recent declaration. Record the declared amount, distribution type, declaration date, record date, payable date and any language describing eligibility, conditions or board approval. Look for a later correction or amended announcement before relying on the first notice you find.
- Locate the ex-dividend date. Check the issuer’s table or the relevant exchange’s corporate-action information. Do not assume that the ex-date is always the day before the record date, especially for a large distribution, a stock distribution, a foreign security or a notice issued late.
- Check the distribution category. Determine whether the event is an ordinary cash dividend, a cash distribution of at least 25% of the security’s value, a stock dividend, split, spin-off or another special distribution. The category can change the ex-date procedure.
- Check for changes. Compare the declaration with any later company release and the current exchange notice. If the record date, payable date or ex-date has changed, use the revised information and do not rely on an old calendar entry.
- Resolve ambiguity before trading. If the dates conflict, the notice is incomplete, or the holding is a fund, ADR, foreign listing or special distribution, ask the issuer’s investor-relations contact, consult the applicable exchange information or obtain advice from a qualified financial professional.
How to read an issuer’s dividend history
A useful dividend-history table separates the fields instead of presenting one vague payment date. Nasdaq, Inc.’s investor-relations history is an example: its entries list Declared, Ex-Date, Record, Payable, Amount and Type in separate columns. Read across the row for the exact dividend and verify that the ticker and security class match your holding.
Do not treat a repeating quarterly pattern as a guarantee. A company can maintain a regular schedule and still change the amount or dates. A declaration may also state that future dividends and the establishment of future record and payment dates remain subject to board approval.
When the history table and a press release show different information, check which document is newer and whether one is describing a different security or distribution. The exchange’s ex-date designation is especially important when the issuer lists a record date but does not clearly state the ex-date.
Worked example: reading a dated declaration
Nasdaq, Inc. announced on July 23, 2026 a quarterly dividend of $0.31 per share. The release stated that it was payable on September 25, 2026 to shareholders of record at the close of business on September 11, 2026. Those figures identify the amount, record date and payable date for that particular declaration.
To decide whether a market purchase would have qualified, an investor would still check the ex-dividend date in the issuer’s dividend history or the applicable exchange notice. The release’s record date alone should not be used to infer the purchase cutoff. The announcement also said that future declarations and future record and payment dates were subject to board approval, so the example describes one dated declaration rather than a promise of later dividends.

Eligibility for an ordinary cash dividend
| Your transaction relative to the ex-date | Normal result for an ordinary U.S.-listed stock cash dividend | Action |
|---|---|---|
| Buy before the ex-dividend date | You generally receive the upcoming dividend, assuming the trade is valid and the security matches the announcement. | Keep the trade confirmation and verify the position with your broker. |
| Buy on the ex-dividend date | You generally do not receive the upcoming dividend; the seller is normally entitled to it. | Do not buy on the ex-date expecting that dividend. |
| Buy after the ex-dividend date | You generally do not receive that upcoming dividend. | Look for the next declared distribution instead. |
| Sell before the ex-dividend date | The seller generally gives up the upcoming dividend because the buyer is purchasing with the dividend attached. | Check the trade’s ex-date and any broker-specific corporate-action notice. |
| Hold through the relevant dates | Eligibility is determined under the security’s applicable ex-date and record-date procedures, not simply by whether you still see a position on the payable date. | Confirm the event with the issuer and exchange when the distribution is unusual. |
This table describes the ordinary stock cash-dividend case. It does not override a special rule for a large distribution, stock dividend, ADR, foreign security, fund or other instrument.
Why you should not calculate the ex-date yourself
For an ordinary distribution under 25% of a security’s value, Nasdaq Rule 11140 generally places the ex-date on the same business day as a business-day record date, or on the preceding business day when the record date falls on a Nasdaq non-delivery day, provided definitive information was received sufficiently in advance. Other conditions and exceptions apply.
For that reason, a simple rule such as “the ex-date is always one day before the record date” can produce a wrong answer. A record date may be affected by a weekend, exchange holiday, late information or a changed announcement. The issuer or exchange may publish a corrected date after a calendar service has already copied the original information. Treat the displayed ex-date as the operative value and recheck it when the event is close.
Exceptions that change the normal rule
Cash distributions of 25% or more
Nasdaq Rule 11140 provides a different procedure for a cash distribution equal to 25% or more of the value of the subject security: the ex-date is the first business day after the payable date. Investor.gov also warns that special rules apply when a dividend is at least 25% of the stock’s value.
The threshold is a rule trigger, not a market statistic. Confirm that the distribution is actually being valued against the relevant security and that the cited exchange rule applies. Do not apply the ordinary record-date relationship to a distribution of this size.
Stock dividends, splits and spin-offs
A stock dividend or spin-off can use procedures different from an ordinary cash dividend. Investor.gov explains that the ex-date for a stock dividend is set for the first business day after the stock dividend is paid. It also notes that, under due-bill procedures, a seller who sells before the ex-date may have an obligation to deliver the distributed shares to the buyer.
Because the entitlement can involve shares rather than cash and may create delivery obligations, do not use the ordinary cash-dividend rule mechanically. Read the corporate-action notice for the exact event.

Late information and changed dates
When Nasdaq Regulation does not receive definitive information sufficiently in advance to use the normal process, Rule 11140 allows it to designate a practical ex-date in light of the circumstances. That date can differ from what a reader would calculate from the record date.

NYSE guidance says listed companies generally must notify the exchange and publicly disclose record dates at least 10 calendar days in advance. If a company changes a record date, it must provide renewed advance notice. NYSE guidance also says record dates should not fall on weekends or exchange holidays, with limited cases in which the announcement identifies the immediately preceding U.S. business day as the effective date.
If you see a revised release, use the latest issuer notice and current exchange information. A saved copy of an earlier date is not sufficient evidence of eligibility.
ADRs and foreign securities
Nasdaq Rule 11140 specifically provides that ex-dates for stock dividends or splits involving ADRs and foreign securities are designated by Nasdaq Regulation. Non-U.S. markets can have different calendars, settlement conventions and announcement practices.
For an ADR or foreign listing, identify the exact instrument and market first, then use its issuer and exchange notices. Do not transfer a U.S. common-stock rule to the foreign ordinary share or to an ADR without checking the applicable notice.

A fund distribution is not automatically governed by the same process as a company’s common-stock dividend. The fund’s prospectus, distribution notice and market rules control. Confirm the fund’s stated ex-date, record date and payable date, and ask the fund or broker when the notice does not explain how a purchase is treated.
Which source should you trust when dates differ?
- Issuer declaration: Use the company’s official release or investor-relations page for the amount, type, record date, payable date and eligibility wording of the announced distribution.
- Exchange designation: Use the relevant exchange for the operative ex-dividend date and special corporate-action treatment.
- SEC Investor.gov: Use its investor-education guidance to understand the general relationship among ex-date, record date and payable date, including the large-distribution and stock-dividend exceptions.
- Broker notice: Use your broker’s corporate-action message to confirm how the event is applied to your account, while recognizing that the broker’s summary should correspond to the issuer and exchange information.
When sources conflict, compare the company, ticker, share class, market, date type, distribution type, publication date and whether a correction was issued. A third-party calendar is useful for discovery but should not outrank the issuer’s current notice or the exchange’s designation.

Common mistakes and how to fix them
Confusing the record date with the purchase deadline
Symptom: You buy on the record date and expect the dividend.
Fix: Find the ex-dividend date. For an ordinary cash dividend, a purchase on the ex-date generally does not include the upcoming payment.

Fix: Check the newest issuer notice and exchange corporate-action information, especially after a date change.
Applying cash-dividend rules to a stock distribution
Symptom: You assume the buyer on the record date receives distributed shares in the same way as cash.
Fix: Read the stock-dividend or spin-off notice for its ex-date and due-bill instructions.
Assuming an announced dividend is permanent
Symptom: You treat a pattern of quarterly payments as guaranteed.
Fix: Read the board-approval language in the current declaration and wait for a new official announcement before treating a future payment as declared.
A practical verification checklist
- Have you identified the exact company, ticker, share class and market?
- Did you open the latest issuer declaration rather than rely only on a calendar?
- Did you record the declaration, ex-dividend, record and payable dates separately?
- Did you verify the ex-date with the issuer or applicable exchange?
- Is the distribution ordinary cash, at least 25% of value, stock-based, a split, a spin-off or another special event?
- Could the security be an ADR, foreign listing, fund or other instrument with different procedures?
- Did you check for a later correction or changed record date?
- Does your broker’s corporate-action notice match the issuer and exchange information?
Tax treatment, withholding, settlement details across brokers and non-U.S. market procedures are separate questions. The dates above establish the normal eligibility framework; they do not determine how much cash you keep after taxes or how a particular account reports the payment.
What to do when the notice is still unclear
Do not infer eligibility from the payable date, a recurring quarterly pattern or a search-result snippet. Save the current issuer announcement, identify the exchange notice for the ex-date and ask the issuer, exchange or a qualified financial professional to resolve the discrepancy before trading. This is especially important when the announcement is late, the record date has changed, the distribution is large or stock-based, or the security is an ADR, foreign listing or fund.
