A SaaS vendor can look profitable yet lack the cash to operate through a downturn, refinancing problem, acquisition, or insolvency. Before signing, assess the legal entity behind the service, read dated financial evidence over several periods, test liquidity against cash use and debt maturities, and negotiate practical data-exit and continuity rights. The result is a buyer-specific continuity decision—not a guarantee that the provider will survive.

What “financial stability” means for a SaaS buyer

With hosted software, you normally receive access to a running service rather than a copy you can operate independently. SPS Commerce’s 2024 Form 10-K describes this model as a subscription service delivered during the contract period. If the provider cannot fund infrastructure, staff, security, support, or suppliers, your business may lose access even when your own company is healthy.

Financial review therefore asks a practical question: does this provider appear capable of meeting obligations and continuing service for the period in which you depend on it, and what happens if that assumption fails? Public filings, vendor representations, and contract terms each answer a different part of that question. None predicts the future with certainty.

Start by measuring your dependency

Do this before interpreting a balance sheet. A financially modest vendor may be acceptable for a noncritical tool with a one-week replacement path; a much larger vendor may still create unacceptable exposure if it hosts irreplaceable records and migration would take a year.

  • Identify the contracting entity. Record the exact legal name on the order form, its parent company, and the product or service you will use. A public parent’s financial statements may not describe the subsidiary that supports your account.
  • Describe the deployment. Note whether the service is entirely hosted, uses your own infrastructure, or combines the two. List integrations, identity systems, APIs, agents, and third-party services that must remain available.
  • Classify the data. Record personal, regulated, financial, operational, and proprietary data, along with retention and recovery requirements.
  • Estimate replacement effort. Calculate the time, specialist skills, migration tooling, parallel-running period, and likely cost to move to another provider or an internal system.
  • Rate the business impact. Consider lost revenue, safety or compliance consequences, customer commitments, and the maximum tolerable outage. Document whether a manual workaround exists.

This scope determines how much evidence and contractual protection you need. It is a buyer-specific risk analysis, not a standardized financial score.

Public-company diligence: use dated filings, not a single ratio

For a listed provider, begin with the issuer’s own filings in the SEC’s EDGAR system. Confirm that the ticker or issuer is the same legal entity as your contracting vendor or its parent, and check the corporate structure if the product is sold by a subsidiary. Record two dates for every document: the filing date and the fiscal period covered. An old annual report can be accurate for its period but misleading as a description of the company today.

  1. Open the latest annual report. Read the balance sheet, income statement, cash-flow statement, management discussion and analysis, risk factors, debt notes, and any liquidity or going-concern language.
  2. Add subsequent quarterly reports. Compare the most recent quarter with the annual report rather than treating the annual figures as current.
  3. Trace explanations. When cash, revenue, expenses, or debt changes materially, read management’s explanation and the related footnotes. Distinguish a recurring operating change from a one-time financing or asset sale.
  4. Check debt terms. Note principal due dates, interest obligations, covenants, revolver availability, refinancing requirements, and any conditions management says could restrict liquidity.
  5. Read risk and going-concern disclosures. Capture the period to which a warning applies, the conditions identified, and the plans management says it will use. A plan is not the same as completed financing.
  6. Save the evidence. Keep the filing version, filing date, fiscal period, and page references in your procurement record so a later review can be reproduced.

Public disclosure follows accounting and securities-reporting definitions. It may aggregate several products, omit customer-level concentration, or describe a parent that does not directly operate your instance. Treat it as an important starting point, not a complete service-continuity assessment.

Evidence What to examine Why a standalone figure can mislead
Cash and short-term investments Ending balance, restricted amounts, and change across several periods Cash does not show how quickly operations consume it or what portion is unavailable.
Operating cash flow Whether core operations generate or use cash, and whether the trend is improving Accounting profit can coexist with cash burn; a one-time working-capital inflow can temporarily improve cash.
Working capital Current assets versus current liabilities, including deferred revenue and payables A deficit may reflect ordinary subscription billing, but it can also signal near-term pressure; context is essential.
Losses and revenue Revenue trend, gross margin where disclosed, operating loss or income, and expense trajectory Fast growth may require heavy spending, while a temporary cost cut may not be sustainable.
Debt and maturities Principal due dates, interest, covenants, and refinancing or new-equity dependence A large cash balance may be insufficient when a maturity arrives or financing conditions change.
Customer and product concentration Dependence on a few customers, products, or infrastructure partners when disclosed Loss of one relationship can affect a concentrated business more than aggregate revenue suggests.
Management outlook Stated plans for financing, profitability, investment, and liquidity Forecasts are assumptions and should not be counted as realized results.

Instead of calculating a precise runway from cash alone, ask whether the company can fund expected operating needs, debt service, capital spending, and support commitments while its stated financing plan remains available. Changes in the business after the reporting date can invalidate a simple extrapolation.

A company-specific illustration: Veritone’s 2025 filing

Veritone, Inc.’s 2025 Form 10-K, filed in 2026, shows why several indicators must be read together. For that fiscal period, the filing reported approximately $27.4 million in cash and cash equivalents, a $29.9 million working-capital deficit, $53.2 million of net cash used in operating activities, and $45.3 million of debt net of unamortized discount cost.

The company stated that continuing as a going concern depended on generating significant cash flows, obtaining future securities proceeds and/or alternative financing before convertible notes matured in November 2026. It disclosed substantial doubt about continuing as a going concern for at least one year from issuance of those statements.

These are Veritone’s figures and disclosures for its stated reporting period, not SaaS-industry benchmarks or a prediction about another vendor. The useful lesson is methodological: cash, working capital, operating burn, debt maturity, and management’s financing assumptions describe different parts of the same liquidity problem.

Private vendors: request evidence and label its limits

A private company generally does not provide a public 10-K. You must negotiate access to evidence and distinguish independently checked information from management’s representations. Public searches cannot confirm an undisclosed private company’s cash runway, and there is no universal legal right established here to receive private financial statements.

For a critical purchase, ask for:

  • Recent balance sheets, income statements, and cash-flow statements, with the preparation date and whether they are audited, reviewed, or management-prepared.
  • A current cash and liquidity view, including material restrictions, expected operating burn, and significant near-term obligations.
  • Debt instruments, principal and interest maturities, covenants, and any dependence on a new loan, equity round, or other financing.
  • Revenue or customer concentration, dependence on one product, and material third-party infrastructure commitments.
  • The vendor’s plan for support, security, hosting, and customer communication if financing, ownership, or strategic direction changes.
  • A financial-health attestation or periodic update for a mission-critical relationship, if the vendor will provide one under appropriate confidentiality terms.

Ask who prepared each document, what date it represents, and whether the figures cover the legal entity that will deliver your service. A management-prepared forecast can be useful, but it is not audited evidence. Do not present a vendor’s assurance as an independently verified fact.

Check continuity signals beyond financial statements

Financial statements do not reveal every operational dependency. During diligence, ask about:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Ownership and strategy: recent or planned ownership changes, acquisition discussions, and whether the product remains a strategic priority.
  • Product investment: staffing for engineering, security, reliability, and customer support; announced maintenance or end-of-life plans.
  • Infrastructure exposure: dependence on a single cloud region, hosting supplier, payment processor, identity provider, or other critical partner.
  • Migration capability: export tooling, documentation, data schemas, rate limits, and whether the vendor has supported large customer migrations.
  • Concentration: dependence on a small number of customers, channels, or products that could produce a sudden revenue shock.

Use the answers as qualitative evidence and follow up on contradictions. There is no verified universal score that converts these prompts into a probability of SaaS failure.

Turn financial risk into contract protections

Review the signed master agreement, order form, service-level agreement, data-processing terms, and any continuity or escrow addendum. A strong contract cannot force an insolvent provider to keep operating, but it can improve notice, access to data, and your ability to migrate.

Term, renewal, and suspension

  • Record the initial term, automatic-renewal mechanics, nonrenewal deadlines, price-change rights, and termination for convenience or cause.
  • Check whether the provider may suspend service for nonpayment, security concerns, policy breaches, or insolvency-related events, and what notice applies.
  • Look for change-of-control notice or consent provisions when a sale could affect your risk assessment.

Service operation and incident information

  • Verify service levels, maintenance notice, incident communications, backup and restore commitments, and remedies.
  • Treat credits or damages as financial remedies only; they do not guarantee that the hosted platform will remain available.
  • Confirm who can contact you if the provider experiences a material financial or operational event.

Data export and migration

  • Define data ownership and the exact export formats, including files, metadata, audit logs, configurations, and encryption keys where relevant.
  • Specify how often exports can be requested, whether fees apply, the access period after termination, and the vendor’s response time.
  • Require reasonable transition assistance, documentation, and technical cooperation, then test a sample export before the service becomes business-critical.
  • State deletion timing and obtain confirmation of deletion after the agreed retention period, subject to legal holds and backup cycles.

Prepaid fees and early failure

Do not assume unused subscription fees will automatically be refunded if service ends early. The treatment of prepaid amounts is a negotiated term subject to the agreement and applicable law. Specify the refund, credit, or pro-rata treatment you expect if the provider stops delivering the service.

Escrow: a narrow contingency, not a hosted-service guarantee

Some customer agreements place source code with an escrow agent and define release events such as bankruptcy, insolvency, or failure to support or maintain a product. VeriSign’s 2023 Form 10-K describes this kind of arrangement as an example. It does not create a right in your contract.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Verify that an escrow clause identifies the deposited materials, update frequency, verification process, release triggers, agent, fees, and your license to use the release. Ask whether your team could actually run the code. A hosted application may also require proprietary infrastructure, data, credentials, personnel, and third-party systems that escrow does not provide. Escrow is therefore a negotiated fallback, not proof that service will continue through insolvency.

Compare two vendors on the same evidence basis

When choosing between providers, use the same cutoff date and request the same documents. Weight each category by the harm and replacement time associated with your use case.

Comparison axis Questions to score consistently Evidence quality to record
Liquidity and operating cash flow Is cash changing favorably, and do operations generate or consume cash? Filed statements and filing dates; vendor-provided statements for private firms.
Debt and financing dependence What matures soon, and does the plan require refinancing or new capital? Debt notes, covenants, maturity schedule, and management explanations.
Revenue, profitability, and trend Are revenue and losses improving, stable, or deteriorating over several periods? Historical statements, not a forecast alone.
Concentration Could one customer, product, or supplier materially affect the business? Disclosures or specific vendor answers; mark unknowns explicitly.
Transparency Does the vendor provide timely, coherent, dated information and answer follow-ups? Audited or reviewed evidence versus management representations.
Operational impact How long would replacement take, and what would an outage cost? Your dependency map and documented recovery estimate.
Exit and continuity terms Can you export usable data, receive notice, obtain assistance, and address prepaid fees? Signed clauses, tested exports, and any escrow verification.

Do not average these categories into a universal “safe” score. A vendor with stronger liquidity but no workable export may be the worse choice for a system that holds regulated records. Conversely, a smaller private vendor may be acceptable when dependency is low and the contract provides a tested exit.

Use a repeatable buying decision

  1. Set the dependency tier. Define outage tolerance, data sensitivity, replacement time, and maximum acceptable loss.
  2. Request evidence before final selection. Give public and private vendors the same deadline and list of questions, adjusting for their reporting status.
  3. Reconcile the evidence. Compare filing dates, fiscal periods, legal entities, cash use, maturities, and stated assumptions. List unknowns rather than filling gaps with optimistic estimates.
  4. Negotiate protections in proportion to impact. Prioritize export testing, access windows, transition help, notice, prepaid-fee treatment, and continuity contacts for high-dependency services.
  5. Obtain internal approval for residual risk. State what is known, what is vendor-represented, what is unverified, and which failure scenarios remain possible.
  6. Monitor after signing. Set a review date before renewal and trigger an earlier review after a missed filing, leadership or ownership change, material service degradation, layoffs affecting support, financing warning, or delayed response to financial questions.

Warning signs that require escalation

  • Financial information is materially stale, covers a different entity, or arrives without preparation status or a reporting date.
  • Operating cash use is worsening while near-term debt maturities or refinancing needs increase.
  • Management relies on future financing without identified commitments or gives forecasts that conflict with filed results.
  • The vendor refuses to describe data export, post-termination access, support continuity, or ownership-change procedures.
  • Escrow is offered as a substitute for a tested migration plan, or the deposited materials cannot realistically run the service.
  • Your replacement estimate is longer than the contract’s notice and data-access periods.

Escalation does not automatically mean rejecting the vendor. It may mean shortening the term, limiting the data placed in the service, requiring a contingency export, adding a second provider, or selecting a more transparent alternative.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The practical conclusion

Buy only after you can explain, in dated and entity-specific terms, how the provider funds operations, what obligations could pressure liquidity, how reliable the evidence is, and how your organization would recover access to its data if service stopped. Public filings provide a structured starting point; private-vendor diligence depends on negotiated evidence; and the signed contract determines whether financial distress becomes an orderly migration or an emergency. Treat financial stability as one input to a continuity decision, then keep monitoring it for as long as you depend on the service.
