Choose a sell-side investment bank or M&A advisor by checking whether its recent closed deals, proposed team, buyer access, and process fit your business—not by relying on its title or the valuation it forecasts. Before signing, compare the actual work it will do and the engagement letter’s fee, exclusivity, termination, and tail provisions.
What kind of advisor fits your sale?
“Investment bank,” “boutique,” and “M&A advisor” are not consistent service categories, and firms can cross the boundaries between them. A July 2026 guide from FIH.com describes business brokers as commonly using a listing approach for smaller businesses, lower-middle-market advisors and boutique banks as typically preparing sale materials and approaching a researched buyer universe confidentially, and larger banks as tending to work on larger transactions with larger teams and minimum fees. Treat those as interview prompts, not fixed definitions or regulatory thresholds.
Start by clarifying the likely enterprise value, industry, possible transaction structure, buyer universe, and how much process support you want. Then ask each candidate for recent closed sell-side transactions similar in size and sector. Ask what role the firm played, who from the proposed team worked on each deal, and what buyer type acquired the businesses. A general list of firm transactions is less informative than evidence that the people pitching you have handled comparable mandates.
What work should the advisor perform?
FINRA’s Series 79 Content Outline, updated October 2025, describes sell-side work that can include valuation analysis; reviewing transaction structures and market, regulatory, and tax effects; assessing potential buyers and their capacity; preparing confidentiality agreements, a teaser, offering materials, bidding procedures, and management presentations; evaluating indications of interest and final bids; and helping the seller reach definitive transaction execution with counsel and accountants. This is a qualification outline, not a promise that every advisor or engagement includes every task. Confirm the scope in the engagement letter.
#1 Best Overall
Ask who will own each part of the work and what support the seller must provide. In particular, clarify who coordinates legal, tax, accounting, and quality-of-earnings work, and whether those services are included or separately arranged. The advisor’s role may involve coordinating with outside professionals rather than replacing them.
How can you evaluate the proposed team?
The people in a pitch presentation are not necessarily the people who will run the process. Ask the proposed lead banker to identify the team, describe each person’s responsibilities, estimate the lead’s time commitment, and explain how continuity will be handled if staffing changes.

- Who is accountable for buyer outreach, bid management, management presentations, and diligence?
- How many comparable sell-side mandates has the proposed lead handled, and which members of this team worked on them?
- How will the team communicate progress, buyer feedback, and changes to offers?
- What work and decisions will the seller’s management team need to handle?
Seek references from completed transactions and from engagements that did not close. Ask about responsiveness, senior involvement, candor, diligence preparation, and how the advisor handled changed terms. A stopped or unsuccessful sale can reveal how the advisor behaves when a process becomes difficult, not just when it reaches closing.
How do you test the buyer network and sale strategy?
Ask for a buyer universe tailored to your company, with an explanation of why each category or example buyer is plausible. Have the advisor explain how it would sequence outreach and protect confidentiality. A broad contact list alone does not establish relevant access; ask for examples of comparable transactions and references who can speak to the firm’s process discipline and diligence performance.

Discuss whether a competitive process is appropriate for your objectives. Preparing materials and approaching multiple potential buyers can create alternatives and a market check, but it requires seller time and a managed disclosure process. A direct negotiated sale can be rational in some circumstances; it may avoid parts of a broader process, but it also omits the market check and competitive alternatives that process could produce. Ask the advisor to explain the trade-off for your situation rather than assume that a wider auction is always best.
Be cautious when a candidate promises the highest valuation, a particular close rate, or a performance premium. Ask for the underlying population, definitions, and methodology before treating such claims as evidence. CT Acquisitions’ 2026 guide reports a 3–7% success-fee range for lower-middle-market transactions described as $5 million to $50 million in enterprise value, a 7.2-month median process from CIM launch to closing attributed to SRS Acquiom’s 2025 data, and 8–18% higher closing multiples for sector-specialized advisors attributed to Capstone Partners’ 2026 data. These are publisher-reported figures and secondary attributions; the underlying datasets and methods are not established here. They are not universal fee, timing, or sale-price benchmarks. How should you compare engagement letters and fees?
Request the standard engagement letter early and compare the full economics and scope across candidates. There is no verified universal middle-market fee schedule established here, so evaluate the formula and its consequences for your transaction rather than treating a quoted percentage as a market rule.

- Fee base and tiers: Identify what counts as transaction value, how contingent or non-cash consideration is treated, and how any tiers apply.
- Retainer and credit: Check whether a retainer is due, whether it is credited against a success fee, and when it is payable.
- Minimum fee and expenses: Determine the minimum, what expenses are reimbursable, whether approval is required, and whether expenses are capped.
- Exclusivity and termination: Check how long exclusivity lasts, what happens if either party ends the engagement, and whether fees or expenses remain due.
- Tail and covered buyers: Review how long the tail lasts after termination and which buyers or contacts it covers. Broad wording can affect a later sale even if the advisor is no longer engaged.
Have transaction counsel review ambiguous or broad provisions, especially the fee calculation, termination rights, and tail language. Ask the advisor to explain the terms in writing before you sign.
What credentials and conflicts should you check?
Ask how the specific firm is registered or what exemption it relies on, as relevant to the transaction structure and jurisdiction. Review conflicts and obtain references for the individuals who would work on the mandate. Check registration, exemptions, and relevant disciplinary or regulatory information through appropriate official sources. The applicable requirements depend on the circumstances; the sources cited here do not determine the legal rules for a particular sale or verify any firm’s status.
