Before appointing a statutory auditor, check the proposed individual or audit firm against the qualification and disqualification rules in section 141 of the Companies Act, 2013, the service restrictions in section 144, and any applicable appointment and rotation requirements. Review the relevant partners and company relationships—not only the person expected to sign—and record the evidence behind each conclusion. A declaration from the auditor helps, but it does not replace checking the facts.
What should you check first?
Use a documented sequence: identify the appointee, test qualification and section 141 disqualifications, review prohibited services under section 144, and then assess appointment capacity and rotation. These are separate checks: passing one does not establish that the auditor passes the others. The governing provisions are in the Companies Act, 2013 and the Companies (Audit and Auditors) Rules, 2014.
- Identify the proposed appointee: individual, firm or LLP; practising partners in India; proposed signing partner or partners; and the company relationships relevant to the statutory tests.
- Verify professional qualification and authority to sign.
- Check each relevant section 141(3) disqualification against the auditor, firm partners and applicable relationships.
- Inventory services provided to the company and covered group entities, including services delivered indirectly.
- Calculate appointment capacity and rotation separately using the applicable rules and company class.
- Record the evidence, date and conclusion for every check, and resolve uncertain facts before appointment.
Is the proposed auditor qualified and authorised to sign?
Section 141(1) requires an individual appointed as auditor to be a chartered accountant. A firm may be appointed in its firm name if a majority of its practising partners in India are qualified chartered accountants. Only chartered accountant partners may act and sign on behalf of the appointed firm. Check the proposed appointee’s status and, for a firm appointment, identify the partners who will act or sign rather than treating the firm name alone as sufficient.

Section 141(3) sets out circumstances in which a person is not eligible for appointment as auditor. Work through the statutory categories against the proposed auditor and the relevant firm partners; do not limit the review to the proposed signatory or to the company itself. The Act and Rules specify the relevant relationships and prescribed tests.
#1 Best Overall
Company, officer and employment connections
Check whether the auditor has a prohibited employment or officer connection with the company, or whether a partner or employee of the auditor is a partner or employee of an officer or employee of the company. Also check whether the auditor is in full-time employment elsewhere. Apply the statutory wording to the actual roles and relationships.
Securities, interests, debts and guarantees
Review securities and interests held by the auditor, relevant relatives or partners, as well as indebtedness and guarantees or security connected with another person’s indebtedness. For the prescribed monetary tests in the 2014 Rules, the relevant figures identified are:
Rank #2
- "A stirring history of the tribal sovereignty movement." ―Publishers Weekly
- Relative’s security or interest: ₹1 lakh. The Act text includes a ₹1,000 figure or such sum as may be prescribed; the Rules prescribe ₹1 lakh. Use the prescribed figure, subject to checking current amendments.
- Indebtedness: ₹5 lakh.
- Guarantee or security connected with a third person’s indebtedness: ₹1 lakh.
These are distinct statutory tests, not general safe harbours for every financial or personal conflict. Check the holding, subsidiary and associate relationships specified in the law, and verify the relevant interest and amount rather than relying on a broad “no conflict” response.
Business relationships, relatives and other status tests
Check for a prohibited business relationship with the company and the specified relationships involving relatives. Also determine whether the auditor is disqualified because of the number of other company audit appointments or a relevant fraud conviction within the statutory period. The Act contains qualifications, exclusions and prescribed details for these tests, so do not substitute a general count or an informal time period for the current statutory text.
The section 141 review also reaches specified subsidiaries, associates and other entities in connection with section 144 services. Map the group relationships before deciding whether a relationship or service falls within the statutory scope.
Can the statutory auditor provide bookkeeping, internal audit or other services?
No, not where the service is within a category prohibited by section 144 and is provided directly or indirectly to the company, its holding company or subsidiary company. Section 144 lists accounting and bookkeeping, internal audit, design and implementation of financial information systems, actuarial services, investment advisory or investment banking services, outsourced financial services, management services, and other prescribed services. Check what work is actually performed, who performs it, and which covered entity receives it; a service label alone may not resolve whether the restriction applies.
Make a service inventory that includes work delivered through the auditor, its firm or relevant arrangements. Compare each service with the statutory list and record the recipient entity and conclusion. Do not treat the absence of a section 141 relationship disqualification as permission to provide a service barred by section 144.

Appointment capacity and rotation are separate rules. Section 141(3)(g) uses a “more than twenty companies” test for other company audit appointments, subject to the Act’s exclusions and counting rules. Calculate it under those rules; the figure is not a rotation limit.
Section 139(2) provides rotation terms for prescribed classes of companies: an individual auditor may serve one consecutive five-year term, while an audit firm may serve two consecutive five-year terms, followed by a cooling-off period. First establish whether the company falls within a class covered by rotation, then assess the proposed auditor’s tenure and relevant relationships. Do not apply these terms to every company without checking the applicable class and current provisions.

The Audit Committee or Board, as applicable, considers the proposed auditor’s qualifications and experience in light of the company’s size and requirements. The Rules also direct attention to professional-conduct orders or proceedings before the ICAI, a competent authority or a court. These selection considerations complement—but do not replace—the statutory eligibility and service checks.
Keep a dated appointment file with a clear result for each test. It should identify the people and entities reviewed, the documents and declarations considered, the service inventory, any calculations, the provisions and thresholds applied, and any unresolved issue and how it was addressed. Revisit the file if relevant facts change before appointment.

How current are the official sources?
The Ministry of Corporate Affairs PDFs linked above provide the Act and the 2014 Rules. India Code’s Companies Act, 2013 legislation page reports that it was last updated on 22 April 2019. That page date does not establish whether the particular Act text or Rules PDF reflects every later amendment or commencement notification. For a live appointment, check current amendments, notifications and company-class requirements before relying on a threshold, wording or tenure calculation. Where a relationship or service is disputed, the answer depends on the current law and the specific facts.
