To check promoter pledges and ownership changes in an Indian listed company, use the issuer’s official quarterly shareholding-pattern filings on NSE or BSE, then cross-check NSE’s pledge summary and event-level Regulation 31 disclosures. Compare consecutive periods using both share counts and percentages, and read the attached filing to identify whether an encumbrance was created, invoked, or released.

This is a filing-reading method, not a buy-or-sell recommendation. Figures can change when a company issues shares, completes a buyback, splits its stock, or otherwise changes its share capital, so a percentage by itself is not enough evidence of a promoter sale or pledge.

What you are checking

There are three related but different questions:

  • Ownership: How many shares do the promoter and promoter-group holders own, and what percentage of the company does that represent?
  • Encumbrance: How many of those shares are pledged or subject to another restriction?
  • Events: Was an encumbrance created, invoked, or released, and when?

A quarterly shareholding pattern is primarily a periodic ownership snapshot. NSE’s pledge summary is a screening view with several differently defined columns. Regulation 31 filings are event disclosures. Use all three, because none should automatically be treated as a substitute for the others.

Use official filings first

SEBI’s corporate-filings directory points investors to the NSE and BSE shareholding-pattern filing routes. Start there, select the company or security, and verify that the issuer name, symbol, and security type match the company you intend to research. Similar names, multiple listed securities, and corporate actions can otherwise lead to the wrong filing.

Prefer the exchange-hosted document over an unsourced screenshot or a third-party summary. An alert or data service may help you find a filing, but the exchange document and its attachment are the evidence you should retain.

Step 1: collect consecutive quarterly shareholding patterns

Open the latest quarterly shareholding pattern and at least one immediately preceding quarter. For a meaningful trend, collect several quarters when available. Each filing identifies a reporting period or quarter-end date and separates categories such as promoter and promoter group from public shareholders and other classes.

Record the information before interpreting it:

  • Quarter-end or reporting date shown on the filing.
  • Promoter shares and promoter-group shares, both in number and percentage.
  • Total shares or other denominator used for the percentages.
  • Any stated change in issued, subscribed, or paid-up share capital.
  • Shares reported as pledged, otherwise encumbered, or not encumbered.
  • Notes explaining transfers between promoter and promoter-group categories.
  • The filing location and any attachment or explanatory document.

Do not infer a sale merely because the promoter percentage fell. If total shares increased through an allotment, the promoter can hold exactly the same number of shares while the percentage declines. A buyback, stock split, consolidation, or reclassification can also change the denominator or presentation.

Build a comparison worksheet

A simple worksheet prevents denominator and date errors. Add one row per filing and preserve the original dates and units.

Reporting date Promoter shares Promoter % Total shares / denominator Encumbered shares Encumbered % of promoter holding Filing link or notes
Earlier quarter Enter filing value Enter filing value Enter filing value Enter filing value Enter filing value Note capital changes and explanations
Latest quarter Enter filing value Enter filing value Enter filing value Enter filing value Enter filing value Note event references and attachments

Calculate the absolute change in shares separately from the percentage-point change. For example, a move from 60% to 55% is a five-percentage-point decline, not a five-percent decline. If promoter shares rose from 60 million to 62 million while total shares rose from 100 million to 120 million, the promoter percentage would fall from 60% to 51.67% even though promoters added two million shares.

When a filing uses separate promoter and promoter-group rows, add them only when the question calls for the combined promoter-and-promoter-group position. Keep the categories separate when investigating a transfer between them.

Step 2: check NSE’s pledge and encumbrance summary

NSE’s pledged-data page is useful for screening a company before you read individual event filings. It displays several measures that must not be conflated:

Rank #2
  • Total promoter holding.
  • Encumbered shares reported as of the last quarter.
  • Encumbered shares as a proportion of promoter shares.
  • Encumbered shares as a proportion of total share capital.
  • Pledge and demat totals drawn from the depository system.
  • A value calculated by multiplying encumbered shares by the last available closing price.

The last figure is a market-price calculation. It is not the outstanding debt secured by the shares, the lender’s recovery value, or a valuation of the company. Market price can change independently of the number of encumbered shares.

Pay attention to labels such as “as of last quarter” and “depository system.” They describe different scopes and dates. A quarterly encumbrance figure and a current depository pledge count may not match because they are not necessarily measured at the same time or under the same reporting definition. Treat a mismatch as a prompt to inspect the underlying filings, not as proof that one source is wrong.

Step 3: search Regulation 31 event disclosures

Use NSE’s search for Regulation 31(1)/(2) filings after you have identified the company and the relevant quarters. The index exposes the reporting date, promoter or persons-acting-in-concert names, holding fields, encumbrance fields, and an attachment.

Open the attachment. The index is only a navigation layer; the attached disclosure contains the event context and effective date. Identify which of these occurred:

Creation

A new pledge or other encumbrance was created. Confirm the number of shares, the holder, the date, and the type of encumbrance in the attachment.

Invocation

A lender or other secured party acted under the security arrangement. Invocation is not the same as creation and can have different consequences for control or ownership. Use the filing’s event date and description rather than assuming that every encumbrance result is a new pledge.

Release

An existing encumbrance was removed. Check whether the release covers all or only part of the previously encumbered holding.

Compare the event filing with the quarterly shareholding pattern. An event can fall between two quarter-end snapshots, so the next periodic filing may be the first place where the updated balance appears.

Read the filing fields in the right order

For each Regulation 31 document, capture:

  1. The filing or reporting date and the effective date stated in the attachment.
  2. The promoter or persons-acting-in-concert name associated with the event.
  3. Total shares held by that person or group before and after the event, where provided.
  4. Shares already encumbered before the event.
  5. Shares created, invoked, or released by the event.
  6. Encumbered shares after the event and the resulting percentages.
  7. The encumbrance type and any explanation or purpose.
  8. The exchange acknowledgement and the attached form.

Do not use the filing date as a substitute for the event date when the attachment supplies a separate effective date. Keep both in your worksheet so a sequence of creation, invocation, and release can be reconstructed accurately.

Understand “encumbrance” versus “pledge”

A pledge is one form of encumbrance, but the terms are not interchangeable. The quarterly shareholding form asks separately about:

  • Pledge: shares provided as security.
  • Non-disposal undertaking (NDU): a commitment not to sell or transfer shares for a specified purpose or period.
  • Other encumbrance: another restriction or arrangement that falls within the disclosure framework.

When you report a result, preserve the filing’s category. Saying “10% of promoter shares are pledged” when the form actually reports an NDU or another encumbrance over part of that amount changes the meaning. If the filing combines categories, explain exactly what the document combines.

SEBI’s circular titled “Disclosure of reasons for encumbrance by promoter of listed companies” was issued on August 7, 2019 as Circular No. SEBI/HO/CFD/DCR1/CIR/P/2019/90. It establishes reasons for encumbrance as a recognized disclosure subject. For a company-specific reason, read the company’s actual exchange filing and attachment rather than relying on the circular title.

Separate the two percentage denominators

Two percentages commonly appear together:

  • Encumbered as a percentage of promoter holding: encumbered promoter shares divided by promoter shares.
  • Encumbered as a percentage of total share capital: encumbered shares divided by all shares in the stated denominator.

They answer different questions. If promoters own 40% of a company and half of their shares are encumbered, the encumbered amount equals 20% of total share capital, assuming the same denominator. A headline that reports only one percentage can make the risk appear larger or smaller than it is.

Use the denominator printed in the filing. Do not recompute a percentage with a current share count when the filing uses a quarter-end count, unless you clearly label your calculation and explain the date difference.

Know the compliance timing, with its limits

NSE’s main-board compliance calendar summarizes SAST Regulation 31 disclosures for creation, invocation, or release of an encumbrance within seven working days. It also summarizes an annual declaration within seven working days of the end of the financial year.

The calendar is marked indicative and tells companies to consult the latest SEBI LODR regulations. Treat the seven-working-day statement as the calendar’s summary of the rule, not as legal advice detached from the current regulations or the company’s circumstances. NSE reproduces the Regulation 31(3) wording as: “The disclosures required under sub-regulation (1) and sub-regulation (2) shall be made within seven working days from the creation or invocation or release of encumbrance, as the case may be to,” followed by the listed exchanges and the target company at its registered office. Verify the current rule before relying on a deadline for a legal or compliance decision.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The same calendar summarizes Regulation 29 changes for a person holding at least 5% when the change exceeds 2%, with filing within two working days. This is a different disclosure route from the promoter encumbrance filing. It does not mean every promoter transaction will appear through the same mechanism, particularly where system-driven disclosures or different holder categories apply.

Compare dates, quantities, and evidence levels

For every pair of filings, compare the following axes rather than looking only for a larger or smaller percentage:

Axis What to compare Why it matters
Date Quarter-end/reporting date versus event and filing dates An event may occur between two quarterly snapshots.
Quantity Promoter shares, encumbered shares, and the absolute change Counts reveal whether the holder actually added or disposed of shares.
Denominator Percentage of promoter holding versus percentage of total share capital The two percentages measure different exposures.
Type Pledge, NDU, or other encumbrance Restrictions are not automatically pledges.
Event Creation, invocation, release, or periodic status A status figure does not by itself identify a new event.
Evidence Exchange summary versus quarterly form and attachment The attachment generally supplies the event’s context and effective date.

Illustrative calculation

The following numbers are hypothetical and show the method, not the status of a particular company.

Measure Earlier quarter Latest quarter Change
Promoter shares 40,000,000 39,000,000 -1,000,000
Total shares 100,000,000 120,000,000 +20,000,000
Promoter percentage 40.00% 32.50% -7.50 percentage points
Encumbered promoter shares 8,000,000 12,000,000 +4,000,000
Encumbered as % of promoter holding 20.00% 30.77% +10.77 percentage points

Here, promoters lost one million shares and the denominator increased by 20 million. The increase in encumbered shares means the latest quarter has a higher encumbered count and a higher encumbered proportion of promoter holdings. To determine why the figures changed, you would still need the Regulation 31 attachment and any capital-issue or transfer disclosure.

Common misreadings and how to correct them

“The promoter percentage fell, so promoters sold shares.”

Check the promoter share count and total share capital first. A denominator change can reduce the percentage without a sale.

“The pledge summary value is the debt.”

The value based on shares multiplied by the last closing price is a market-price calculation, not the secured loan balance or recoverable collateral value.

“Every encumbrance is a pledge.”

Read the pledge, NDU, and other-encumbrance fields separately.

“The index row proves a new pledge.”

Open the attachment and identify creation, invocation, release, or a periodic declaration.

“The quarterly figure and depository figure should match.”

They can use different dates and scopes. Preserve the labels and investigate the underlying documents.

“A seven-day deadline is universal legal advice.”

The NSE calendar is indicative. Confirm the latest SEBI regulations and the applicable listing and securities rules.

“A sample filing proves a company’s current position.”

A sample RKEC filing for the quarter ended December 31, 2025 illustrates the structure of a filing only. It is not evidence of another company’s current ownership or encumbrance status.

When the numbers do not reconcile

  1. Check dates first. Match quarter-end, event-effective, filing, and depository dates.
  2. Check units. Confirm whether the document reports shares, thousands, lakhs, or another unit.
  3. Check categories. Determine whether promoter and promoter-group rows were combined or shown separately.
  4. Check capital actions. Look for allotments, buybacks, splits, consolidations, or reclassifications.
  5. Check partial releases. An invocation or release may affect only part of an encumbered holding.
  6. Check attachments. The event index may omit context that appears in the attached form.
  7. Preserve both figures. If two official pages use different labels or dates, report both with their scopes instead of silently substituting one for the other.

A repeatable checklist

  • Identify the exact listed issuer, symbol, and security.
  • Open the latest and preceding quarterly shareholding-pattern filings.
  • Record reporting dates, promoter shares, promoter percentages, and total-share denominators.
  • Record pledge, NDU, and other-encumbrance fields separately.
  • Check for changes in issued or paid-up share capital.
  • Use NSE’s pledge summary, preserving the labels for last-quarter and depository data.
  • Search Regulation 31(1)/(2) filings for the issuer.
  • Read each attachment and classify the event as creation, invocation, release, or periodic status.
  • Record event-effective dates, holder names, quantities, percentages, and stated reasons.
  • Compare counts before percentages and explain any denominator change.
  • Use the NSE compliance calendar only as an orientation aid and verify current regulations for deadline-sensitive work.

How to present your finding clearly

A defensible note should state the company, security, reporting dates, source document types, and the exact measure being described. For example: “In the quarter ended [date shown in filing], promoter holdings were [count] shares, or [percentage] of the stated total. The filing reported [count] shares under [pledge/NDU/other] encumbrance. An NSE Regulation 31 attachment dated [date] described [creation/invocation/release] effective [date].” Use the actual values from the documents and keep the bracketed wording as a drafting pattern only inside your own notes.

End with the limitation that a periodic filing is a snapshot and that market-price-based collateral values are not debt figures. This keeps the conclusion tied to what the disclosures actually establish.
