To estimate the value of an insider’s ordinary common stock holdings on a particular date, multiply the number of shares reported as beneficially owned by the share price on that date. The result is a dated estimate—not a timeless figure or a complete measure of the insider’s wealth.

The basic calculation

Estimated value = reported beneficially owned shares × share price on the valuation date

For a useful estimate, identify the company, security class, reported share count, price source, and valuation date. The ownership count comes from a filing; the market price is a separate input that changes over time. State whether you use the closing price, an intraday price, or another clearly identified price basis.

For example, if a filing reports 12,000 shares of a company’s common stock and the chosen price on the valuation date is $25 per share, the estimate is $300,000. This arithmetic does not establish what the insider could realize after taxes, trading restrictions, transaction costs, or other circumstances.

Find the ownership count in SEC filings

Search the company or insider in SEC EDGAR and review the relevant Forms 3, 4, and 5 in date order. These filings provide different parts of the ownership record:

  • Form 3: the initial ownership statement.
  • Form 4: reports changes in ownership. Its “amount beneficially owned following reported transaction(s)” field gives the reported post-transaction holding for the relevant class. Check later filings for subsequent changes.
  • Form 5: an annual statement for certain holdings or transactions.

According to the SEC’s 2021 Investor Bulletin: Insider Transactions and Forms 3, 4, and 5, Form 4 generally must be filed within two business days following the transaction date, and Form 5 is generally due no later than 45 days after the issuer’s fiscal year ends. Filing deadlines mean a report may not reflect a transaction immediately; pay attention to both transaction and filing dates.

Rank #2

The same bulletin describes an example exemption for certain purchases below $10,000 in a six-month period. That is an example of a case that may later be reportable on Form 5, not a universal threshold for every transaction. Consult the applicable SEC rules and instructions for a specific filing question.

Read direct and indirect ownership carefully

Form 4 reports beneficial ownership, which does not necessarily mean the shares are registered in the insider’s own name. SEC reporting instructions call for direct and indirect beneficial ownership to be reported, with indirect forms described separately. Inspect the ownership-form fields and footnotes rather than relying on a headline total.

Investor.gov explains that a registered owner holds shares directly with the company, while a beneficial owner may hold shares indirectly through a bank or broker-dealer. The meaning of beneficial ownership depends on context; do not assume the term has an identical meaning under every regulatory rule.

For a comparison or calculation, keep direct and indirect holdings distinguishable where the filing does so. They may both be reportable ownership, but the holding arrangement is different.

Keep common shares separate from derivatives

Form 4 separates non-derivative securities, generally shown in Table I, from derivative securities shown in Table II. Derivatives can include options, warrants, puts, calls, and convertible securities. Do not add a derivative’s underlying share count to ordinary shares and label the total the insider’s common-stock value.

An unexercised option is not equivalent to owning its underlying shares outright. Its economic value depends on terms such as exercise price, expiration, vesting, and other instrument conditions. SEC staff guidance treats options with different exercise prices or expiration dates as different classes for Form 4 reporting.

If you choose to estimate a derivative’s value, show the assumptions and calculation separately from the common-stock figure. Otherwise, report its count and terms without folding it into the ordinary-share estimate.

Compare filings or insiders on the same basis

A comparison is meaningful only when the figures use aligned inputs. Check each of the following:

  • Same company and security class.
  • Same valuation date and share-price basis.
  • Direct and indirect ownership identified consistently.
  • Ordinary shares separated from derivative securities.
  • Transaction date distinguished from filing date.

For a change-over-time comparison, read intervening Forms 4 and 5 for reported grants, sales, exercises, gifts, or transfers. A difference between two reported totals may reflect one or more such transactions, as well as a difference in what each figure includes.

What the estimate does—and does not—tell you

The multiplication produces a snapshot estimate for the specified shares and date. It does not predict the stock’s future performance, establish the insider’s total economic exposure, or guarantee that the reported shares could be sold at the price used. SEC Investor Education and Advocacy notes that investors may consider insider ownership alongside transactions, including arrangements such as equity swaps that may hedge the economic risk of ownership.

For a particular person’s legal ownership status or a formal valuation, this calculation is not a substitute for reviewing the applicable rules and instrument terms.
